RESELLER AGEEMENT

This agreement made of this 26th day of October , 2019, between M/s. Integ Chemicals, having its registered office Salman Sheikh Centre a-1 st-4 Block-6
Gulshan-e-Iqbal hereinafter called the ‘company’ as First party.

And

Rashid Memon (42201-2702697-1), having their registered office at Shop No.3 Arif Arcade Near PSO Pump, Kiran Hospital road, Safoora Chowrangi Karachi as
Second Party.

Whereas

The company has agreed to appoint the Reseller on the terms and conditions below.

1. That the company hereby appoints the Reseller for selling its Wallac branded products on percentage basis as 10% commission on all Sales upon receipt of
100% payment at list price.

2. Reseller monthly target is at least Two lakh and quarterly target is Six lakh.

3. Mode of payment is Cash on Delivery (COD) or postdated cheque (Seven (07) calendar days maximum from the date of delivery) in favor of company for
100% amount. Moreover, that the accounts between the parties will be reconciled & settled on 2 nd week of every month and the credit/debit balance shall be
adjusted by making necessary payments by either parties.

4. That the agreement shall remain in force originally for one year commencing from 26th , October , 2019 but may be renewed for similar periods based on
Annual performance of Reseller & terms and conditions as may be agreed between the parties. The Resellers shall make all efforts for the Marketing & Sales of
the Company’s products and in the event of the company being of opinion on the basis of sale records that the Reseller is failing in properly performing its duties
w.r.t Sales & Marketing, the company shall be at liberty to terminate this agreement by giving the Resellers one month’s notice in writing and on the expiry of the
notice period, this agreement shall stand terminated and the parties shall settle their accounts within 30 days thereafter.

5. Company published Pricelist is the standard price list must be used in all communications whatsoever w.r.t customer as well as Company. The Resellers shall,
at no time, sell any product of the company at a price higher than that published by the company from time to time based on market condition. Any order placed
by Civil/Mechanical/HVAC & Paint contractors, or any other person on behalf of Reseller will be considered as order of Reseller only if it is received via Reseller
or keeping Reseller in loop/copy on Prevailing Company Pricelist.

6. Company will protect the Reseller for the Specific Inquiries & RFQs from Customers. Any claim for the Customer ownership as to all other Request of
quotes/Inquiries/Tenders from the same customer is not acceptable unless Reseller is actively involved in Key account management, generation of RFQ /
Inquiries / Tenders from initial stage till final award of Contract or Purchase Order.

7. Special approval will be required from company for credit sales on projects.

8. Company is liable to provide marketing materials including Product Catalogues, Shade Cards & Technical Datasheets to Reseller.

9. Transportation is not included in Published Pricelist, hence has to charge to the Reseller/Customer on actual basis
