I, Anthony D. Gultia, being first duly sworn, depose and state that:

1. I have been elected by the subscribers of the corporation as Treasurer thereof,

to act as such until my successor has been duly elected and qualified in
accordance with the by-laws of the corporation;

2. As treasurer, I am authorized to receive for and on behalf of the corporation all

subscription payments of the subscribers;

3. Out of the authorized capital stock of one million pesos (P1,000,000.00), the
subscribers have subscribed to four thousand five hundred worth of shares
(4,500);

4. The subscribers have paid, and I have received said payments on behalf of
corporation for the said subscription, the amount of one hundred five thousand
pesos (P105,000.00).
