DECISION OF THE BOARD OF DIRECTORS OF

THE JAKARTA STOCK EXCHANGE INC.

CONCERNING

THE RULE NUMBER III-A CONCERNING THE EXCHANGE MEMBERSHIP

Considering : that in relation to the implementation of securities trading through the


Remote Trading and the perfection of provisions related to the Exchange
Membership Rule, it is deemed necessary to stipulate the provision on the
Exchange Membership, in a Decision of the Board of Directors.

In view of : a. Rule Number III concerning the Exchange Membership as mentioned


in the Decision of the Board of Directors of PT Bursa Efek Jakarta
(referred to as “the Jakarta Stock Exchange Inc.”). Number: Kep-
326/BEJ/092000, concerning the Amendment of Provision of Letter
C.3 of the Rule Number III Concerning the Exchange Membership,
dated the 20th September 2000;

b. Letter of the Chairman of the Capital Market Supervisory Agency


Number: S-1024/PM/2003, concerning the Approval on the
Amendment of the Exchange Membership Rule Numbers III-A, III-B
and III-C, dated the 14th May 2003.

DECIDING:

To Stipulate : 1. The Rule Number III-A Concerning the Exchange Membership as set
out in the Attachment of this Decision.

2. This Decision is effective as of the 9th of June 2003, provided that


such provisions are subject to further amendments and revisions as
appropriate if in the future it is deemed necessary to perfection or
there is any error contained in this Decision.

RULE NUMBER III-A: CONCERNING THE EXCHANGE MEMBERSHIP

A. GENERAL PROVISION

1. All words and or terminologies stated in the Rule of the Securities Trading and the Rule
of the Securities Listing will apply to this Exchange Membership Rule.

2. In this Rule, the following terms:

a. Securities Exchange Member means any Securities Companies as mentioned in


Article 1 paragraph 2 of the Capital Market Law and has obtained an Exchange
Membership Approval.

b. Direct Connected Securities Exchange Member means the Securities Exchange


Member that provides itself with facilities and infrastructure for the connection to
the Remote Trading.

c. Indirect Connected Securities Exchange Member means the Securities Exchange


Member that uses facilities and infrastructure which is provided by the Remote
Trading Mediator for the connection to the Remote Trading.

d. Brokerage Information System means an office automation system for the


Securities Exchange consisting of front office and back office including risk
management.

e. Authentication Token means an identification tool given by the Exchange to the


Securities Exchange Member which is used by the IT Officer–RT to operate JONEC.

f. Exchange means the Jakarta Stock Exchange Inc.

g. Connection Name means a connecting identity attached to the User-Id which is


used by PJPP in order to obtain the trading authorization in JATS.

h. Information Technology Officer for Remote Trading (IT Officer–RT) means an


officer appointed by the Securities Exchange Member whose duty is to ensure the
readiness and smoothness of operation of the Supporting Tools.

i. Information System Audit (IS Audit) means an audit related to the information
system of Remote Trading of the Securities Exchange Member.

j. Information System Auditor (IS Auditor) means a party who has competence to
conduct the IS Audit.
k. Jakarta Stock Exchange Open Network Environment Client (JONEC) means a
set of tools established at the Securities Exchange Member consisting of software
and hardware which is used by the Securities Exchange Member to access JATS
through Network and Remote Trading Terminal in accordance with the Remote
Trading Manual.

l. Jakarta Stock Exchange Open Network Environment Server (JONES) means a


set of tools established at the Exchange consisting of software and hardware which is
used by the Exchange to pass on offer and or bid orders from the Securities
Exchange Member to JATS in accordance with the Remote Trading Manual.

m. Network means a set of data communication equipments and facilities which is used
by the Securities Exchange Member that is connecting JONEC with JONES.

n. Development Phase means a period determined by the Exchange for developments


of application system and technical test towards the readiness level of the Remote
Trading of the Securities Exchange Member or the Securities Company which has
obtained the written confirmation from the Exchange as mentioned in the provision
of letter C.3 of this Rule.

o. Remote Trading Mediator means a party which has has entered into a contract with
the Exchange for providing the facilities and infrastructure along with other
equipments for the Indirect Connected Securities Exchange Member in order to
conduct the Securities trading through Remote Trading.

p. Net Adjusted Working Capital (hereinafter referred to as “MKBD”) means the


Net Adjusted Working Capital as mentioned in the Bapepam Rule Number V.D.5.:
Concerning the Maintenance and Reporting of Net Adjusted Working Capital.

q. Remote Trading Manual means a manual issued by the Exchange containing the
explanation on the technical requirement and operational procedure of Remote
Trading.

r. Password means a key word attached to User-Id which is used by PJPP in order to
obtain the trading authorization in JATS.

s. Password Domain means a key word attached to a User-ID Domain which is used
by the Securities Exchange Member in order to operate JONEC.

t. Order and Trading Authorizer (hereinafter referred to as “PJPP”) is a party


appointed by the Securities Exchange Member or Securities Company which has
filed the application for the Securities Exchange Membership and has been
registered in the Exchange and is responsible on the offer and bid orders to be
entered into JATS.

u. Supporting Tools means router, software and hardware of JONEC and other
equipments in accordance with the specification as determined by the Exchange and
provided by the Securities Exchange Member for the operation of securities trading
through Remote Trading.

v. Exchange Membership Approval means an approval to be a Securities Exchange


Member given by the Exchange by the Exchange Membership Certificate (referred
to as “SPAB”).
w. Remote Trading means securities trading system which is provided by the
Exchange for the Securities Exchange Member through Network.

x. User-ID means an identity given by the Exchange to the Securities Exchange


Member to be used by PJPP simultaneously with Password and Connection Name, in
order to trading securities in the Exchange through JATS.

y. User-ID Domain means an identity given by the Exchange to the Securities


Exchange Member to be used and entered simultaneously with Password Domain
and Authentication Token to JONEC in order to have the connection authorization
from JONES.

3. Indirect Connected Securities Exchange Member may only be allowed to utilize the
service of Remote Trading Mediator that has entered into a contract for providing
facilities and infrastructure with the Exchange.

4. Indirect Connected Securities Exchange Member must enter into a contract with Remote
Trading Mediator which at least consists of the following:

a. Scope of services to be provided by Remote Trading Mediator, including providing


Business Continuity Plan (BCP).

b. Fee that imposed by Remote Trading Mediator for any services rendered.

c. Development and implementation planning.

d. Data security and network system warranty.

e. ownership and usage of data.

f. Service Level Agreement (SLA) warranty.

g. Warranty for trading continuity through Remote Trading in the event of contract
termination.

h. Operation responsibility.

5. Securities Company which has acquired an Exchange’s share through an auction or a


direct purchase from a Securities Exchange Member must comply with the requirements
for Securities Exchange Member as determined in this Rule.

6. For any Securities Exchange Member whose shares are listed in the Exchange is
prohibited to carry out Exchange Transaction over its own shares for its own interest
(portfolio), except for the purpose of re-purchase of its shares as stipulated in Article 30
of the Law Number 1 year 1995 Concerning the Limited Liability Company.

B. REQUIREMENTS FOR OBTAINING THE EXCHANGE MEMBERSHIP


APPROVAL

Any Securities Company may become a Securities Exchange Member upon the compliance
of the following requirements:
1. has obtained the operating license to conduct the activities of Broker-Dealer from
Bapepam and such license is not under suspension by Bapepam;

2. has 1 (one) Exchange’s share;

3. has PJPP;

4. has IT Officer-RT;

5. has Brokerage Information System which supports the Remote Trading operation, at
least covering:

a. an integrated risk management system between front end and back end system;

b. front end system which has order management and transaction monitoring functions.

6. has facilities and infrastructure of Supporting Tools;

7. has been confirmed to be operationally capable by the IS Auditor;

8. has been confirmed to have successfully completed the Development Phase by the
Exchange.

C. PROCEDURE FOR OBTAINING THE EXCHANGE MEMBERSHIP APPROVAL

1. Application for obtaining the Exchange Membership Approval is filed by using


document in the form and substance as referred to in form III.A-1 of this Rule.

2. Application for obtaining the Exchange Membership Approval should enclose the
following:

a. A letter of statement in the form and substance as referred to in Form III.A-2;

b. A copy of operating license as Broker-Dealer and or Underwriter issued by


Bapepam;

c. A copy of the Articles of Association of the company and the amendments thereto
which were reported to or ratified by the competent authority and copy of the
Receipt of Mandatory Company Registration (referred to as “TTWDP”) as
mentioned in the Bapepam Rule Number V.A.1: Concerning the License of
Securities Company;

d. A chronological record of the company covering a chronology of the shares


ownership of the company, changes of Board of Directors and Board of
Commissioners, if any;

e. A composition of Board of Commissioners and Board of Directors completed with


their curriculum vitae, copy of identity card and photograph;
f. A copy of service providing contract between Remote Trading Mediator and the
Securities Company which will become Indirect Connected Securities Exchange
Member;

g. Copy of individual license as Broker-Dealer Representative (referred to as “WPPE”)


and or Underwriter Representative (referred to as “WPEE”) of each member of
board of directors of the company as mentioned to in the Bapepam Rule Number
V.A.1: Concerning the License of Securities Company;

h. A letter of statement from each Director confirming that he/she is not working in
other company except as a commissioner of the Exchange as mentioned in the
provision of point 24 of Bapepam Rule Number: III.A.3.: Concerning the
Requirements for Candidates of Commissioner and Director of Securities Exchange
and the statement that he/she has or has not an affiliation relationship with other
Securities Exchange Member by using the document in the form and substance as
referred to in form III.A-3;

i. A letter of statement from each of commissioner confirming that he/she is not


working as a director of other Securities Company and the statement that he/she has
or has not an affiliation relationship with any director or commissioner of other
Securities Exchange Member or listed company by using the document in the form
and substance as referred to in form III.A-4;

j. A Standard Operating Procedure of the Securities Company (referred to as


“POSPE”) covers the Remote Trading standard operating procedure in accordance
with the Remote Trading Manual;

k. An organization structure, names of directors and persons in charge of the relevant


part of functions as mentioned in the Bapepam Rule Number: V.D.3 Concerning the
Internal Controls and Book Keeping of Securities Company;

l. Short, middle and long term period plans;

m. Tax Payer Identification Number (referred to as “NPWP”) and the letter of domicile
of the Securities Company which will become the Securities Exchange Member;

n. An Audited Annual Financial Statement for the preceding year including material
events occurred after the date of balance sheet;

o. A Financial Statement and an Articles of Association of the Shareholder (if the


shareholder is a Limited Liability Company);

p. registration of PJPP by using document in the form and substance as referred to in


form III.A-5;

q. registration of IT Officer-RT by using document in the form and substance as


referred to in form III.A-6;

r. An appointment of supervisor of the company operations as mentioned in the


Bapepam Rule Number: V.D.1.: Concerning the Supervisory on the Representative
and Employee of the Securities Company by using document in the form and
substance as referred to in form III.A-7;
s. A copy of special register as mentioned in Article 43 paragraph (2) of the Law
Number 1 year 1995 concerning the Limited Liability Company;

t. A register of share ownership in other company which owned by controlling


shareholder of the said Securities Company;

u. A report of the latest MKBD as mentioned in the Bapepam Rule Number: V.D.5.:
Concerning the Maintenance and Reporting of the Net Adjusted Working Capital
(referred to as “MKBD”).

3. For the Securities Company which has complied with the requirements as mentioned in
letters B.1., B.3., B.4, B.5. and B.6. above and have submitted a full set of documents as
mentioned in letter C.2. above, then the Exchange will issue a written confirmation that
the said Securities Company may carry out a Development Phase pursuant to the
schedule as determined by the Exchange.

4. Within the Development Phase, the Exchange will provide the guidance on application
development and technical test.

5. The technical test within the Development Phase will be carried out by the Securities
Company pursuant to test scenario prepared by the Exchange.

6. The result of technical test as mentioned in the provision of letter C.5 above shall be
reported by the Securities Company to the Exchange not later than 2 (two) calendar days
as of the completion of such technical test.

7. The Securities Company must submit to the Exchange the report prepared by IS Auditor
on the readiness of the operational and information system.

8. Based on test result and report as mentioned in the provision of letters C.6 and C.7
above, the Exchange will give a written confirmation to the Securities Company
regarding its success or failure of the said Securities Company in carrying out the
Development Phase in order to join trading activities in Remote Trading.

9. In the event that Securities Company has obtained the written confirmation from the
Exchange regarding its success in carrying out Development Phase as mentioned in
provision of letter C.8, above then said Securities Company will be able to purchase an
Exchange’s shares, either directly from the other Securities Exchange Member or
through an auction conducted by the Exchange.

10. The Exchange grants an Exchange Membership Approval to the Securities Company
which has fully settled the purchase of shares as mentioned in the provision of letter C.9
above.

11. Simultaneously with the delivery of the Exchange Membership Approval, the Exchange
will also give the following to the Securities Exchange Member:

a. the letter of PJPP registration approval;

b. the letter of IT Officer-RT registration approval;

c. Evidence of the equity payment or ownership of the Exchange’s share.


12. The Securities Company which has received the written confirmation from the Exchange
regarding its failure in carrying out the Development Phase so that it is not qualified to
join trading activities in the Remote Trading, may carry out again the Development
Phase as mentioned in the provision of letter C.4 up to letter C.8 of this Rule.

D. REGISTRATION OF THE ORDER AND TRADING AUTHORIZER (REFERRED


TO AS “PJPP”)

1. PJPP must have an individual license from Bapepam in order to conduct activities as a
Broker-Dealer Representative.

2. PJPP is prohibited to have dual position in any other department or vice versa.

3. Any Securities Exchange Member or Securities Company intending to become a


Securities Exchange Member must register to the Exchange its PJPP candidate by using
document in the form and substance as referred to in form III-A.5 of this Rule, by
enclosing the following documents:

a. copy of individual license as Broker-Dealer Representative or Underwriter


Representative;

b. curriculum vitae;

c. letter of appointment from the Securities Exchange Member;

d. A letter of statement confirming that he/she is not working in other company, has
fully understood and complied with the Exchange Rules by using document in the
form and substance as referred to in form III-A.8 of this Rule;

e. copy of the identity card;

f. 4 (four) sheets of 3x4 sized photograph.

g. At the latest 3 (three) Trading Days as of the receipt of the complete registration of
PJPP candidate by the Exchange as mentioned in the provision of letter D.3. above,
the Exchange will issue the letter of PJPP registration approval.

4. Simultaneously with the delivery of the letter of PJPP registration approval as mentioned
in the provision of letter D.4. above, the Exchange will also give a User-ID, initial
Password and Connection Name for the respective PJPP to the Securities Exchange
Member.

5. The User ID, Password and Connection Name as mentioned in the provision of letter
D.5. will be valid only as long as the relevant PJPP is working at the Securities Exchange
Member that has registered him/her to the Exchange.

6. In the event PJPP is no longer working as PJPP or has tendered his/her resignation to
Securities Exchange Member, then the said Securities Exchange Member must report to
the Exchange at least 5 (five) Trading Days prior to the effective date when such PJPP is
no longer working on or resignation from the said Securities Exchange Member. If it
deemed necessary, Securities Exchange Member may appoint the replacement by
completing document as mentioned in provision of letter D.3 above.
7. The Exchange will revoke the PJPP registration approval which is no longer working as
PJPP or has resigned from the Securities Exchange Member as mentioned in the
provision of letter D.7. above, upon the effective date that such PJPP is no longer
working or resignation from the said Securities Exchange Member or at the latest 3
(three) Trading Days as of the receipt of report on such resignation from the Securities
Exchange Member.

E. REGISTRATION OF IT OFFICER-RT

1. Any Securities Exchange Member or Securities Company intending to become a


Securities Exchange Member must register its IT Officer-RT candidate to the Exchange
by using document in the form and substance as referred to in form III-A.6 of this Rule,
by enclosing the following documents:

a. curriculum vitae;

b. letter of appointment from the Securities Exchange Member;

c. copy of the identity card;

d. 4 (four) sheets of 3x4 sized photograph.

e. A statement confirming that he/she has fully understood and complied with the
Exchange Rules and has the expertise in information technology, by using document
in the form and substance as referred to in form III-A.9 of this Rule;

2. At the latest 3 (three) Trading Days as of the Exchange received complete registration
letter of IT Officer-RT candidate as mentioned in the provision of letter E.1. above, the
Exchange will issue the letter of IT Officer-RT registration approval.

3. Simultaneously with the delivery of the letter of IT Officer-RT registration approval as


mentioned in provision of letter E.2. above, the Exchange will also give User-ID, initial
Password Domain and Authentication Token for the respective IT Officer-RT to the
Securities Exchange Member.

4. In the event IT Officer-RT is no longer working at or has tendered his/her resignation to


the said Securities Exchange Member, then the said Securities Exchange Member must
report to the Exchange at least 5 (five) Trading Days prior to the effective date when
such IT Officer-RT is no longer working on or resignation from the said Securities
Exchange Member. If it deemed necessary, the Securities Exchange Member may
appoint the replacement by completing document as mentioned in provision of letter E.1.
above.

F. EXPENSE AND MEMBERSHIP FEE

1. IS Auditor expense as referred to in provision of letter C.7 above shall be borne by


Securities Exchange Member or Securities Company applying for an Exchange
Membership Approval.
2. The Exchange will impose the connection fee in the amount as mutually agreed between
the Securities Exchange Member and the Exchange.

G. TRANSITION PROVISION

1. For any Securities Exchange Member that has had SPAB prior to the effective of this
Rule but has not been the Remote Trading participant:

a. all of the provisions as stipulated in the Rule Number III concerning the Exchange
Membership dated the 26th September 2000 (as referred to in the Attachment of the
Decision of the Board of Directors Number: 326/BEJ/2000) shall apply;

b. must have become Remote Trading participant, at the latest 5 (five) years as of the
date of effective of this Rule, subject to successful accomplishment of Development
Phase.

c. for the purpose of becoming a Remote Trading participant, the Securities Exchange
Member must apply for the registration of the Remote Trading by using Form III-
A.10 and initiating the Development Phase and also being confirmed by the
Exchange to have successfully completed the Development Phase.

2. For the Securities Exchange Member that have successfully completed the Development
Phase, the Exchange will give:

a. the letter of PJPP registration approval;

b. the letter of IT Officer-RT registration approval.

3. For any Securities Exchange Member that have not successfully completed the
Development Phase as mentioned in the provision of letter G.1.c. above, may carry out
again the Development Phase.

4. The Exchange will withdraw all additional trading Facility Units of the relevant
Securities Exchange Member as mentioned in the provision of letter C of the Rule
Number III Concerning Exchange Membership dated the 26th September 2000
(Attachment of the Decision of the Board of Directors Number: 326/BEJ/2000) within at
the last 6 (six) months as of the confirmation of the Exchange to the said Securities
Exchange Member on its readiness to operate the Remote Trading.

Securities Exchange Member in the form and substance as referred to in Form III.A-3.
9. Letter of statement from each commissioner confirming that he/she is not working in other
company and the statement that he/she has or has not affiliation relationship with the Board
of Directors or Board of Commissioners of other Securities Exchange Member or any listed
company in the form and substance as referred to in Form III-A.4.
10. Standard Operating Procedure of Securities Company/Prosedur Operasi Standar
Perusahaan Efek (POSPE) and Remote Trading standard operating procedure in accordance
with the Remote Trading Manual.

b. to provide a Development and Operation Team for Remote Trading (Project Manager, IT
Officer and PJPP);
c. to follow all steps of JATS-RT Milestones;
d. to be audited and observed at the time schedule to be determined by the Exchange;
