TERMS & CONDITIONS

The following is an Agreement between On the Verge Writing LLC (“Membership Fix”)

having an address of 17313 Ashworth Ave N Seattle, WA 98133 and you (hereafter referred to as
“Client”).

I. On the Verge Writing LLC agrees to:


1. Identify most profitable strategies of using a membership business model for Client. All
potential membership business processes are subject to approval by Client.
2. Review product offers, sales funnel, and content to make recommendations regarding best
practices, as referenced in Appendix A.
3. Teach Client engagement, retention, onboarding systems to build a profitable business.
4. Provide full access to our proprietary systems as regards to lead management, sales
conversion & marketing methods.
5. Protect the proprietary nature of all the intellectual property of Client, by not sharing it with
anyone else other than internal staff and sales team under agreement.
6. On the Verge Writing LLC agrees that it is simply a Contractor under this Agreement and
shall be responsible for payment of any and all taxes and/or insurance as required by federal
and state law.
7. Continue working with Client until full ROI is achieved, or Client has not followed through with
obligations.

II. Client agrees to:

1. Complete training materials as assigned by Membership Fix in a timely manner.


2. Attend weekly coaching calls and submit weekly assignments, unless otherwise agreed
upon.
3. Pay Membership Fix $9,000 USD. Please note that this amount is non-refundable even if
you choose to leave the program.
4. Protect the proprietary nature of all the intellectual property of Membership Fix, by not
sharing it with anyone else other than internal staff and sales team under agreement.
III. Both parties agree:

1. To act in good faith and carry out their responsibilities to the best of their abilities.
2. That each party shall maintain the confidential information of the other in confidence, until
such time that the confidential information may later become available to the public, or that
such a disclosure is required by law.

Appendix A: Detailed Description of Services

○ Develop your Irresistible Free Offer
● 1 hour private strategy session to map out your strategy for success

Phase 2: Build the System

● Step-by-Step Training Videos to Optimize Your Business Systems


● Documented Business Processes, including templates for:
○ Pre-Sale Engagement
○ Onboarding
○ Membership Planning
○ Educational Materials to position you as the expert
○ Nurturing Emails
● Review of sales funnel to optimize conversion rates
● Prepare for Launch Date:
○ Company Description with KPIs
○ Strategic Pricing
○ Onboarding Checklists ...once you’ve started welcoming members into your site, we
will move into:

Phase 3: Pass the Baton

● Documenting processes that allow you to make the business scalable


● Mindset Success Call
● Access to our monitored forum for direct input

Our Guarantee:

Membership Fix is contracted to provide consultative services to the Client until the Client:

1. Has a membership business that is generating income for the Client


2. Generated as much revenue using our systems as they invested with Membership Fix

In order to qualify for the guarantee, Client must attend weekly coaching calls and submit weekly
assignments unless Sylvia is notified in writing in advance.
