Example 1
Partner X sells various products from the selection and accrues $15,000 between January and e.o.March
In April, the partner can begin spending these funds
Partner raises a bid in LBP and then applies the 10% code
LBP Bid Total Value = $10,000
Discount Voucher is worth $1,000 (10% off the total Bid value)
New LBP Bid Total Value = $9,000 and partner will see in lenovopartnerhub.com the balance is $14,000
The partner continues to spend until the pot is empty taking into account the next example

Example 2
Partner Y sells various products from the selection and accrues $500 between January and e.o.March
In April, the partner can begin spending these funds
Partner raises a bid in LBP and then applies a 10% code
LBP Bid Total Value = $10,000
Discount Voucher is normally worth $1,000 however there is only $500 available
Therefore the voucher will automatically be worth the value of the reward only
New LBP Bid Total Value = $9,500 and partner will see in the lenovopartnerhub.com, the balance is $0

The StarSeller Programme facilitates the accumulation of rewards in the form of virtual discount vouchers to be redeemed against future Lenovo Special Bid opportunities (“StarSeller Rewards”)
recorded on Lenovo Bid Platform (“LBP”) for Eligible Products and Eligible Resellers (the “Programme”).
The terms and conditions of the Lenovo Partner Network Agreement and Special Bid Addendum (both as applicable depending on status of reseller) are incorporated and herein made reference to.

Acceptance of these terms and conditions

You accept these terms and conditions of the Programme by clicking “approve target” on lenovopartnerhub.com.

Eligible Resellers

Are those resellers who: (1) have a current, valid Lenovo Partner Network Agreement ; (2) have accepted the StarSeller terms and conditions on lenovopartnerhub.com (the “Portal”); (3) is enrolled within
Lenovo Partner Engage program for a given calendar quarter; (4) purchase Eligible Products from participating Lenovo authorised distributors. Any reseller not meeting any one or more of these criteria will
not be eligible to receive StarSeller Rewards for this Programme.

Eligible Products
Eligible Products which count towards StarSeller Rewards are described on the Programme website lenovopartnerhub.com

Eligible Period

An Eligible Period is a calendar quarter.

StarSeller Rewards

StarSeller Rewards (“Rewards”) under this Programme are provided in the form of virtual discount vouchers with unique codes (“Vouchers”) which may be applied towards future Special
Bid orders approved in Lenovo Bid Platform. The amount of Rewards a participating Reseller is entitled to is visible on lenovopartnerhub.com, Earnings and Vouchers section.

Participating Distributors
Some Distributors may choose not to participate in this Programme. A list of Participating Distributors can be found on the lenovopartnerhub.com.

Programe Details
(1) Eligible resellers can accumulate rewards by purchasing eligible products from Lenovo authorised distributors during the eligible period;
(2) Eligible resellers purchases are measured using authorised distributor sales-out reporting from Context;
(3) For each eligible Product purchased, on a quarterly basis, the eligible reseller’s rewards table on lenovopartnerhub.com will be updated to reflect the rewards earned;
(4) The eligible reseller will receive an automated email containing the voucher name, code and balance for that eligible period’s rewards.
(5) To initiate the reward, the voucher code must be selected from drop down menu and submitted into a Lenovo Special Bid Quotation request by the eligible reseller in the Lenovo Bid
Platform
(6) Once the Special Bid Quotation is verified by Lenovo, eligible resellers should contact their participating distributor to place their order and refer to the voucher code;
(7) Distributors are free to set their own prices, discounts and terms and conditions. Participating distributors have agreed to pass on an additional discount on presentation of a valid
Voucher and are entirely free to pass on the full amount of the discount or any lesser amount that they choose;
(8) A maximum of 10% (ten per cent) of total bid value can be consumed from the rebate voucher amount. The amount is re-usable until the value of the reward voucher has been
consumed or the reward voucher has expired.
(9) A reward voucher is only valid for calendar quarter after the reward date. After this date the voucher/ reward is expired and void. Validity dates can be found on
lenovopartnerhub.com;
(10) All reward amounts are converted into local based on exchange rates as shown in lenovopartnerhub.com
(11) Lenovo reserves the right to exclude certain named large end user deals on qualifying products from the programme. This will be agreed upfront per each deal and in writing with the
reseller.
(12) No rewards will be accumulated and/or redeemed for transactions related to Lenovo Relationship Customers. Lenovo-Relationship-Customers describes customers which Lenovo
defines as Global Account Customers (GA), Large Enterprise Customers (LE) or Public Sector Customers (PS).

Participation and Claim Process

1. You must accept the terms & conditions for each eligible period on lenovopartnerhub.com to be eligible to receive rewards for that eligible period.
3. During the eligible period, Lenovo will collect sales details as reported by its authorised distributors to calculate the achievement of the eligible reseller. Deductions from achievements are
then made for any returns made to any Lenovo authorised distributors by the eligible reseller and any other applicable credit notes made for whatsoever reason;

4. The achievement of the eligible reseller is visible on their page at lenovopartnerhub.com, Earning and Vouchers section. The website will be updated weekly. Lenovo will also send the
eligible reseller a weekly e-mail to inform the eligible reseller of its progress;

5. Within maximum 6 (six) weeks after the end of the eligible period, Lenovo will send the eligible reseller a StarSeller Notification email (“StarSeller Notification”) with details of the eligible
reseller’s unit achievement and the value of any reward due;

Dispute Process

1. If an Eligible Reseller disputes the StarSeller Notification, they must contact Lenovo within five (5) working days of the date of the StarSeller Notification, by your Lenovo Sales
representative or via contact available at lenovopartnerhub.com. In order for Lenovo to validate the disputed claim, the Eligible Reseller must provide to Lenovo original invoices from
Lenovo authorised Distributors demonstrating proof of purchase during the Eligible Period. The invoice must clearly show the purchased Eligible Products, the quantity, and the date of
purchase. Proof of order or despatch will not be accepted as valid substantiation for a dispute. Disputes notified by any other means are ineligible;
2. Lenovo will acknowledge disputes notified in accordance with item fourteen (14) above within ten (10) working days and will resolve these disputes as soon as reasonably possible
thereafter;
3. Failure to raise a dispute within five (5) working days of the date of the StarSeller Notification will result in the Eligible Reseller forfeiting the right to any dispute in respect of the claim;
4. In the event Lenovo adjusts a payment as a result of a dispute, Lenovo will notify the Eligible Reseller within a reasonable time. The difference will be paid to the Eligible Reseller
within thirty (30) working days of the notification;

Data Privacy and Confidentiality

The terms and conditions referred to in the Lenovo Partner Network Agreement apply.

• The decision of Lenovo in respect to any and all aspects of this programme is final and binding. This includes but is not limited to decisions about sales-in / sales-out, attainment,
achievement, revenues and StarSeller calculation.
• All StarSeller Reward vouchers will be paid in local currency only ;
• Where the payment constitutes a taxable benefit, all liability lies with the recipient;
• Where the payment constitutes a taxable benefit, all liability lies with the recipient;
• Where it applies the payment is inclusive of Value Added Tax (VAT);
• Lenovo reserves the right to reject resellers from participating in the programme for any reason, including where Lenovo believes that reseller has previously misused other Lenovo
programmes including Lenovo Special Bids;
• Only invoiced sales during the Eligible Period to Eligible Resellers will qualify;
• StarSeller Rewards apply only to Special Bids verified in lenovopartnerhub.com referring to a unique Voucher code;
• StarSeller Rewards are not transferable.
• Resellers are wholly responsible to ensure that information about them including address and contact details on the lenovopartnerhub.com is accurate and kept up to date;
• All communication and questions about the Programme must be directed to Lenovo;
• Lenovo reserves the right to modify or cancel the Programme at any time without prior notice. Notices of these changes will be communicated to the Eligible Resellers on the website
lenovopartnerhub.com or by Lenovo Sales representative. If the programme is withdrawn, only claims which support valid purchases up to the date of withdrawal of the Programme
will be accepted;
• StarSeller Rewards will only be paid under promotions released by Lenovo and published on lenovopartnerhub.com and which specify an Eligible Period;

• StarSeller Rewards will only be paid where products are bought from Lenovo authorised distributors located in the same country as the Eligible Reseller;
• Products purchased from entities other than Lenovo authorised Distributors are excluded from the Programme;
• Purchases of Lenovo Technology Access products are not eligible for the Programme;
• Subject to applicable laws and regulations, Lenovo reserves the right to monitor, review, retain and / or disclose any information as necessary to satisfy any applicable law,
regulation, legal process or governmental request;
• Lenovo may declare the Programme to be void where it is taxed, regulated, prohibited or restricted by applicable law;
• Lenovo is not responsible for any technical, hardware, software, server, website or other failures or damage of any kind to the extent that this prevents the Eligible Reseller from or
otherwise obstructs him/her in participating in the Programme;
• Lenovo reserves the right to audit all requests to ensure that all terms and conditions of the Programme have been met and to request additional information regarding any and all
Rewards and Vouchers and supporting documents. From time to time, Lenovo may require confirmation from the Eligible Reseller that StarSeller Rewards have been received and
the date of receipt;
• All documentation submitted for the Programme becomes the property of Lenovo and will not be returned. Submission of false, incorrect, misleading or fraudulent documentation
may result in disqualification from the Programme and future Lenovo programmes;
• These Terms and Conditions are subject to the laws of the country specified in the Eligible Reseller’s Lenovo Partner Network Agreement
