2.13” PSP Setting Tool Operation Description
The PSP Setting Tool functions in two stages to generate the force necessary to
effectively set the anchors, compress the packing elements, and sever the
tension bolt allowing the setting tool to release from the plug. The Pressure
Housing of the setting tool houses an atmospheric chamber. The first stage
utilizes the bottom hole pressure applied to the lower end of a piston working
against this atmospheric chamber. The moving piston is driven up into the
chamber drawing the plug mandrel into the tool causing the outer components of
the plug to be compressed against the bull plug attached to the bottom of the
mandrel. The second stage utilizes an explosive gas generator to complete the
setting cycle by generating the higher pressure necessary to achieve a load of
18,000#. When the setting load is reached, the tension bolt severs, releasing the
set plug from the setting tool.

HIP PLUGS
SPECIFICATIONS
HIP Plugs provide a cost effective means to install a permanent, but drillable plug without
the use of a rig. Their small running diameter will pass through most tubing restrictions and
set in larger casing sizes. HIP Plugs do not require the addition of a setting tool to operate.
This provides a shorter tool string which requires less maintenance than other thru-tubing
plugs.
The HIP Plug functions as a platform upon which a cement (or plastic) plug can be built.
The height of the cement plug will determine the differential pressure capability.

SPECIAL PLUGS
HPI has consulted on hundreds of plugback operations. Frequently, circumstances require special
equipment to be fabricated to solve a specific problem. HPI has the expertise to determine if special
equipment is warranted and the manufacturing and service capability to deliver custom equipment in
a timely manner, often in as little as 24 hours. Several "special" application case histories are
described below.
PROBLEM: On a P&A project, the customer was unable to place a cement plug in an open hole
due to a thief zone. Operations were further complicated because of the hole
sloughing each time the work string was pulled and boulders were partially restricting
the I.D.
SOLUTION: HPI manufactured a custom plug to run through 2-7/8" drill pipe and set in a 17"
open hole. A ten foot cement plug was dump bailed as a base above the suspected
thief zone. The customer was then able to pump the remainder of the required
cement to P&A the well.
PROBLEM: The customer needed to set a plug in 2-3/8 tubing. However, due to an I.D.
restriction and corkscrewed tubing, the customer was unable to get down with a
conventional magna-range style bridge plug and setting tool.
SOLUTION: HPI manufactured a custom plug with a four (4) foot overall length and 1-3/8"
running diameter. "Flex" Bailer Segments were used to reduce the stiff length of the
cement bailers.
PROBLEM: The customer needed to set a bridge plug in the lower portion of a gravel pack
assembly. A tubing restriction precluded the use of a cast iron bridge plug and the
GP assembly had multiple I.D.'s.
SOLUTION: HPI fabricated a custom plug where each set of slips was sized to anchor in a
different I.D. corresponding to its position in the gravel pack.
SOLUTION: HPI manufactured a HIP Plug and a bailer system with bow spring centralizers on
the bottom to lift the tool string to the center of the casing and into the liner top.

Ultra Plug* for High Expansion Service
The Ultra Plug Product Line is a new generation of wide range bridge
plug. Ultra Plugs provide equal or greater setting ranges than all other
conventional “magna-range” or wide range bridge plugs while
providing higher differential pressure ratings. The RavelTM Slip
System assures uniform slip extension and circumferential spacing.
Additionally, the RavelTM Slip System retains the slips so that they do
not misalign during slip extension to the casing ID. Controlled
deployment of the slips guarantees centralization thus ensuring
maximum slip extension. The Ultra Plug has an improved anti-
Bi-Directional extrusion system that enables it to withstand higher differential
Anchor/Ravel pressures. The Ultra Plug is available in packer and cement retainer

HIP MIX™ CEMENT BLENDS
DESCRIPTION
HPI offers a variety of HIP Mix systems in kit form. Kits are organized to obtain faultless slurries in
the field. Each kit contains the essential components needed to make a 16 ppg slurry at the well
site.
For BHT<300°F. This kit is composed of a 6 gallon pail (with all necessary dry bled components)
and a 5 gallon pail (containing a proprietary water/chemical solution for suspension, gel delay,
dispersion and enhanced bond strength). Slurry batched can be made in 1 gallon increments up to
6 gallons total.
For BHT<300°F. This kit contains a 6 gallon pail containing all necessary dry products to yield 6
gallons of 16 ppg slurry. The user must provide distilled water to make cement slurry. Slurry
batches can be make in 1 gallon increments up to 6 gallons total.
For BHT of 300° - 400°F. This kit is composed of a 6 gallon pail (with all necessary dry blend
components) and a 5 gallon pail (with deionized - demineralized water). Slurry batches can be
made in 1 gallon increments up to 6 gallons total.
For BHT of 300° - 400°F. This kit is composed of a 6 gallon pail containing all necessary dry blend
components to yield 6 gallons of 16 ppg slurry. The user must provide distilled water to make
cement slurry. Slurry batches can be made in 1 gallon increments up to 6 gallons total.
For BHT 200° - 300°F. HSB HIP Mix exhibits the highest differential pressure capability among all
the HIP Mix Systems. This kit is composed of two 5 gallon pails. One pail contains all necessary
dry blend components. The other pail contains a proprietary water/chemical solution for suspension,
gel delay, dispersion and enhanced bond strength. Each kit yields a 4 gallon batch of 16 ppg slurry.

ANCHORING STRENGTH
The anchoring strength between plug and casing depends on effective bond strength and plug
length. Effective bond strength is the actual bond strength between a dump bailed plug and the
casing. Dump bailed plugs are an accumulation of multiple dump runs. During a dumping
operation, the slurry is contaminated as it drops through multiple feet of wellbore fluid. The equation
below takes this into consideration. The anchoring strength of a plug in service can be determined
as shown:

With regard to a long term hydraulic seal, experience has shown that the plug length must exceed 30 casing
diameters (casing OD). Shorter plugs can remain anchored while their hydraulic seal slowly breaks down
during the production life of the well.
For a given differential pressure, the length of a dump bailed plug must meet both of the following criteria:

HIP Plastic Plug has been used in hundreds of cases to plug perforations and fill behind
casing in channels or cement voids. It is easily placed via wireline dump bailers or coiled
tubing. This low viscosity liquid plastic has a density of 10.2 ppg and contains no solids,
therefore, it migrates easily to fill channels and perforations. Once cured, it provides an
effective barrier to water production.

Typically, this application requires 25-100% more plastic than the calculated casing
volume. This is a result of plastic migrating behind pipe into voids, channels and the near

CASE HISTORIES
• Gravel packed gas well (25° deviation) with BHT of 250°F. Well was producing, 1.4
MMCF/D, 100 BCPD and 2,000 BWPD. Producing 4 days after placement of HIP Plastic
Plug was 4 MMCF/D, 130 BCPD, and 180 BWD.
• Gravel packed oil well with BHT of 178°F. Well produced 400 BOPD and 108 BWPD.
Production after placement of HIP Plastic Plug was 540 BOPD and 27 BWPD.
• Gravel packed oil well with BHT of 93°F. Well was producing 33 BOPD with 1200 BWPD.
After placement of HIP Plastic Plug; production test after 2 days was 70 BOPD and 900
BWPD; production test after 2 weeks was 158 BOPD and 550 BWPD.
• Gravel packed gas well with BHT of 136°F. Production was 1.3 MMCF/D and 950 BWPD.
After placement of HIP Plastic Plug production was 1.5 MMCF/D and 10 BWPD.
• Gravel packed gas well with BHT of 160°F. Production was 8.4 MMCF/D and 2,300 BWPD.
Four weeks after placement of HIP Plastic Plug, well production was 6 MMCF/D and 480
BWPD. After five months, production was 12 MMCF/D and 1,400 BWPD.
• Gravel packed gas well with BHT of 170°F. Well produced only water by gas lift.
Immediately after placement of HIP Plastic Plug, production test yielded 2 MMCD/D, 150
BOPD, and 750 BWPD.
• Gravel packed gas well with BHT of 160°F loaded up and could not produce. After
placement of HIP Plastic Plug, well stabilized with production of 6 MMCF/D and 1,200
BWPD.
• Gravel packed gas well with BHT of 140°F. The well deviation was 57° at the gravel pack.
Production was 4.0 MMCF/D and 400 BWPD. Six weeks after placement of HIP Plastic
Plug well production was 3.5 MMCF/D and 100 BWPD. (The water production rate was
approximately 100 BWPD with a large choke size and a gas production rate of 4 MMCF/D).
• Gravel packed oil well with BHT of 164°F. This will was a straight hole with a 2-3/8” Gravel
Pack (.008” gage screen). Pre-job production 320 BWPD and 18 BOPD. After placing only
0.8 gallons of HIP Plastic Plug, post plastic job production rates were 0 BWPD and 87
BOPD.

STATIC CASING CLEANER
Static Casing Cleaner (SCC) displaces hydrocarbons from the I.D. surface of casing,
therein, preparing the surface for a high strength shear bond and hydraulic bond with
cement. SCC is a 10 ppg surfactant. It is placed in the well bore atop the bridge plug via a
dump bailer. With SCC in place, hydrocarbon films peel off the I.D. surface of the casing
and float to the top of the SCC. Subsequent cement slurry runs are bailed with the bottom
of the bailer 2 to 3 feet below the top of the SCC and are therefore less susceptible to
contamination by the hydrocarbon.
When there is oil or condensate at a plug setting depth, SCC provides an economical
means to eliminate their deleterious effects on dump bailed cement plugs.

BRIDGING MATERIAL
SPECIFICATIONS
6-12 sieved fracture proppant provides a spherical bridging material. Specific gravity is
2.62. Ceramic shot is more cost effective than steel shot, but is more prone to bridging in
the bailer.
Resieved gravel pack sand (20/40) packaged in a complete kit to make 5 gallons of HEC
sand slurry. The sand remains in suspension until exposed to BHT for a required time
period. After slurry breakdown, the sand volume will fill approximately 60% of the slurry
volume. Slurry density is 13.5 ppg.

THRU-TUBING ACCESSORIES
HYDRAULIC DISCONNECT (Model No. 305)
The thru-tubing hydraulic disconnect releases the tubing from the inflatable packer
assembly or other downhole tools. It is activated by a trip ball and tubing pressure or
tubing pressure alone. When run with an inflatable bridge plug, it serves as the primary
release mechanism. It is used as an emergency safety joint when used with other
downhole tool assemblies.

CIRCULATION SUB (Model No. 325)
The circulation sub provides a hydraulic port between the tubing and the wellbore. It is
frequently utilized when an open bore through the packer assembly is not available (i.e.
bridge plug). The port allows fluid (and setting balls) to be circulated to the packer
assembly as necessary. Inflation pressures can be attained by pumping at a sufficient rate
to build pressure in the tubing string.

PRESSURE RELIEF ASSEMBLY (Model No. 347)
The Pressure Relief Assembly (PRA) provides primary over-pressure protection when run
with a permanent inflatable bridge plug, and secondary over-pressure protection when run
with a retrievable bridge plug. This product can be utilized anytime over-pressure
protection is desired. At the desired internal tubing pressure, a piston shifts open a fluid
port to the outside of the tubing, to relieve pressure. The shifting pressure is regulated by
shear pins acted upon by the piston.

HPI, Inc. stocks Pacific-Scientific CP Percussion Detonators. These detonators have been used in
thousands of Tubing Conveyed Perforating runs. HPI clients have used over 8000 CP Detonators
without a no-fire incident attributable to the detonator.
The CP Detonator is packaged in a hermetically sealed stainless steel housing which is rated to
30,000psi at 72°F. The outside dimensions make it interchangeable with other conventional TCP
detonators (i.e., Teledyne). However, it is designed to fire at a lower energy level. The CP
Detonator does not contain lead azide yet still initiates secondary high explosives at a 3" separation
distance. The thermal stability of the detonator exceeds that of HMX explosive.

PRE-PROJECT PREPARATION
The following recommendations will help to achieve a successful plug-back. Although some of these
recommendations might not be feasible, it is important that the Project Engineer be aware of their importance.
1. If your well has a column of fluid to the surface and a positive shut-in tubing pressure, contact HPI for
recommendations. Successful plug-back of these wells is very sensitive to pressure maintenance
throughout the project. Wells with a gas cap are much less sensitive to pressure maintenance during
plug-back operations. A positive shut-in tubing pressure with a gas cap is very common and not a
serious concern.
2. Determine if one of the following deleterious elements is present at the plug setting depth:
Contact HPI for consultation if any one of these damaging elements is present at the plug depth.
Their presence can reduce or eliminate the bond between cement and casing. Oil and condensate
can retard cement to the point where it takes weeks for it to set. For best results, cement should be
dumped in clean casing and clean wellbore fluids (fresh water or brines having less than 100,000 ppm
salt concentration).
3. If possible, pump 5-10 tubing/casing volumes of sea water or other suitable brine into the well. This
should flush the well and leave a clean fluid at the plug setting depth. After pumping, allow the well to
stabilize for at least 48 hours prior to running the plug.
4. If the well is on gas lift, bleed all pressure off the casing and tubing. If possible, pump brine into the
well as described in No. 3, above. Allow the well to stabilize for at least 48 hours prior to running the
plug.
5. Generally, it takes days for a wellbore to achieve pseudo equilibrium. Fluid entering the wellbore and
gas "percolating" into the wellbore can induce channels in a cement plug. Therefore, shut the well in
and allow it to stabilize for at least 48 hours prior to running the plug. This will help to minimize the
fluid and gas movement during plug-back operations.
6. Run a stiff full length drift down to the plug setting depth. The drift should have the same running
diameter and length as the dump bailer tool string.
7. Read the Recommended HIP Running Procedures before commencing plug-back operations. These
procedures address important operations which will help to maximize project success.

HIP PLUG
RECOMMENDED PROCEDURES
Thru-tubing plug-back operations can have a high success rate if the following principles are practiced.
• Read these recommended procedures prior to handling and running the plug.
• As a matter of field experience, dumping 20 feet (or more) of cement in 7 inch and larger casing has
provided the highest plug-back success rates. Correspondingly, dumping fifteen feet (or more) of
cement in 5-1/2 inch and smaller casing has provided the highest plug-back success rates. These
cement plug lengths are recommended for all thru-tubing bridge plugs (regardless of the type or
manufacturer).
• Although HIP/WS models have provided many successful plugs without the use of supplemental
bridging material, it is always advantageous to dump 1-2 feet of additional bridging material atop the
volume carried by the HIP/WS. Supplemental bridging material is required when the well is deviated,
there is cross flow, or open perforations in the wellbore.
• Keep the well static throughout the project until the plug is tested.
• Use HIP Mix to assure a high integrity cement slurry and plug.
• Prior to closing the vent valve, dump primary cement until it is within 12 inches to 18 inches from the
vent ports.
• Wait a minimum of 18 hours after the last dump bailer run before closing the vent valve.
• Wait a minimum of 24 hours after the last dump bailer run before pressure testing the cement plug.
1. When you arrive on site, inspect the wellhead. If there is pressure at the surface, record the wellhead
pressure. KEEP THIS PRESSURE STATIC UNTIL YOU HAVE COMPLETED THE PLUG BACK
PROJECT. Pressure up the lubricator to wellhead pressure prior to opening the swab valve. Do this
on every run.
CAUTION: HIP and HIP/WS are spring loaded in the setting sleeve. IF MISHANDLED, THE PLUG

RECOMMENDED PROCEDURES
COULD PREMATURELY EJECT AND CAUSE SERIOUS INJURY. Never stand in front or behind the setting
sleeve when loaded with a plug. ALWAYS HANDLE HIP AND HIP/WS WITH CAUTION.
3. Make up HIP with a CCL. One or two bow spring centralizers should be run immediately above the
o
plug if the hole deviation is greater than 25 . For 7-5/8 inch and 9-5/8 inch HIP, install at least 150 lbs.
of weight bars above the HIP setting sleeve in the tool string.
NOTE: The HIP setting sleeve has a thick wall segment immediately below the threaded end. This segment
is approximately 2-1/2 inches long. Whenever making up a tool string or placing the setting sleeve in a vise,
pipe wrenches and vise faces should only clamp upon the thick wall segment. Do not clamp upon the thin wall
tube below the thick wall segment.
The setting sleeve should be securely screwed onto the tool string so it will not back off while GIH or
POOH. Pipe wrenches are generally used to secure the setting sleeve onto the tool string. Refer to
Figure 1 for tool string make-up.
4. Run the HIP in the hole. Once you are at depth, carefully tie in with casing collars. Locate the HIP
below the setting depth and slowly pull up to the desired setting depth. If the setting depth is not
critical, it is recommended that the bottom set of slips be set 1 foot into a perforated interval or 1 foot
below a casing coupling connection.
NOTE: The bottom end of the HIP ejects approximately 1 foot out the end of the setting sleeve when it is
deployed. This must be added to the setting depth.
Deploy HIP at desired setting depth, wait 1 minute and pull off at 2,000 FPH for 50 feet. POOH.
NOTE: If a HIP Plug is placed in the wellbore and not deployed for whatever reason, do not re-run this plug.
Run a back-up plug and return the plug to HPI to be redressed.
5. Make up dump bailer to dump bridging material. Strap the entire CCL/bailer assembly to be certain
that you can accurately locate the bottom of the bailer 2 feet above the vent valve. GIH with enough
bridging material to fill 1-2 feet of casing volume. Locate the bailer 2 feet above the vent valve and
o
dump. If the well deviation is greater than 60 , the bailer bottom should be located 2-3 feet above the
packer when the bridging material is dumped. The bailer should them be stroked approximately 5
feet to encourage dumping of the shot. Stroke the bailer 3 to 5 times above the packer. POOH.
CAUTION: RUNNING INTO THE PACKER MAY DAMAGE THE PLUG AND RESULT IN FAILURE.
AVOID BAILER CONTACT WITH PACKER.

HIP PLUG
RECOMMENDED PROCEDURES
Since the bailer cannot be set down upon the packer, it is essential that the bailer depth correlation be
determined while the tool is traveling downward and not while the bailer is pulled upward. This will allow
accurate placement of the bailer bottom in deviated wells. The bailer bottom should be properly
positioned while traveling downward and then the slack should be taken out of the line by picking up to the
"tool pick-up weight". The cement or bridging material may then be dumped.
NOTE: Review the dimensional details of the plug and the casing. Be certain that the bailer can be placed in
the annular gap between the plug and the ID of the casing. If it cannot, cement and bridging material should
be dumped within 1-2 feet above the top of the plug.
6. Make up dump bailer to run HIP Mix cement. Strap the entire CCL/bailer assembly to be certain that
you can accurately locate the bottom of the bailer 2 feet above the packer or 2 feet above the bridging
material. Fill bailer with HIP Mix cement. GIH. Once the tool is within 20 feet of the vent valve, the
rate of tool descent should be less than 1/2 foot per second (1,800 FPH). Carefully monitor line
tension to assure the bailer does not set down upon the plug. Locate the bottom of the bailer 2 feet
above the packer or 2 feet above the bridging material. Dump the slurry and wait 3 minutes. Do not
shake a bailer with cement. POOH.
The cement must be dumped in wellbore fluid, preferably a brine. The cement will not have adequate strength
if dumped in dry gas, condensate, crude oil, or in wellbore fluid containing ligno-sulfanates.
Once the first cement load has been dumped, you must not exceed the following travel speeds. This applies
to GIH and POOH.
In 2-3/8 inches tbg maximum travel speed in liquid = 10,000 fph (166 fpm)
In 2-7/8 inches tbg maximum travel speed in liquid = 12,000 fph (200 fpm)
In 3-1/2 inches tbg maximum travel speed in liquid = 18,000 fph (300 fpm)
There is no limit to travel speed when the tool string is in gas. The maximum allowable travel speed only
applies when the tool string is traveling in liquid and when the vent valve is open.

RECOMMENDED PROCEDURES
Do not exceed the maximum allowable travel speed. Otherwise, you risk channeling and damaging the
primary plug.
7. Repeat bailer runs until you have dumped enough HIP Mix to bring the top of cement to within
12 inches to 18 inches of the vent valve ports.
8. Wait at least 18 hours after your last dump bailer run before closing the vent valve. This will insure a
properly cured and strong primary cement plug.
9. Make up an EL tool string having the following structure (from bottom to top):
Or, make up a tool string having at least 150 pounds of weight bars, a lead impression block (with the largest
possible diameter) on its bottom, and bow spring centralizers on top and bottom. GIH with tool string and set
down on the top of the vent valve. Slack off at least 200 pounds to close the vent valve. You may jar down
on the plug at 3,600-7,200 FPH (60-120 FPM). Pick up and repeat two more times. The force required to
make an impression on the face of the LIB is greater than the force necessary to close the vent valve.
Therefore, a ring type impression on the face of the LIB assures valve closure. POOH at safe and convenient
travel speed. Inspect the lead impression block to confirm direct impact with the vent valve.
10. Make up dump bailer to run cement. GIH and dump cement to complete the plugging operations.
11. If the plug is to be pressure tested, wait at least 24 hours after the last bailer run before performing
the pressure test.
The very best field performance has been experienced when 20 feet (or more) of cement is dumped in 7 inch,
7-5/8 inch and 9-5/8 inch casing and 15 feet (or more) of cement is dumped in 5-1/2 inch and smaller casing.
Using this as a minimum benchmark, refer to plug length chart for cement length required for differential
pressure expected.

HIP TOOL STRING MAKEUP
2. Make a "Pig-Tail" (Item 3) and connect it to the "hot" pin (Item 2) at the bottom of the firing head. The
"Pig-Tail" should be long enough (8"-12") to stretch through the HIP Double Box Window Sub (Item
4). Place insulation over the electrical connection, ensure it is fluid tight (i.e., electrical tape, boot,
etc.). Secure with seizing cord or clamp as appropriate.
3. Make up the EL Tool String (Item 1) to the HIP Double Box Window Sub. Stretch the "Pig-Tail" out
the side window.
4. *Remove Threaded Bushing (Hem6) [not the hex nut] from the center of the hex nut atop the HIP
Setting Sleeve (Hem5). Insert an appropriate blasting cap into the open hole at the very top of the
plug until it bottoms out. Secure the squib by pulling wires thru the Threaded bushing and reinstalling
Threaded bushing into the plug [NOTE: The proper tensile stud must be selected for the blasting cap
selected. Contact HPI].
5. Partially screw the HIP Setting Sleeve into the Double Box Window Sub. Pull the two leads of the
squib so that they extend out of the side window. Securely make up all threaded connections in the
tool string. Do not place a wrench on the body of the setting sleeve more than 2" below the threaded
end.
6. Cut the two leads of the squib to length. Strip off the insulation to make the appropriate electrical
connections.
7. Secure the ground lead from the squib to the ground screw in the Double Box Window Sub.
Complete the "hot" "Pig-Tail" connection and secure the fluid tight boot over the connection. Push the
wires into the window sub and insure that they cannot extend out of the window while RIH.

TERMS AND CONDITIONS
All items to which this document refers supplied or sold hereunder or in terms hereof or
otherwise by High Pressure Integrity, Inc. ("HPI") to the purchaser thereof ("Buyer") are
sold only under the following terms and conditions:
1. Price.
(a) All prices are expressed in United States dollars net FOB New Orleans, or Field Store should HPI choose to supply Buyer from one of its
Field Stores, and, unless otherwise agreed in writing by HPI, are subject to change without notice and are at the rates in effect at the time of
order placement. Quotations will be given on request for items not shown on HPI's Price List. Any quotation will remain in effect only for the
period of validity specified therein or, if no such period is stated, for thirty (30) days from the date the quotation is given.
(b) All prices are exclusive of costs of transportation and insurance and federal, state and local use, sales, property (ad valorem) and similar
taxes and license fees, import duties and the like. Buyer agrees, by purchase of an item, to pay such costs, taxes, fees and duties and where
appropriate, report the same. When applicable, such costs, taxes, fees, and duties will appear as separate items on HPI's invoice.
2. Payment.
(a) Payment for all items is net cash United States funds on delivery or shipment except that (in respect of expendable items only and not capital
equipment items) a Buyer with an established credit account currently approved by HPI shall pay net cash within thirty (30) days following
invoice date. Partial shipments will be invoiced as made. All invoices are payable in Harahan, Jefferson Parish, Louisiana.
(b) Interest from due date until payment at the maximum rate allowable by law but in any event not more than eighteen percent (18%) per annum
will be charged on invoices unpaid sixty (60) days after due date. If unpaid amounts are collected through legal proceedings or an attorney,
Buyer shall pay reasonable attorney's fees and court costs.
All shipment and/or delivery dates are subject to HPI's availability schedule. HPI will make every reasonable effort to meet any delivery date(s)
quoted; however, HPI will not be liable for its failure to meet any quoted delivery date(s) or for any delay in performance due to any unforseen
circumstances or any causes beyond HPI's control including, without prejudice to the foregoing generality, strike, lockout, riot, war, fire, acts of God,
accident, failure or breakdown of parts necessary for completion, subcontractor, supplier, Buyer caused delays, inability to obtain labor, materials or
manufacturing facilities, or compliance with any law, regulation or order, whether valid or invalid, of any governmental body or instrumentality thereof.
Performance shall be deemed suspended during and extended for such time as any such circumstances or causes delay its execution. Whenever
such circumstances or causes have been remedied, HPI will make and Buyer shall accept performance hereunder. No penalty clause of any kind
shall be effective. As used herein, performance shall include, without limitation, fabrication, assembly, shipment, delivery, and warranty repair or
replacement, as applicable.
4. Packing.
All items shall be packed, if appropriate, for shipping and storage in accordance with standard commercial practices.
5. Shipment.
(a) All prices are net FOB New Orleans, or Field Store should HPI choose to supply Buyer from one of its Field Stores. Buyer will pay all rigging,
draying and transportation charges.
(b) Normally HPI will ship in accordance with Buyer's shipping instructions. In the absence of shipping instructions or if HPI considers Buyer's
shipping instructions unsuitable, HPI reserves the right to ship by the most appropriate method.
Title to items sold and risk of loss and damage shall pass to Buyer upon delivery by HPI to common carrier or Buyer, as the case may be, except
that title to (but not risk of loss) shall in the case of items supplied upon credit terms not pass until payment in full has been received by HPI.
(a) HPI reserves the right to change designs, materials and specifications, and to discontinue items without any notice or liability to Buyer.
(b) If Buyer issues a change order or cancels an order, Buyer shall be liable to pay to HPI the whole cost and loss incurred by HPI resulting from
such change or cancellation, as such is determined by HPI, which shall include all costs, direct and indirect, plus a pro rata proportion of
normal profit.

(c) No credit shall be given for any item returned unless returned with the prior written approval by an authorized representative of HPI. All items
returned must be returned with a written declaration by Buyer stating the reason for the return and a copy of the written HPI approval for
return. Only sales managers, field warehouse managers, major department managers, or officers of HPI are authorized to approve return of
items. Risk of loss or damage in respect of any item returned with HPI's authorization will remain with Buyer until re-delivery to HPI. A
charge of not less than twenty percent (20%) or such larger amount as HPI may consider reasonable in the circumstances, with a minimum
of $12.00 per item, will be charged by HPI on all items returned to pay for cost of inspection, repacking, handling, credit arrangements, etc.
HPI shall not be responsible for holding or accounting for any item returned without prior authorization by HPI and/or unaccompanied by the
required written declaration. If freight and other transportation costs are not prepaid on any returned item, the cost thereof will be deducted
from the credit issued. No credit will be given on any non-standard item manufactured at the request or to the individual specifications of
Buyer.
(d) Any primary equipment returned, due to job cancellation or other circumstance, must be returned in a timely manner (within 30 days).
Charges will be made on equipment returned in an untimely manner according to the following schedule.
(e) Any back-up (on loan) or rental equipment not returned in 30 days will be invoiced. Subsequent returned equipment will be subjected to a
restocking charge.
Where any item supplied by HPI contains any part or parts obtained by HPI from or supplied by another manufacturer, HPI has no responsibility or
liability whatever thereof other than to transfer to Buyer any rights capable of transfer that HPI may have in respect thereof.
Buyer warrants, by purchase of an item, that Buyer is familiar with the item and its proper use and HPI gives no warranty of fitness or merchantability
of any item for any specific purpose or use. Before using any item, Buyer shall give such item reasonable and prudent examination and/or tests to
determine the suitability of item for Buyer's intended use. Any item delivered to Buyer shall be deemed accepted by Buyer unless written notice of
defect or nonconformity is received by HPI within thirty (30) days of date of delivery. Buyer assumes all risk and liability in connection with an item
from time of delivery to Buyer.
At Buyer's request, HPI may, at its discretion, make available to Buyer employee(s) of HPI for the purpose of training Buyer or Buyer's employees in
the operation of an item supplied by HPI or such other duties as HPI may agree upon the basis only that Buyer, by such request, agrees and accepts
that HPI's employee(s) shall be under the direction and control of Buyer and be the full responsibility of Buyer and that Buyer shall supply all
necessary equipment and supplies for proper provision of the services(s) to be performed by HPI's employee(s). HPI shall have no liability whatever
to Buyer for such employee(s) while under the direction and control of Buyer as aforesaid.
Any repair to any item supplied by HPI to Buyer effected at Buyer's request outside normal working hours (8:00 a.m. to 5:00 p.m., Monday through
Friday except holidays) shall be charged by HPI at double the labor rate otherwise chargeable.
12. Warranty.
(a) Buyer, by purchase of an item, agrees and accepts that there are no warranties, express or implied, of merchantability, fitness or otherwise
made or given by HPI in respect of any item supplied by HPI. HPI warrants each new item (excluding any part of parts thereof to which
Condition 8 hereof applies) to be free from defects in materials and workmanship if, and only if, all of the following conditions are met:
(i) the item claimed to be defective has been exposed only to normal use and service, has been reasonably maintained and kept
lubricated, has been otherwise used in accordance with HPI's instructions and has not been subject to misuse, negligence or
accident, nor repaired or altered, except by an authorized representative of HPI, in a manner which in HPI's judgment may affect its
stability or reliability;
(ii) the item claimed to be defective has been returned at Buyer's expense to HPI's plant at New Orleans, LA (or such other location
closer to the location of the item as HPI may designate) within ten (10) days after Buyer first discovers the alleged defect;
(iii) examination of the item by HPI, upon return, satisfies HPI that the item is defective in the circumstances referred to in
subparagraph (I) of this paragraph (a) of this Condition and the defect claimed is due or traceable to defect in original
materials or workmanship;
(iv) the item is not one expendable in normal use which has been expended in normal use.

(b) HPI's liability under the foregoing warranty shall be restricted to the repair or replacement of the item covered at no cost to Buyer other than in
paragraph(a)(ii) of this condition, but subject, if appropriate, to Buyer paying or reimbursing HPI for fair wear and tear to such item arising in
normal use and service as aforesaid or, at HPI's option, refund of an equitable proportion of the purchase price. Repairs or replacement item
are only warranted for the remaining unexpired portion of the original warranty period.
(c) The foregoing warranty shall remain in effect only for the period of six (6) months immediately following date of delivery of item to Buyer.
(d) No attempt to repair or undertaking or promise to repair, replace or improve an item by any representative of HPI shall have the effect of
waiving, changing or extending the foregoing warranty in any way whatever unless given or made by formal waiver or amendment of these
General Terms and Conditions pursuant to Condition 14(c) hereof.
(e) All claims under the foregoing warranty must be made promptly after occurrence of the circumstances giving rise thereto and must be
received by HPI within the applicable warranty period. Such claim should include the item's description, part number, serial number (if any),
date of shipment or delivery and a full description of the circumstances giving rise to the claim. Any item returned for claim purposes shall be
sent prepaid by appropriate transportation. HPI reserves the right to reject any claim not promptly reported. Buyer is responsible for all
damage or loss resulting from improper packing or handling, and loss in transit until redelivery to HPI. If any item is returned without cause
and found out to be serviceable, Buyer will be notified and the item returned to Buyer at Buyer's expense. In addition, HPI may charge Buyer
for testing and examination thereof.
(f) The foregoing warranty is the only warranty, express, implied or statutory, upon which any item is sold by HPI, and Buyer's sole remedy in any
cause of action (whether in tort, contract, breach of warranty, or otherwise) arising howsoever on the sale and purchase or use of any item
supplied by HPI is expressly limited to the repair or replacement of the item concerned on the terms and subject to the conditions as
hereinbefore provided and all other damages and warranties, statutory or otherwise, are expressly agreed to be waived by buyer by purchase
of the item concerned. In no event shall HPI be liable for any injury, loss or damage, direct, consequential, special, incidental, indirect, or
punitive, arising out of the supply or use of any item.
Without prejudice to the specific provisions herein contained, Buyer will indemnify and hold HPI, its agents, servants, officers and employees
harmless from all loss, cost, expense, or claims for personal injury (including death) and property damage arising howsoever including negligent acts
and omissions by HPI, its agents, servants, officers, or employees, arising directly or indirectly from or incident to any item supplied by HPI.
14. Miscellaneous.
(a) All of these General Terms and Conditions including Buyer's warranties and undertaking to hold HPI harmless and indemnifying HPI shall
also apply in favor of all subsidiaries and affiliates of HPI and in favor of any manufacturer or supplier of any part or parts or any item supplied
by HPI, and their respective agents, servants, officers, and employees.
(b) These General Terms and Conditions with the addition only of such other terms and conditions as may be agreed to by HPI pursuant to the
other provisions hereof constitute all the terms and conditions of the contract between HPI and Buyer concerning the purchase of any item to
be supplied by HPI. No prior negotiation between Buyer and HPI nor any term or condition of purchase set forth in any order of Buyer or
acknowledgment by Buyer shall constitute a part of the contract between HPI and Buyer. Order confirmation by HPI in respect of the supply
of any item constitutes HPI's offer. Acceptance by Buyer is limited to HPI's said terms and conditions. Notice of objection is hereby given to
any term, provision or condition of Buyer which modifies, conflicts with, contradicts, or purports to be added to HPI's said terms and
conditions; neither HPI's commencement of performance nor delivery shall be construed as or deemed to be acceptance of such term,
provision or condition of Buyer.
(c) No modifications of the contract referred to in paragraph (b) of this Condition 14 shall be effective unless agreed to in writing by an officer of
HPI. HPI recognizes that Buyer may, for operating convenience, desire to utilize its own forms in connection with an order and, in such case,
any term, provision or condition in such form which modifies, conflicts with or contradicts (with the addition of such other terms and conditions
as aforesaid) shall be deemed to be waived unless the same is expressly accepted in writing by an officer of HPI.
(d) Failure by HPI to enforce any or all of these General Terms and Conditions in any case or cases shall not constitute a waiver of or preclude
subsequent enforcement of any of all of such General Terms and Conditions.
(e) Any attempted or purported assignment or transfer of any of the rights, duties or obligations herein contained shall render such
attempted or purported assignment or transfer null and void, provided that HPI may perform and fulfill all or any of its obligations
hereunder by or through one or more of its said subsidiaries and affiliates.
(f) Any collect telephone call made by Buyer at HPI's expense, even when accepted by HPI, is subject to be charged back against Buyer unless
made in circumstances where HPI has a liability in respect of the subject matter of such call pursuant to Condition 12 hereof.
(g) If any provision of these General Terms and Conditions is capable of more than one construction, one or more of which would render the
provision void and one which would render the provision valid, the provision shall be interpreted in the manner which would render it valid. If
any provision is determined to be void by a court of competent jurisdiction, such determination shall not affect any other provision and such
other provision shall remain in full force and effect. These General Terms and Conditions shall be interpreted and receive effect in
accordance with the laws of the State of Louisiana.

15. High Performance Thru-Tubing Tools, e.g., inflatable tools (for example, I-HIP plugs, packers, setting tools, etc.), and thru-tubing positive
sealing casing plugs and peripherals (for example, PSP plugs and setting tools).
(a) By purchasing an HPI High Performance Thru-Tubing Tool and proprietary supporting equipment, e.g., bridge plugs, packers, cement
retainers, inflatable elements, electric pump setting tools, etc. (hereafter referred to as Aa tool@ or Athe tool@) from HPI, the
purchaser/customer acknowledges that the tool contains confidential and proprietary information which are trade secrets of HPI. By
purchasing the tool, the purchaser/customer has agreed to the following terms as a condition of the sale of the tool by HPI to Purchaser.
(i) Purchaser shall not examine a tool in order to determine the detail of its construction or its specifications, or permit any others to
perform similar activities;
(ii) Purchaser shall not disassemble a tool or otherwise examine the internal construction of the tool for purposes of understanding its
form and function, where, the intent of disassembly is not strictly for quality assurance support of running the tool in service, or permit
any others to perform similar activities;
(iii) Purchaser shall use the tool only in its own business and shall not sell the tool to any others until HPI has had the opportunity to
purchase the tool from Purchaser under the same terms and conditions of any bona fide offer made to Purchaser for purchase of the
tool, provided that if HPI does agree to purchase the tool within 30 days after written notification of the offer Purchaser shall have the
right to sell the tool to the party making the offer;
(iv) After a tool has no further value for downhole use, Purchaser shall send the tool to HPI for disposal at HPI=s expense.
