CONTRACT TO SELL

 
KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL, made and executed this 12 th day of March, 2021 by and
between:
 
RUDOLPH U. SEÑERES (representing his father Rodolfo D. Señeres) and
THELMA D. SEÑERES - AGUSTIN, of legal ages, Filipinos, hereinafter referred to as
the VENDOR;

---and---

RODOLFO ROXAS GUINHAWA, of legal age, Filipino, and with residence


address 170 Timog Ave., Quezon City, hereinafter referred to as the VENDEE;

WITNESSETH;
 
        WHEREAS, the SELLER/VENDOR, being the remaining heirs, are
the absolute owners of a parcel of land (registered under the name of the late MARIA
SEÑERES) consisting of TWO HUNDRED TEN (210) square meters, more or less,
situated No. 6 Valente Drive, 15 th Avenue, Cubao, Quezon City, and covered by
Transfer Certificate Title N-186565, by the Registry of Deeds of Quezon City;
 
        WHEREAS, the BUYER/VENDEE has offered to buy and the SELLER
/VENDOR has agreed to sell the abovementioned property under the terms and
conditions herein below set forth;
 
        NOW THEREFORE, for and in consideration of the total sum of TWELVE MILLION
SEVEN HUNDRED PESOS (Php:12,700,000.00) Philippine Currency, and of the
covenants herein after set forth the SELLER/VENDOR agrees to sell and
the BUYER/VENDEE agrees to buy the aforesaid property subject to the following
terms and conditions: 
 
1. The total consideration shall be TWELVE MILLION SEVEN PESOS (Php:
12,700,000.00), Philippine Currency, payable as follows:

a) The amount of ONE HUNDRED THOUSAND (Php: 100,000.00) PESOS,


representing as reservation money shall be payable by the BUYER/VENDEE to MR.
RENESES T. SEÑERES on behalf of the SELLER/VENDOR upon signing of this
Contract to Sell;
 
b) In the event that the BUYERVENDEE did not push through the sale transaction the
reservation shall be deemed forfeited.

c) The BUYER/VENDEE shall pay, in full, the remaining balance of P12,600,000.00 to


the SELLER/VENDOR after the latter have vacated all the tenants in the property
subject of this contract to sell which shall be deposited to the SELLER/VENDOR’s
designated bank account. It is agreed upon that the gross proceed of sale shall be
divided and broken down as follows:

1. First Portion – Rodolfo Seneres : Php. 7,875,000.00


2. Second Portion – Thelma Seneres Agustin : Php. 2,625,000.00
3.Third Portion - Reneses T. Seneres : Php. 2,200,000.00 (for payment of
CGT, Estate Tax, Legal Fees, and miscellaneous,
as well as broker’s and agent ‘s commission).
 

d. The BUYER/VENDEE shall shoulder the documentary stamp tax and transfer tax.

2. Upon full payment of the total price, the SELLER/VENDOR shall sign and execute
a DEED OF ABSOLUTE SALE in favor of
the BUYER/VENDEE. The SELLER/VENDOR shall likewise execute and/or deliver any
and all documents, including the original copy of Transfer Certificate of Title, Tax
Declaration and all other documents necessary for the transfer of ownership
from SELLER/VENDOR to the BUYER/VENDEE.
 
IN WITNESS WHEREOF, the parties have hereunto affixed their signatures, this
12TH day of March, 2021 at Quezon City, Philippines.
