TRAINING/GRADUATE STUDIES AGREEMENT

THIS AGREEMENT is entered into this ___ day of _ ______ ___ by and between __
_________________ (hereafter referred to as “I”, “me”, “my” or employee) and GC & C Group
of Companies (hereinafter referred to as the Company).

WITNESSETH:
WHEREAS, I acknowledge that the Company intends to provide assistance for my
Training/Graduate studies/graduate studies; and

WHEREAS, I acknowledge that the Company has an interest in my continued

employment in order to benefit from my Training/Graduate studies and would not expend the
time and expense of Training/Graduate studies except for my agreement to continue
employment; and

WHEREAS, I acknowledge that the Company will expend funds for my

Training/Graduate studies during my employment; and

WHEREAS, as consideration for the personal benefit I will receive from the
Training/Graduate studies paid for by the Company, it is agreed as follows:

1. The Company agrees to and will provide assistance to my Training/Graduate studies as

follows:

2. I agree that should I fail to meet the terms and conditions of this agreement, that the
amount owing to the Company is a legal debt and obligation and the amount owed by me
may be totally or partially offset against, and deducted from, my final payroll check or
any other funds owing to me by the Company. If I resign from the Company, or, if I am
terminated for cause, which cause is within my control, within twenty-four months of the
date of the Training/Graduate studies, I will reimburse the Company for my
Training/Graduate studies cost in accordance with the following schedule:

A. If I work less than six full months from the date of the Training/Graduate studies,
100% of the Training/Graduate studies expenses payment will be returned to the
Company.

B. If I work at least six months, but less than 12 full months, I agree to return 75%
of the Training/Graduate studies expenses payment.

C. If I work at least 12 full months, but less than 18 full months, I agree to return
50% of the Training/Graduate studies expenses payment and at least 18 full
 months worked, but less than 24 full months – I agree to return 25% of the
Training/Graduate studies expenses payment.

3. Should it become necessary for the Company to attempt to collect the Training/Graduate
studies cost, I further agree to pay all collection costs, including the costs of filing suit
and reasonable attorney fees incurred by the Company as well as interest allowed at the
legal rate on the amount owed by me.

4. I understand that all terms and conditions of my employment remain unchanged by this
Agreement and that this Agreement in no way guarantees my right to continued
employment. All Company rules, regulations, and procedures are in full effect during
my employment with the Company. I recognize that this Agreement has no effect on the
authority of the Company to invoke disciplinary actions or to terminate my employment.

5. I also acknowledge that I have had sufficient time to examine this Agreement and that I
fully understand the contents herein.
