COOPERATION AGREEMENT
INTRODUCTION

1.1. Background

A fundraising event is a social event that provides the society with support
for a good cause. By definition, a fundraising event is defined as a social
gathering that raises money for the nonprofit organization (Klein 2000). This
involved requesting attendance for a fee or ticket charge, but offering some form
of entertainment in exchange (Greenfield 2002). This event is also held in hope to
provide an opportunity to develop new stakeholders, and to strengthen
relationships of current supporters.
With the continuous spread of the COVID-19 across the entire world, we
are determined to establish an event that would not only bring benefit to one’s
health, but to also spread awareness of the plight of others that are infected by the
COVID-19. We believe that spreading knowledge and giving solutions to people
will make them more likely to help others and spread positivity to people around
the world.
We found that most people experiencing this pandemic are stuck at home.
Gyms are closed and instructors are hard to come by which gave us the idea of
solving two problems with one solution. This event was set up to give the people
staying at home an idea to get fit while simultaneously donating their money for a
good cause. If we were to achieve our goals and even further beyond that, it
would tell the world that there is still hope to see a cure and it may even
encourage others to follow our steps which will make the quest to find the cure of
COVID-19 much faster to end to all this misery, and to end the lockdown
imposed on all of us to return to normalcy.
Our organization may not be the biggest contributor, but we are still going
to do our part in saving those that need it the most in this current situation, and
stemming the tide of infections by giving everything we can when asking people
to help our cause.
1.2. Objectives of the Event

The objectives of this fundraising event are:

II. EVENT PROFILE

2.1. Overview and Concept

Healthy Heroes is a charity organization specifically established to fight


against the rampant effects of COVID-19 and is set up in the hopes that we will,
at the very least, stem the tide of dying people in our country and to help in any
way that we can. What motivates us is knowing that every single penny donated
to us will help a human being fight for another day and may even win their battle
against the virus that have taken so many already and left people without loved
ones who can never be replaced. If we cannot cure everyone we can, at the very
least, we should ensure no other person is infected and that the virus stops right on
its tracks. Promoting an effective way to protect yourself and others is important
and if we can educate just one person, then all of our efforts would have been
worth it because nothing is more precious than an innocent human soul.
Our organisation is called Healthy Heroes because the method in which
we use in our charity event is to convert charity money into healthy activities that
can improve one's health and can be done by people to better improve their life
hence the word ‘Healthy’. The prospect of saving people, especially children and
elders makes any person who signs up as a hero in their own right for doing what
is good. By helping others without any financial incentive or monetary value
makes them a beacon of hope and an example of humanity, hence the word
‘Heroes’. We envision our Healthy Heroes to be examples of what people can do
when they are working together and what good we can do as a species if we look
at each other as people and look at those in need as just those that need our help.
Our main method of gathering people together will be the use of streaming
platforms such as YouTube, Twitch, Zoom and even our own website. The reason
for the use of these websites is the fact that they have a built in donation button
already available without us creating one and is helpful in case there are those that
want to donate more than they already have. Our website
(www.healthyheroes.com) also provides our own donation services available
where it can be easily accessed by those that want to donate. In addition, we also
offer our own care packages from our sponsors and have our own branded goodie
bags to remember us by and to remind others to fight the good fight. The
minimum donation on our website is Rp25,000, and anything above that will be
considered as extra donations. In return, those that donate at least Rp25,000 will
have their goodies that we offered sent to them.

2.2. Form of Event

2.1.1. Charity Run


Charity runs are very common in these kinds of events because
they are one of the best and most exposed forms of charity methods. The
difference in our organization is that we are currently in a pandemic and
large gatherings of people are not advisable because the spread of the virus
can happen very fast among people that are really close to each other.
After some thought, a solution that we came up with was to set up a
charity goal and the more money that is put into that goal, the further we
would run. Those that are going to attend this run must have a specific
application that can be found on our website that monitors the distance
that they have run to ensure the runners are really running for that
distance.
There will also be a competition in this event involving captured
footage, whether it’d be through a GoPro or a phone, which requires the
participants to record their journey while running and is eligible to be put
into the competition. The first place winner will be awarded with a large
gift basket, five coupons, a Hydro Flask and a virtual photo with the
MC’s. The second place winner will earn a medium-sized gift basket,
three coupons and a virtual photo with the MC’s. And the third-place
winner of this competition will earn a small gift basket, a coupon and a
virtual photo with our MC’s. These prizes will be delivered to the
participant’s respective address.
In this event, some of our crew will also be participating both for
their own beliefs and promotion purposes where a drone is set up to
document their run and to have inspirational music and messages to ask
people for help. Our volunteers would indeed have to run for some time so
they have to be decently fit and should wear protective masks to show the
proper way of running safely. We would also post messages about the
importance for participants to take a break to hydrate themselves, and the
need to carry water bottles in every run that is being hosted in case
the runners get too exhausted without any way of refreshing themselves.

2.1.2. Online Zumba


Zumba is one of the most famous ways people get healthier due to
the simple fact that exercising while dancing is considered way more
exciting and fun and it does a similar job with similar results compared
with regular exercising. Signing up to our charity event will enable
participants to have a Zumba expert showing how to optimally do Zumba
in a very closed environment where regular exercise is either really hard or
practically impossible. Our expert would be a renowned Zumba instructor
and he/she will be paid for his/her services. Our crew will also be present
to participate in the Zumba as volunteers to help those that are more shy to
follow the routine as fast as others.
To give a more authentic and better experience for the participants
in Zumba, our volunteers and experts will do two Zumba classes
depending on what our participants require. This is because everyone has
their own limits and forcing them to participate in something that can
injure them is not something we want to do; so separating them into
groups of similar skill is best. For our experts, they will do the most
complicated ones because they are trained professionals, but our
volunteers would be trained in more simpler Zumba dances and will be
separated from the experts. This is so all participants would have a choice
between the harder Zumba that require a bit more stamina and endurance
to the simpler ones that don’t require as much energy but are effective as
well.
Participants will be able to send messages through donations using
the Twitch app; this feature enables participants to request specific
methods of Zumba. Participants that do not donate will also be listened to
but participants who donate more will be prioritized first for their
contribution in helping the cause fulfill its goal.

2.1.3. Cycling Charity Goal


Cycling will be set up similarly to the running event but with a few
tweaks. Cycling would have a longer distance because participants can
cover more distance than running as it would put the participant into a
mode of transport like a bicycle. So the charity goal will have a modifier
for the distance a bicycle has to travel, unlike the running event.
Participants participating in this sport activity are encouraged to always
equip themselves with protective gear and to bring along their water
bottles with them.
Healthy Heroes would also like to also use the same photo
competition as the running event in this cycling event. However, we must
stress that the safety of the riders is the most important aspect and we will
not be held responsible for any injuries occurred during an attempted
photo shoot for our competition. We would, again, set up our own
promotion video with drones to have shots to spread our message to
people and to have a higher reach to people.

2.1.4. Online Yoga


Yoga is a form of relaxed exercise compared to other exercises and
is mostly used for participants trying to keep active during quarantine
without too much sweat and effort. The online yoga will be led by an
instructor to guide the participants that will be divided into two classes
based on their gender to reduce the amount of uncomfortable feelings and
unwanted attention by other participants, and to create a safe environment
for everyone involved.
For this reason, participants need to provide themselves with a
yoga mat and other equipment they would need. Online yoga sessions are
also very informative in which the instructor needs to explain what they
are doing and what effects each movement has on the body. This yoga
session will also be complemented with relaxing music. Calming music is
important to improve and affects one’s body and mind in many ways
psychologically. Thus, music is necessary to set the mood of the
participants so their body and mind can react correctly.

2.1.5. HIIT Goals


HIIT, which stands for High Intensity Interval Training, is
essentially cardio without running. It is considered as one of the hardest
workouts to do as it is very intense for a very short period of time and not
everyone is capable of doing it, but that is part of the challenge.
The charity goal would be the amount of sets that needs to be
achieved by the participants. HIIT workouts would need to be recorded
and timed so that participants can make a comparison with each other. By
the end of the session, an all-time best-time participant will be announced
while showcasing the participant with the best-time to encourage and
show others how the best does it.
The HIIT session will be separated by genders because both
genders have inherited advantages and disadvantages. Thus, the male
participant will compete with other male participants, and the female
participant will compete with other female participants.

2.4. Target Participant

The target participants for our seven-days charity event are people of all
age with an interest in the sport field. In addition, the expected total number of
participants of this event is 700 participants with around 100 participants joining
each day.

2.5. Registration Fee

The registration fee to join the sport activities in the Healthy Heroes event
costs Rp150.000 per person; this includes a starter kit that will be given to all
participants before the event starts. While the costs to join the webinar session is
Rp20.000 per person.

As seen from the table above, the source of our income comes from the
sale that we will make from selling our starter kit. Meanwhile, for our expenses,
there are the fixed cost and variable cost. Fixed cost is the cost that will not
change despite the quantity of the participants, including the staff and website
marketing will change. On the other hand, variable cost is the cost that will
change along with the amount of participants and the quantity of goods sold. This
cost includes all goods needed to hold the webinar, the activities, and YouTube
ads which will change according to the amount of viewers who sees the
advertisement. For a minimum of 30 seconds, the cost for one YouTube
advertisement viewer ranges from Rp1,500 to Rp4,500; this cost varies depending
on the video quality, target and the type of advertisement. Lastly, the cost of our
intermediary for having 100 participants in the Zoom Meeting is Rp224,000.
If the targeted participants is achieved, the estimated contribution of this
event is around Rp38,229,550, with not more than 5% unexpected cost which will
be covered by the contingency budget.

The chart above shows the prediction of the number of starter kit packages
that we are required to sell in order to cover the expenses of the starter kit
packages. As it is seen from the chart above, to cover the expenses that we spent
for the starter kit, we need to sell at least 20 starter kits; this is our breakeven
point. In the case where the targeted sale is below the breakeven point, then we
will make a loss. Meanwhile, if the sales is above the breakeven point, then we
will generate profit.

The chart above shows the expected participants in the webinar in order to
cover the expenses, including the fixed cost and variable costs. As seen in the
chart above, a total of 100 participants is targeted in this webinar. Thus, we need
to have
at least

participants, which is the break even point, to cover the expenses of the webinar.
If the participants below break even points, then we will make a loss. However, if
the number of participants exceeds the break even point, then a contribution will
be made.

2.10. Promotion Method


To reach out more potential participants and to increase their awareness of
our event, we will use several types of promotion which include:

2.10.1. Online Advertisements


Online advertisements such as Instagram advertisement, YouTube
advertisement and Facebook advertising provides a platform for us to reach our
potential participants. These platforms are used because they have the furthest
reach, the most users that can help our cause. People are on these sites for most of
their free time which increases our chance of being noticed.

2.10.2. E-Brochures

E-Brochures is a form of virtual platform that can attract viewers with


engaging content and influence their decision to join the event. It serves as a
convenient way to tell people more about our organization without having to
repeat ourselves every time someone asks. Unlike actual brochures, e-brochures
do not use unnecessary space and can be put into a person's phone for later use. In
addition, if people are interested in the organization as a whole, they can get one
without ever leaving their house and getting potentially infected which is against
our own objectives.
2.10.3 Official Website and

As can be seen nowadays, most people are using social media as a tool to
promote their event, their brand, their products, and simply using social media for
fun. Therefore, we believe that the use of social media such as Twitter, Instagram
and Facebook helps to increase participant’s awareness of our event.
Our website, which is www.healthyheroes.com will provide more
information about the event as well as the vision and mission of this event. In this
website, we will also provide a registration form for participants to fill in to join
our event.

2.11. Intermediary

To host the Healthy Heroes event, we will use Pro Zoom Meeting as it is
suitable during this current pandemic situation which requires everyone to
minimize their physical contact with one another. As through this app, we can
hold a meeting at any time, anywhere and with up to 100 people, our target
participants every day, around the world without having any physical contact.
Through this app, we can also record the whole event where it can then be used as
our documentation.

1. This agreement only covers from 14th September 2020 to 20th September 2020 with the
provisions between the two parties jointly at Healthy Heroes.
2. This Letter of Cooperation Agreement is effective and binding after the Letter of
Cooperation Agreement is signed by both parties and will end on the 20 th September
2020.

CLAUSE 3
OBLIGATIONS OF THE FIRST PARTY

1. FIRST PARTY obligated to fulfill the Exposure Demand of the sponsors that have
agreed to support the organization.
2. FIRST PARTY is obligated to use products/services that are provided by the sponsors in
accordance to their contract.
3. FIRST PARTY is obligated to answer any questions given to them by their sponsors to
minimize any and all miscommunication.
4. FIRST PARTY is obligated to provide the necessary infrastructure/distribution methods
for the sponsors to do their part effectively.

CLAUSE 4
OBLIGATIONS OF THE SECOND PARTY

1. SECOND PARTY is obligated to supply their products in accordance to the contract that
they have signed to work with the FIRST PARTY.
2. SECOND PARTY is obligated to provide the agreed upon promotion efforts that they
have agreed upon.
3. SECOND PARTY is obligated to stay in the event for as long as it lasts or for as long as
their contract states.
4. SECOND PARTY is obligated to cooperate with FIRST PARTY in areas such as
distribution for the most effective method of cooperation.

CLAUSE 5
FORCE MAJEURE
1. What is meant by Force Majeure are government regulations, riots, accidents, wars
(announced or not), natural disasters such as earthquakes, tsunamis, floods, and all events
beyond the control of all human beings relating to the implementation of this agreement.
2. If an event occurs that is a Force Majeure, as defined in article 5 paragraph 1, the party
affected by Force Majeure must submit a notification accompanied by a complete written
statement regarding the incident to the other party no later than seven calendar days
Indonesian National since the event of the Force Majeure.
3. If the party affected by Force Majeure becomes unable to carry out the obligation or
fulfill its responsibilities in this agreement either as a whole or in part, both parties will
be consulted regarding the appropriate course of action for taken, including suspension or
termination of the agreement.

CLAUSE 6
ARBITRATION

1. Both parties will try to solve every problem, dispute, controversies or claims which may
arise from this agreement naturally go through direct negotiations based on good faith,
mutual trust and integrity.
2. If peaceful efforts through the negotiation process are not successful, then the problem
arises can be referred to the arbitration process based on Indonesian Law and an
arbitration decision is made as a final decision on a dispute or a claim that is binding on
both parties.

CLAUSE 7
ET CETERA

1. All that is not sufficient and not yet covered in this Letter of Cooperation and / or any
modifications to this Cooperation Agreement will be determined together between the
parties in the form of a written agreement so as to be an integral part of it not
withstanding this Agreement.

CLAUSE 8
CLOSING

1. This agreement was made by both parties on paper which is stamped using two REAL
duty stamps, which have the same legal force. One for the FIRST PARTY and one other
for the SECOND PARTY.
2. This Letter of Cooperation Agreement is made and agreed upon by both parties aware,
voluntary, and without coercion from any party.
