GENERAL SALE CONDITIONS

These sale conditions are the only valid until their replacement or cancellation.
Motorscan S.p.A. has the right to make any changes to the characteristics referring to the technical field and price.

1. PRICE
All prices are ex works and out of taxes.

2. GENERAL TERMS OF PAYMENT

In advance or C.A.D. for amounts up to Euro 5.000
Letter of Credit at sight for amounts over Euro 5.000.
Any special payment delay shall be agreed by Motorscan S.p.A. through a written notice.
Interests on delayed payment will be calculated according to the current prime rate, increased of 4 points, and of any
eventual additional costs.

3. CLAUSE OF OWNERSHIP
Motorscan S.p.A. shall retain absolute ownership of the property of the goods until it receives full payment of the
invoice amount.

4. DELIVERY CONDITIONS
Delivery date shall be given only after order confirmation. Motorscan S.p.A. does not accept any penalty due to a
delay of delivery.
In case of urgent orders and needs the Customer shall contact Motorscan S.p.A. in order to require the delivery date
before placing the order.

5. TRANSPORT
Transport freights for the delivery of products for sale and also for the return of goods for repairing are at the
Customer’s charge.
Before collecting the goods, the Customer shall carry out the inspection of the packages and also of the respective
delivery notes: he shall do this either if the goods are collected at Motorscan S.p.A. or if the transport is carried out by
a forwarder agent. In this last case, the eventual claims shall be addressed to the forwarder agents themselves.

6. WARRANTY
The warranty of products and spare parts is 12 months from date in which the equipment leaves the Company.
Possible manufacturing defects must be notified by the Buyer through written notice by Registered Letter with advise
of receipt within 8 days since they have been discovered.
The warranty for the a.m. defects can be enforced by the Buyer within 12 months from the product delivery.
Damages and/or malfunctions due to carelessness and negligence in the use, to wrong installation and /or
maintenance and/or reparations, to maintenance and/ or reparations carried out by non-authorised staff, and the
damages due to transport shall not be covered by warranty.
Reparations shall be executed by Motorscan S.p.A. or by the authorised centres after the reception of the goods in
carriage-free. The return of the goods to the Customer will be done in carriage forward.
Possible extensions of the warranty shall be notified by writing.

7. RESPONSIBILITY

Motorscan S.p.A. has no responsibility, nor obligation for accident to people or to goods deriving from the incorrect
use of the instruments supplied.

8. RETURN OF GOODS
Eventual returns of defective goods must be authorised by Motorscan S.p.A.. All parts returned without corresponding
serial number of the unit will be repaired and invoiced to the customer. The customer will pay the freight cost to get
these materials to Motorscan S.p.A..

9. SOLVE ET REPETE

The Buyer, who claims for any problems or for any other reason, shall not delay or suspend the established payments
or raise exceptions on the obligations of the same payments, nor undertake judicial actions, before having settled
them.

10. CLAUSE OF COMPETENCE

In case of dispute the competent Court will be the one of Parma
