MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement made and entered into by and between:

MARVIN T. CINCO, of legal age, Filipino and residing at Brgy. Sabang, Baler Aurora,
herein called the “SYSTEM DEVELOPER”

-and-
RAVEN VON-GRAY RAMA, of legal age, Filipino and residing at 110 Utap, Tacloban
City, herein referred to as “CLIENT”.

WITNESSETH

WHEREAS, The SYSTEM DEVELOPER, is engaging the CLIENT to develop a

Student Information System to be utilized in his school.

WHEREAS, the SYSTEM DEVELOPER, is technically capable, possess the creative

resources, and is willing to provide the required services to the CLIENT for the aforesaid
project.

NOW, THEREFORE, for and in consideration of the foregoing, the parties hereby
agree to the following terms and conditions.

1. OBLIGATION OF THE SYSTEM DEVELOPER

A. Provide technical expertise and creative resources needed for the development of
the project as indicated under this agreement.
B. Design the project framework, formulate methodologies, and perform the needed
development activities in order to accomplish the objectives set forth for this
project.
C. Provide the CLIENT progress reports on the technical status of the project.
D. Ensure that the user requirements and specifications are met. These requirements
include the following:
 Admission Management Module:
- Generation of unique ID
- Previous education details can be recorded
- Uploading of photographs
- Manage students’ profile
- Assessment report.
- Fee payment summary report
- Record of address details
- Keep record of Applicants details.
  Student Management Module:
- Generation of unique ID
- Complete student profile along with photographs
- Updating family and guardian details
- Document uploading
- Data import
- Auto roll number generation
- Student ID
- Well- design report
- Grades

 Homework Management Module:

- Upload and download homework
- Share videos and PDF files
- Student can complete the homework and submit it online
- Teacher can download the assignment submitted by the students
and can share their comments and grade it.

2. OBLIGATION OF THE CLIENT

A. Provide remuneration as agreed by both parties upon completion and transfer of
the sytem. The total amount set in by both parties is Five Thousand Pesos (Php.
5,000.00) for the labor and external inputs of the Project Development.
B. The client will provide a 50% downpayment for the project development
expenses. And when the project is completed then the Client will pay the balance.
C. The CLIENT agrees not to, and will not permit others to license, sell rent, lease,
assign, distribute, transmit host outsource, disclose or otherwise commercially
exploit the system in any ways or make the system available to any third party
without prior consent of the SYSTEM DEVELOPER.

3. OUTPUTS
The following are outputs of this undertaking to be submitted by the SYSTEM
DEVELOPER to the CLIENT:
a User's Manual
b. Software Installation, Package

4. CONFIDENTIALITY
The CLIENT including its members shall preserve and maintain in utmost confidence
and shall not use for its own purposes nor divulge, communicate, disseminate, or
otherwise disclose in any manner whatsoever, without the prior written consent of the
PROJECT MANAGER, any and all information they acquired, obtained, and developed.

5. DURATION OF CONTRACT
This agreement shall be effective upon complementation of the signature of both parties
and shall remain in full force for a period of ONE and half (1 1/2) months beginning
February 8, 2021 unless terminated by mutual consent as the exigencies of the services. It
is further agreed, that this contract may be used solely for the purpose stipulated herein,
specifically, as providing solution to the problems identified by the CLIENT, and for
software development methodology experience by the SYTEM DEVELOPER.

This Agreement shall be modified or amended only upon mutual agreement of parties in
writing.

IN WITNESS WHEREOF, the parties have hereunto set their hands on the date and a the
place first above written.
