Dear Mr. Dinesh,

Reference to the interview conducted with you on 13th May 2010, we are happy to offer you the job as
Trainee Engineer at BSS Technologies, Abu Dhabi U.A.E.
We take this opportunity in wishing you the very best in your new employment as well as advising you
that our offer for employment is on the following terms and conditions:

1. Period of Service: Your employment with BSS Technologies or its affiliate companies shall
commence once your visa formalities are completed. The first 6 (Six) months of employment
shall be probationary. Your employment shall be for an initial period of Three years from the
date of successful completion of Probationary period. The employment contract between you
and BSS Technologies will be renewed unless either side notifies the other on the contrary.
You shall, for the purpose of your employment with us, sign all the necessary documents for
submission and approval of the government authorities.

2. Designation and Salary: You shall be employed as Trainee Engineer with us and your
benefits will be as follows:

a. Remuneration: AED 1,500/- (AED One Thousand Five Hundred Only) per month all
inclusive. This shall be raised to AED 1,800/- (AED One Thousand Eight Hundred
Only) after 6 months and also reviewed based on your performance and commitment.

b. Placement: You will be reporting to Abu Dhabi Head office Administration Department
and might be placed in any Offices under Company Management any where as and
when required.

c. Allowances: Included in the above remuneration.

d. Accommodation: You will be provided with a sharing accommodation.

e. Transportation: Included in the above remuneration.

f. Medical Benefits: During your employment with us, we shall provide you with the
means of medical care as required by the ministry of labor and as covered by the
workmen compensation policies. Regular illness is not included.

3. Leave: You are entitled for 45 days of paid holiday on successful completion of 18 Months of
continuous service.

4. Passage: You will be entitled to economy class return air passage between Abu Dhabi and to
the nearest airport to your home town for each successful completion of 18 months of
employment and entitlement of holidays.

 5. Joining: You should bear the one way ticket to join the service in the beginning of your service
with BSS Tech.

6. Visa: You shall be provided with a permanent residence visa if necessary. All Expenses shall
be borne by the company except the visa stamping and the medical shall be to the employee
account. However if you have decided to resign from employment before the completion of
contract period, you shall reimburse the company all expenses related to your employment
visa.

7. Working Hours: Normal Conditions, you are expected to work five and a half days a week, out
of this Saturday thru Wednesday is normal working day and Thursday half day. On site, the
working hours shall be at client’s/project requirements.

8. Termination: We shall be entitled to terminate your services by giving at any time one month
notice in writing or salary in lieu thereof: We shall be entitled to terminate your services without
any notice or salary in lieu thereof in the event of your neglecting company interest or
misconduct yourself in any way whether in relation to company affairs or otherwise, and
company decision in this behalf shall be conclusive and binding on you.

9. General
a. You are expected to comply strictly with Company policies and principles. During your
work, you are not allowed to take any assignments other than those given by company.
b. You shall serve the company for a minimum of 3 years. Incase of failure, you shall bear
all expenses incurred by the company for your employment with the company.
c. You shall not join in any company whether national or international company competing
with BSS Technologies or to associates of BSS Technologies directly or indirectly for
two year from date of relieving duties from BSS Technologies either by termination /on
resignation of employment.

10. Confidentiality: It is company policy to strictly adhere to confidentiality of information’s

documents that may have come across to the attention of employee during the tenure of
employment. Any disclosure of the contents to other employees, or to any other person is a
serious offence, also to divulge or discuss the details of his or her salary package with any
colleague or anyone else related to or otherwise and/or with anybody who may be seeking
employment or to any outsider. Also it is equally offensive to share or pass any information on
company business activities to anybody whether national or international competitor or
otherwise which could directly or indirectly damage the company business or reputation
