1.Context:
Infosys Limited (‘Infosys’ or ‘the Company’) has been an early adopter of Corporate Social
Responsibility (‘CSR’) initiatives. Along with sustained economic performance,
environmental and social stewardship is also a key factor for holistic business growth. We
established the Infosys Foundation in 1996 as a not-for-profit nodal body aimed at providing
a dedicated approach to community development and also to fulfil our CSR commitments.
Infosys Foundation works towards removing malnutrition, improving healthcare
infrastructure, supporting primary education, rehabilitating abandoned women and
children, and preserving Indian art and culture. Infosys Foundation partners with non-
government organizations (NGOs) to make a difference among local communities. The
Company’s focus has always been to contribute to the sustainable development of the
society and environment, and to make our planet a better place for future generations.

2.Objectives:

Infosys CSR Policy intends to:


• Strive for economic development that positively impacts the society at large with minimal
resource footprint.
• Embrace responsibility for the Company’s actions and encourage a positive impact
through its activities on hunger, poverty, malnutrition, environment, communities,
stakeholders and the society.

3.The CSR culture

Infosys has been an early adopter of CSR initiatives. The Company works primarily through
the Infosys Foundation, towards supporting projects in the areas of protection of national
heritage, restoration of historical sites, and promotion of art and culture; destitute care and
rehabilitation; environmental sustainability and ecological balance; promoting education,
and enhancing vocational skills; promoting healthcare including preventive health care, and
rural development. In fiscal 2020, the Company’s CSR efforts included COVID-19 relief in
multiple states.
Over the years, Infosys has been focusing on sustainable business practices encompassing
economic, environmental and social imperatives that not only cover business, but also the
communities around it. The company focuses on social and environmental responsibilities to
fulfil the needs and expectations of the communities around its business. “Our Corporate
Social Responsibility (CSR) is not limited to philanthropy, but encompasses holistic
community development, institution-building and sustainability-related initiatives.”, the
Company said.
4.CSR Policy
 Infosys CSR Policy intends to:
 Strive for economic development that positively impacts the society at large with
minimal resource footprint.
 Embrace responsibility for the Company’s actions and encourage a positive impact
through its activities on hunger, poverty, malnutrition, environment, communities,
stakeholders and society.

5.Undertaking CSR activities

 Infosys will undertake its CSR activities, approved by the CSR Committee, through
the Infosys
 Foundation or such other entity/organization as approved by the CSR Committee.
 The surplus arising out of the CSR activities, projects or programs shall not form part
of the business profit of the Company.

6. CSR Governance

Company’s broad objectives, as stated in its CSR Policy, includes making a positive impact on
society through economic development and reduction of our resource footprint and taking
responsibility for the actions of the Company while also encouraging a positive impact
through supporting causes concerning the environment, communities and our stakeholders

7.CSR Committee

According to the guidelines of the Ministry of Corporate Affairs, the Company has
constituted a Board-level CSR Committee to monitor the implementation of the Corporate
Social Responsibility Policy of the Company from time to time. The Company’s CSR policy and
initiatives highlight the vision and list of delineate the vision, mission, thrust areas, and
critical requirements as per the Schedule VII of Section 135 of the Companies Act, 2013
which lists out various areas in which corporate entities are expected to deploy their CSR
funds and implement programs for social development. The Infosys Corporate Social
Responsibility Committee comprises two independent directors and one whole-time director
as members:
1) Ms. Kiran Mazumdar Shaw (Chairperson)
2) Dr. Punita Kumar-Sinha
3) Mr. U.B. Pravin Rao
4) Roopa Kudva (On completion of her tenure as an independent director, she ceased to be a
member of the committee effective February 03, 2020)
The CSR committee performs the following functions:

 Recommend the amount of expenditure for the CSR activities, and


 Monitor CSR activities from time to time.
The committee meets every quarter to create strategy and monitor actions as well as
outcomes of Infosys’s social development projects.
Infosys Foundation is headed by noted author and philanthropist Mrs Sudha Murthy. The
leadership team comprises the stalwarts of the company which include Mr U.B. Pravin Rao,
Mr Ramadas Kamath, Mr Binod Hampapur and Mr Sunil Kumar Deveshwar.

8.Implementation:

The Company through a registered trust or a registered society can undertake CSR activities
as per the provisions of the Companies Act, 2013. Accordingly, Infosys Foundation or such
other entity will work closely with and support the Board and the CSR Committee in
implementing CSR activities of the Company.

Infosys Foundation or such other entity will assist the CSR Committee in identifying the
areas of CSR activities, programs and execution of initiatives as per defined guidelines.
Infosys Foundation or such other entity will also assist the Board and the CSR Committee in
reporting the progress of deployed initiatives and in making appropriate disclosures
(internal/external) on a periodic basis.

9. Focus Areas

Health Care:
Access to primary healthcare, awareness of basic hygiene, and treatment of underprivileged
patients beg attention. The Infosys Foundation advances healthcare by augmenting existing
healthcare infrastructure. Since its inception in 1996, the Infosys Foundation has constructed
hospital wards, built dharmshalas (rest houses), and provided medical equipment to various
hospitals across India. The Foundation has also donated medicines in addition to organizing
health camps in rural India. The Infosys Foundation has donated more than INR 50 crore to
expand the capacity of hospitals across India and is involved in several healthcare programs.
 Vision for a blind-free India: The Foundation’s association with Sankara Netralaya
aims to provide financial aid to the economically weaker sections of society.
 Caring and comforting the ill: Joining hands with the Swami Vivekananda Integrated
Rural Health Centre (SVIRHC), the Foundation has contributed immensely towards
the eradication of leprosy.
 Personalized treatment for psychiatric and neurological problems: Collaborating
with The National Institute of Mental Health and Neuro Sciences (NIMHANS).

Education:

 In 2014, Infosys Foundation partnered with Avanti Fellows, a non-profit which works
on a unique “peer learning” pedagogy, which has been developed after 20 years of
research at Harvard University Infosys Foundation started the Spark-IT program in
September 2014.
 Specifically, for engineering students, the three-month course aimed to provide
technology and communication skills training to those who consistently performed
well academically.

Rural Development:
The Foundation has donated more than INR 40 crore for rural development and
livelihood projects such as awareness campaigns on hygiene, sanitation, vocational
training and entrepreneurship.

Women Empowerment:
 Infosys is a signatory to the UN Women’s Empowerment Principles (WEP).
Our efforts on gender diversity in the organization emphasize the
participation of women in technology and management. Our workplace
policies and investments inthe development of specific interventions for
women as they navigate different stages of their personal and professional
lives, are key.
 Infosys is partnering with NASSCOM in a unique initiative Women Wizards
Rule Technology1 (W2RT) that is designed to skill 10,000 women in the new
and emerging technologies for Indian industry.

Environmental Sustainability
 Carbon Offset Program:In 2011, Infosys made a commitment to become
carbon neutral. Since then, we have been relentlessly working towards this
goal. This year, the United Nations recognized their achievements under the
carbon-neutral program.
 Infosys as a part of its CSR activities joined hands with the Mysore
administration – KIADB and MUDA to rejuvenate the lake and restore its past
glory.
Arts and culture:
 Ancient art forms can be preserved and passed down from generation to
generation by showcasing the skills of artists. The Infosys Foundation
promotes traditional art, dance and craft
 Infosys Foundation has been a major partner of Raja Dinkar Kelkar Museum
with the objective of building a ‘Museum City’ at par with international
standards
 Monuments, a testimonial to our glorious past, have been slowly and steadily
fading and deteriorating. With a view to help counter this trend, Infosys
Foundation has been proactively taking measures to restore the Someshwara
Archaeological Complex and 14 other heritage structures.

COVID-19 Relief Measures


The first COVID-19 case in India was reported on January 30, 2020, and the
first death in India due to COVID-19 happened on March 12. On March 30,
2019, Infosys Foundation announced 100 crore support for COVID-19 relief
efforts. Of the amount committed, 50 crores were donated to the PM CARES
Fund to supplement the government’s pan-India relief efforts.

10. Funding

Section 135 of the Companies Act, 2013 and Rules made under it prescribe that every
company having a net worth of500 crore or more, or turnover of ` 1,000 crore or more, or a
net profit of ` 5 crore or more during any financial year shall ensure that it spends, in every
financial year, at least 2% of the average net profits made during the three immediately
preceding financial years, in pursuance of its CSR Policy. The provisions pertaining to CSR as
prescribed under the Companies Act, 2013 are applicable to Infosys Limited

11.Selection and monitoring process

Infosys Foundation or such other entity will receive requests for funding of projects
throughout thecalendar year. Its panel of experts will evaluate proposals received under the
Foundation’s focusareas and projects will be prioritized by assessing their impact. The
Foundation or such other entitywill then forward its recommendations to the CSR
Committee. The CSR Committee will deliberate onthe proposals and approve proposals for
implementation at its discretion.Infosys representatives and/or Infosys Foundation or such
other entity will collaborate withstakeholders to monitor the status of each project and will
report its findings to the CSR Committeeperiodically.
