Being an Owner-Operator with Shade Tree Express can be an exciting and rewarding opportunity.

You call the

shots and we help you succeed! However, being an independent self-dispatching Owner-Operator takes hard
work, dedication, and careful consideration. Review this document at your convenience. Let us know if you have
any questions.

Security Deposit

Our Lease to Purchase Owner-Operators pays a $1000.00 security deposit. Then, have $100.00
withheld weekly, for fifty weeks, until a total of $5,000.00 is reached as a security deposit. Once the truck is paid in
full the deposit is converted into a maintenance fund.

Owner-Operators Leased to Purchase have a 50-week year. (The Lease Program has 2 weeks of vacation built-in
with the first week available after the 25th week). Operators must have a weekly gross average of $4,000.00
(calculated over a 4 week period). If the average falls below that mark for 2 consecutive weeks without cause, the
truck is subject to a repossession. Causes may include medical conditions or truck mechanical problems.

Truck Payment $750.00 per week Required

Truck Insurance $248.56 per week Required

Trailer Insurance $44.40 per week Required

Plate Program $46.80 per week Required

DAT Load Board $21.37 per week Optional

Trailer Rental $192.40 per week Optional

Keep Trucking ELD $8.40 per week Required (unless you have your own)

$1311.93 + $100 = $1411.93

It is the O/O responsibility to obtain and keep a physical damage policy on any
leased truck. Lessee will keep physical damage coverage on Equipment until
Equipment has been paid in
full. Lessee’s Physical Damage Policy will need to reflect a value of $70K (value
of truck) in physical
damage coverage. The following parties must be added as loss payee and
certificate holder:

Loss payee / lien holder

Finance company _________________

Lessee is to provide a Certificate of Insurance (from lessee’s insurance agent) to

the loss
payee proving these requirements have been met.
If Lessee’s physical damage insurance is canceled at any time the leased
equipment will no
longer be allowed to operate until coverage is reinstated. Owner may also force
place
insurance to stay in compliance with any 3rd party finance companies, lessee
will be
responsible to compensate the owner for this expense.

Three Week Example - Weekly Pay Settlements

Setting the Right Expectations & Calculating Potential Earnings

We often hear questions like; How much do you pay per mile? What is the average weekly gross income
for your Owner-Operators? Those are difficult questions to answer; not because we don’t want to but
because of our service model.
Remember, as a Shade Tree Express Owner-Operator, you call the shots. You slay the dragons
and we provide you with the means to do it! So, here is some info for your review. Hopefully,
this will guide you in setting the right expectations as you determine whether or not we are a fit
for you.

After expenses, an Owner-Operator can expect to earn an average of $.10 - $.15

more per mile than a company driver. The first year can be the hardest. You are
earning 85% off each load while building your security deposit and maintenance
fund.

Paying off your lease to purchase within 2 - 3 years would be great! However,
don’t forget to factor in maintenance and repairs that may end up being applied
to your lease balance as negotiated. These costs are added to the backend of the
lease agreement if the Owner-Operator does not cover them directly.

On average, a successful Owner-Operator works 5 - 6 days a week or travels on

average about 3,000 miles. Just because you book your own loads does not mean
you will not have to work as often or travel very far. However, we grant you the
freedom to choose how and when you want to succeed!

Below is an example of a few of our Owner-Operators that are over the road
drivers who earn 90% and have completed the security deposit requirement.
These drivers rent a trailer and lease a Shade Tree Express truck. They have
earned the following over the last quarter. (Jan-Mar, 2019) Total expenses include
fuel.

Gross Profit $25,320.00 $24,895.00 $26,614.00
