THIS SECURITY SERVICE Agreement 

is made this…………day of……      2020


                                                     
BETWEEN ---------------------------------------------------------------------. A Company registered
under the Federal Republic of Nigeria, hereinafter referred to as “The Employer'' (and where
the context admits shall include its assigns, legal representatives, and successor-in-title) of the
one part
 
AND ………………………………………. of NO. 21 Wogu Street, D-Line PH, a Limited
Liability company registered under the Laws of the Federal Republic of Nigeria and Licensed as
a security services company, hereinafter referred to as “The Provider” (and where the context
admits shall include its assigns, legal representatives, and successor-in-title) of the other part.
 
WHEREAS
 
1.            The employer is desirous of engaging the services of a licensed security company to
provide security services for its facility in the aforementioned address. The Provider has
indicated interest and submitted its proposal to satisfactorily provide the requisite security
arrangements demanded by the employer.
 
2.            The parties herein have agreed to be bound by the terms of this agreement.
 
NOW THIS AGREEMENT WITNESSES AS FOLLOWS:
 
4)       EMPLOYER’S UNDERTAKINGS:
(i)       The employer hereby undertakes to engage the services of the provider for the
provision of Security services for its Company’s premises in the aforementioned address.
 
(ii)      The employer hereby requests the services of 4 (Four) uniformed security guards.
 
 
(iii)      The employer hereby undertakes to pay the agreed sum herein after stated as fees
for the security services to be rendered by the company on a monthly basis in arrears.
 
(v)      The employer undertakes that it will not directly employ the provider’s guard(s)
deployed to its facility or induce any of the guard(s) until the expiration of six (6) months
after they would have stopped working with the provider.
 
(vi)   That if the employer induces or employ any of the guard posted to any of her
location, that the employer shall pay to the provider six months’ salary of such guard(s)
 
5.       PROVIDER’S UNDERTAKINGS:
 
(i).      the provider hereby undertakes to satisfactorily provide the requisite security
services to the employer.
 
(ii).     the provider agrees to provide fit and proper guards as security personnel to guard
the facility of the employer.
 
(iii)      The provider shall be responsible for the uniforms and basic kits for the guards
that will enhance the performance of his duties.
 
(iv).   The provider shall provide effective liaison services (if the need arises) on behalf of
the employer with the relevant security agencies and the fees/logistics incurred shall be
borne by the employer.
                                                                                                            .
 (v)     The provider shall not be liable for any loss that occurs at the location as a result of
external armed attack, act of God, strike, mob action, fire or community unrest.
                                                                                                                 
(vi).    The provider undertakes to maintain a log book (Station Diary) at the locations of
the employer where it is engaged and to mandate its guards to enter daily security reports
(if any)
 
 

AGREED FEES
 

6.       The employer shall pay to the provider the sum of Thirty Thousand Naira
only (N30, 000) per guard monthly, a total of One Hundred and twenty Thousand Naira
Only (N120, 000) per month for the four (4) guards.
The provider shall submit its payment invoice on or about the 20th day of every month or
the next working day thereafter and the employer shall make payments to the provider on
or before 27th of the same month. Except in December that payment is done on or before
15th.
 
7.       NOTICES
3.            (A).     All notices/correspondences to be given to the employer in pursuant to this
Contract shall be addressed

new address, notice of which must have been previously given by the employer). And all
such notices shall be in writing and/or e-mail.
 
(B).     All notices to be given to the provider in pursuant to this agreement shall be
addressed to The Managing
Director, ……………………………………………………………………….t Rivers
State (or to any new address, notice of which should had been previously given by the
provider). And all such notices shall be in writing and/or e-mail.
 
TERMINATION
 

9.       The parties herein are entitled to terminate this agreement at a point any of the
party feels unsatisfied with the services or condition after giving a one month written
notice of intent to terminate. The exercise of the right of termination by either party shall
not entitle the other party to claim for damages solely on the basis of the termination, but
shall be entitled to any outstanding benefits/ entitlements.
 
DISPUTE RESOLUTION
 
10.     The parties herein agree to submit any dispute arising from this agreement to
alternative conflict resolution technique first before going to court or any other means.
 
11.   INDEMNITY: The provider shall indemnify the employer in the event of any loss
or damage as a result of negligence/ reckless act of its Guard(s) in the performance of
their duties, after due investigation from the Nigerian Police/NSCDC (Police/NSCDC
invitation and cost of investigation to be and borne by The Provider). However, the
provider shall not indemnify the employer if the loss or damage is as a result of the
carelessness of the employer
