Work Order Terms

Proposal Validity. This proposal is valid for a duration of 30 days from the date of the submission of
proposal.

1. Memorandum of Understanding (MoU). An MoU with agreed terms and conditions will be
signed between the representative of IIMS Healthcare India Pvt. Ltd. Representative and JSW steel plant
representative. The said agreement will remain in force till the completion of the project.

2. Services Deployment. In order to ensure onboarding & deployment of resources Work Order
on the company’s letter head with agreed scope of work is requested to be raised with an
advance payment of 02 months (with GST) shall be paid for seamless deployment. It is pertinent
to mention that the deployment will occur within 45 days from the release of work order and on successful
reception of advance payment.

3. Inclusion of GST/ Tax. The proposed plan is projected excluding GST, hence the invoice and
first two months advance will include GST as applicable.

4. Raising of Invoice. The invoices for the services will be shared over the electronic mail as per
agreed terms & condition. The payment needs to be released as per agreed terms & conditions
or D (Day of submission) + 30 calendar days whichever is earlier.

5. Contract Period. The periodicity of contract is for a duration of 3 Years. However, contract may
be terminated by either party with a notice period of 03 months, in which 02 months may be marked for
improvement of services.

6. Billing Cycle. Billing cycle will be initiated from the date of commencement of services at the site.
However, it is pertinent to mention that the said project requires mobilization of huge resources
(manpower & vehicles with associated equipment) therefore the sanctity of deployment date is requested
to be maintained for billing process. In the event of any service is delayed from IIMS healthcare India
Pvt. Ltd, the invoice will be raised subtracting the said services not rendered.

7. The above deployment includes fabrication & fitment of equipment, fitness, road tax, PUC,
insurance, uniform, training of manpower & reliever management.

Payment Structure

1. Operational set up Cost. A two-month Operational setup cost is requested to be paid vide para
3 & 4 of work order terms ibid. Same is applicable at the time release of work order & signing of
MoU.

2. Mode of Payment. All payments shall be made using online transactions, in favor of IIMS
Healthcare India Private Limited payable at Bangalore. The account details for the same is appended
below:
