Scope of Services: The Client agrees to engage the RSP for screening,
short listing and selecting suitable candidates and recommending them to the
Client in the form of resumes for Final interview.

2. RSP shall scrutinize the bio-data, before they are forwarded to Client and
also ensure the correctness of the information provided as declared by
Candidate.
3. RSP shall ensure that short-listed candidates appearing for the interview
are communicated the testimonials required at the interview stage for
scrutiny.
5. lncase the candidate resigns from the services of the Client within 90 days of
joining, the RSP will find a replacement candidate of similarl equivalent
qualification and experience. ln case of a replacement candidate being
selected then a separate invoice to that effect and a credit note for the invoice
pertaining to the resigned candidates will be issued. lf the RSP is unable to
provide replacement within specified period then RSP will issue a credit for
the same amount. ln case the candidate/s is dismissed or terminated within
30 days for any reason other than non-performance or integrity, the Client will
not be eligible for replacement or credit note from the RSP.
6. RSP agrees for a no-poach clause with the Client, wherein, the RSP or the
Client will not poach employees currently working with each other during the
period of this agreement unless expressly agreed.

Responsibilities of Client:
1. glient shall give to RSP the eompany profile of Client and any other important
details of internal policies and HR practices for information to candidates
propqsed by the RSP for interview on phone.
2. Client shall inform the RSP regarding manpower requirement giving details of
vacancies for which candidates are required, estirnated date of closure,
experience, Eg€, qualification, pay-scale range and other related details as
required with written confirmation by mail.
3. Client will inform the RSP in case of dead positions, postponed positions, or
filled up positiqns as and when such information is available to the Client as
that work may be stopped by the RSP in this regard.
4. Glient shall inform the RSP, after short-listing the candidates, date, time and
venue of the interview by mait or phone.
5. Client will inform the RSP from time to time about the short-listing of
candidates, interviews, selection, offer letters and joining of the candidates by
mail or phone.
6. Client shall pay the professional fees to the RSP only by a 'Crossed Account
Paybe" cheque /NEFT/RTGS within 60 days from the candidate's date of
joining the services of Client.
7. Clielt shall give the credit to the RSP for all the resumes/ profiles sourced/
referred by the RSP for a period of 12 months from the date of sending the
profiles. ln the event the candidates whose resumes are sent by the RSP are
recruited by the Client in the similar position or any other position within a
period ol 12 months, tfte RSP will invoice the Client for such recruitments.
