Act as an interface between the client and candidates.
Do the first round shortlisting and screening of the candidates.
Co-ordinate the meetings of shortlisted candidates with the client.
Do a proper reference check on the candidates at the offer stage.
Follow-up with the candidate and company till the joining of the candidate.
Ensure that the client and the candidates are satisfied with the placement.
2. The services that would be provided by the Agency will be to make available suitably skilled and
competent manpower to the client. The Agency will carry out these assignments on the basis of
written/verbal instruction(s) of the Client. Based on matching the specified requirements of the
particular job position, the Agency will make available competent candidates for selection and
recruitment for the client.
3. The services defined as per Sr No 2 will be of varied nature and may span from simply providing
resumes of suitable candidates to carrying out intensive and specific executive search.
4. The Client shall from time to time notify the Agency the requirements of professionals based on
which the suitable profiles of candidates will be finalized and after due screening, the resumes will
be provided to the Client for further assessment.
5. Based on the feedback of the Client, the Agency will arrange to have the short listed candidates
undergo an interview as considered appropriate. The Client will then inform the outcome of the
interview and based on the decision will complete the formalities of appointment either through or
with the knowledge of the Agency.
6. The Agency will be paid placement referral fee(mentioned below) calculated on basis of the
annual package (Cost to the Client inclusive of all allowances etc.). This fee would be
including of any expenses incurred on the selection process. All the interview related expenses
will be borne by the Client i.e. expenses of telephonic (STD/ISD calls) in case of a telephonic
interview. In case outstation candidate(s) are called for an interview; the actual cost of rail/air
fare economy class, depending on the position to be filled (with prior clearance of the Client)
will be borne by the Client.
The computation of Gross Annual Compensation (CTC) would include compensation payable to
the candidate on monthly/annual basis inclusive of, the perquisites such as Client’s car, telephone,
accommodation & superannuation benefits namely PF, Superannuating and any other scheme.
7. Payment will be made by Bank Draft/Demand Draft payable at __________. The Agency’s fees
will be payable within 15 days from the issuance of the invoice and the date of invoice will be
on/after the joining of the selected candidate.
9. In case, the selected candidate leaves the Client's company own his/her own accord within 3
months (90 days) of his/her joining, then Agency will find suitable replacement of the candidate
bases on the Job Description earlier given by the Client to the Agency.
All the resumes provided to the Client shall remain the property of the Agency and not be further
utilized by the Client without the express approval of the Agency. The same shall be the case even
if further selection processes including that of an interview have been carried out.
10. That any dispute arising out of present contract shall be referred to arbitration or adjudication
by a sole arbitrator to be mutually appointed by the parties to this agreement. The arbitration shall
be conducted in accordance with the provisions of the Arbitration and Conciliation Act 1996. The
venue of arbitration shall be Gurgaon(Haryana)
11. This agreement shall be in the exclusive jurisdiction of the courts at Gurgaon(Haryana) and
disputes raised shall be entertained and submitted to the courts at Gurgaon(Haryana) to the
exclusion of all other courts.
12. This agreement is being made effective from -------------------- and shall be valid till
_____________ / either of the party cancels the same in writing by giving one month notice to this
effect.
Non-Solicitation – During the term of this Agreement and for 12 months thereafter, either party
shall not directly or indirectly, employ or offer employment to any employee xyz ltd or it’s Client.
Such prohibition shall only be effective during the 12 months following the termination of any such
employee's employment with xyz ltd or it’s Client.
