RETAINER’S CONTRACT

This Contract is entered into by and between:

____________________________with office address at

________________________herein represented by___________________,
hereinafter referred to as the CONSULTANCY FIRM;
-and-

_________________, an entity duly registered and existing under the

laws of the Republic of the Philippines, with office address
at___________________, herein represented by the owner,
_____________________,hereinafter referred to as the CLIENT;

WITNESSETH:

That the CONSULTANCY FIRM hereby agrees to render accounting and

business consultancy services to the CLIENT who hereby agrees to engage
the services of the CONSULTANCY FIRM under the following terms and
conditions:

1. The CLIENT hereby agrees to pay the CONSULTANCY FIRM a monthly

introductory retainer’s fee in the amount of
______________________which shall be paid on the last day of every
month; the said rate is subject to change upon expiraton of this
contract.

2. The CONSULTANCY FIRM shall render accounting and business

consultancy services which are required in the ordinary course of the
CLIENT’s need particularly on assisting in the maintenance of the
client’s book of accounts, filing of BIR required regular forms, and
preparation of financial statements ;

3. The CLIENT further agrees to pay THE CONSULTANCY FIRM advance

payment of three months and other fees that shall be agreed upon on
the tasks performed outside the scope of its regular services;

4. All expenses in the filing of BIR forms, business permits and

registrations and other necessary costs in the conduct of its business
shall be borne by the CLIENT. Same shall be supported by Official
Receipts as much as practicable;

5. This CONTRACT shall be effective upon signing, renewable yearly upon

mutual agreement of both parties; and

6. Within five (5) days upon termination of this Agreement, the

CONSULTANCY FIRM shall return to the CLIENT’s the complete
file/records.
