Dear Mr. Quirico B. Nagorite, married to Mrs. Paterna B. Nagorite:

I/We hereby offer to purchase the above-captioned property under the following terms and
conditions :

A. PRICE : P 3,300,000.00

B. TERMS OF PAYMENT:

C. PARTY’S OBLIGATIONS:

1. BUYER OBLIGATIONS - Earnest Money deposit in the amount of FIVE


HUNDRED THOUSAND PESOS (Php 500,000.00) to be tendered upon acceptance
of the offer by signing this Offer to Purchase Letter

2. SELLER OBLIGATIONS – The SELLER shall:


a. Cease to offer the PROPERTY to other interested buyers until the lapse of the
period provided in this offer.
b. Furnish the BUYER with PHOTOCOPIES of the following documents:
i. Certified True Copy CTC or E-Copy of the TCT of the parcel of
Land
ii. CTC of Tax Declaration for the Land (Updated Copy - 2023) to
follow.
iii. CTC of Tax Clearance (Updated Copy – 2023) to follow.
iv. 2023 Latest Official Receipt of the Real Property Tax (Land)

c. Allow the BUYER to conduct due diligence on the property and review the
above documents.

3. The balance of P2,800,000.00 in the Manager’s Check due 15 CALENDAR DAYS


after acceptance of Earnest Money, upon receipt of the Certified True Copies of the
real estate documents listed above and upon execution of DEED OF ABSOLUTE
SALE in favor of the buyer.

D. OTHER CONDITIONS :
1. The SELLER shall pay for the real property taxes and assessments for the whole year
of the date of the execution of the DEED OF ABSOLUTE SALE.
2. The BUYER shall pay for the Capital Gains Tax, Documentary Stamp Tax,
Transfer Tax, Registrations Fees, Notarial Fee, and any other expenses related in
the issuance of the new title.
3. The SELLER warrants that he/she holds a good and registerable title to the property
which upon full payment shall be conveyed free of any liens and encumbrances.
4. This Offer to Purchase is valid up to 15 calendar days from the acceptance of the
Earnest Money and upon receipt of the real estate documents requested above ; valid
till upon execution of the Deed of Absolute Sale.
5. In case the BUYER defaults the payment of balance 15 CALENDAR DAYS after
acceptance of Earnest Money, upon receipt of the Certified True Copies of the real
estate documents listed above and upon execution of DEED OF ABSOLUTE SALE,
the earnest money deposit shall be forfeited in favor of the SELLER.
