SUBMISSION AGREEMENT

This Submission Agreement is made and executed on ____________ by and between:

RECITALS:

The Parties recite and declare:

i. They are parties to the following contract/s: [__]

ii. Certain disputes, controversies, and claims have arisen between them under the
Contracts.

iii. They have failed to amicably settle these disputes and claims, and now desire to submit
them to arbitration.

In consideration of the foregoing, the Parties agree as follows:

ART. 1. SUBMISSION - Party A and Party B hereby refer and submit to arbitration their dispute
against one another described in Article 3 hereunder ("Dispute").

ART. 2. GOVERNING RULES - The arbitration rules of the [ARBITRAL INSTITUTION] presently
in force, shall govern the arbitration of the Dispute.

ART. 3. DISPUTE - The Dispute consists of the following: [DESCRIBE]

ART. 4. GOVERNING LAW - This Submission Agreement will be governed by, construed, and
enforced in accordance with the laws of the Philippines.

ART. 5. ARBITRAL TRIBUNAL - The arbitration shall be conducted by a panel of three (3)
arbitrators, one of whom shall be appointed by Party A, and the other by Party B. The two (2)
arbitrators thus appointed shall choose the third arbitrator who will act as the presiding arbitrator
of the tribunal. All arbitrators chosen must have competence, integrity, probity, and
independence.

ART. 6. PLACE OF ARBITRATION / VENUE - The place of arbitration shall be the Philippines.
The venue of the conferences and hearings shall be in Metro Manila.

ART. 7. LANGUAGE - The language of the arbitration shall be English.
