MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and entered into this day of __________ 2021, in
Silang, Cavite, by and between:
Listing Brokers / Agents of Owners hereinafter referred to as the FIRST
PARTY REPRESENTED by GUILLERMO RAMOS, of legal age
married with residence at Silang, Cavite;
Selling Broker/ Agents of Buyer, hereinafter as the 2nd PARTY, represented
by EMMANUEL D. RIOS, of legal age married and with residence at 2202
Tambis Street, Banawa, Cebu City, Cebu;
Facilitators, who exerted effort to locate land for sale and instrumental in
having the FIRST PARTY AND SECOND PARTY came into an
agreement with regards to the disposal of subject land more particularly
described hereunder and hereinafter referred to as the THIRD PARTY;
WITNESSETH:

Be sold, it is understood the FIRST PARTY, SECOND PARTY and THIRD
PARTY shall share the FIVE PERCENT (5%) BROKERS commission upon
deducting TWENTY-TWO PERCENT (22%) for VAT and brokers fee for BIR
from the FIVE (5%) commission in the following manner as described below:
 TERMS AND CONDITIONS
1. SHARING OF FIVE (5%) Brokers Commission shall be divided in 3 ways
less of 22% mentioned above. FIRST PARTY, SECOND PARTY AND
THIRD PARTY
2. Manner of Disbursing the Commission to FIRST, SECOND and THIRD
PARTIES:
The check payable to each of the parties for their respective share of
net 5% commission shall be payable to the authorized Representative of
each parties, the authorization being in uniform of a valid document which
shall be notarized before a Notary Public.
