I. Course Description

This is a study of the Revised Corporation Code and other special laws governing private corporations,
including foreign corporations and the concept of doing business in the Philippines. It includes in-depth
analyses of the applicable common law and commercial law principles underlying the various
relationships in the corporate setting. It also surveys the structure, powers, and jurisdiction of the
Securities and Exchange Commission, and the pertinent provisions of the Securities Regulation Code.

IV. Class Policies

Class Attendance and Participation. Students are expected to come to class or log-in diligently and on
time. A student shall be considered absent when he/she fails to be in (virtual) class within 10 minutes
from the start of the synchronous class. The class will be using Zoom Meeting for SYNCHRONOUS

Students are required to inform the lecturer in advance regarding issues on connectivity, availability of
sufficient mobile data and other similar concerns so that reasonable solutions and alternatives may be

Respect and Decorum. While the course shall be taught ONLINE in ASYNCHRONOUS and
SYNCHRONOUS modes, all students must exert effort to prepare themselves and ensure that they have
the proper materials, working computers and designated study area conducive for online learning.
Requirement to come to class in proper attire remains to be the school’s policy.

Students who wish to go to leave the virtual classroom (during synchronous classes), must politely ask
permission and, if given such, they should be back in class within 5 minutes. Only one student at a time
may be allowed to leave the classroom for this purpose.

Submissions.All required written work shall be submitted on time as announced. Any requirement
submitted after the specified date and time shall no longer be received and accepted, and shall merit a
grade of 0.0.

Academic Honesty and Integrity. Students are expected to fully abide by the institution’s rules and
regulations on academic honesty and integrity. Any student who, after due notice and hearing, shall be
proven to have committed plagiarism shall be dealt with in the manner provided for under the
institution’s applicable rules and regulations.
