MEMORANDUM OF AGREEMENT

KNOW TO ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement made and executed by and

between:

LENNE B. CHUA, Filipino, of legal age, married to Rizaldy G.

Chua and residents of Sta. Cruz, Rosario, Agusan del Sur, herein
called the OWNER ; and

____________________, Filipino, of legal age and a resident

of Sta. Cruz, Rosario, Agusan del Sur, hereinafter referred to as
the SECOND PARTY ;

WITNESSETH:

WHEREAS, the SECOND PARTY acknowledges the ownership on a

parcel of land, with Transfer Certificate of Title No. T-22647,
in the name of Lenne B. Chua ;

WHEREAS, the second party hereof, is the lessee to the said

land ;

NOW, THEREFORE, the parties have hereby agrees to the

following terms, stipulations and conditions, as follows:

1. That the OWNER will pay the value of the improvements

made by the lessee, including but not limited to the
following: plants and tree, thereafter, the lessee shall
waive all the rights to the said improvements ;

2. That while waiting for the approve subdivision of lots,

intended for the lessee, the latter shall cause the
payment of One Hundred Pesos (P100.00) to the owner, as
monthly rental, until such time that they are transfer to
the new relocation area ;

3. That the relocation area as mentioned in paragraph 2,

shall be occupied upon payment of the price imposed by
the owner in an instalment basis ;

4. That this agreement shall take effect on _______, 2011

and shall be renewed upon agreement of both parties ;
 IN WITNESS WHEREOF, the parties have hereunto affixed their
hands this _______________, in San Francisco, Agusan del Sur,
Philippines.

ACKNOWLEDGMENT

BEFORE ME, this ____________ at San Francisco, Agusan del

Sur, personally appeared the above-named persons represented to
me to be the same persons who executed the foregoing instrument,
and they acknowledged to me that the same are their free acts and
deeds.

The parties and their witnesses at the left margin of each

and every page have signed this instrument consisting of 3 pages
including this page hereof.
