MEMORANDUM OF AGREEMENT

KNOW TO ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement made and executed by and between:

IGNACIO ARRIERO GARCIA, Spanish citizen, of legal age and presently residing at
Salvacion, San Agustin, Surigao del Sur, hereinafter referred to as the FIRST PARTY ;

JACINTO OLIVERAS SERRA, Spanish citizen, of legal age and presently residing at
Salvacion, San Agustin, Surigao del Sur, herein called the SECOND PARTY ;

MARC PERALS HURTADO, Spanish citizen, of legal age and presently residing at
Salvacion, San Agustin, Surigao del Sur, herein called the THIRD PARTY ;

JORGE REDON AZNAR, Spanish citizen, of legal age and presently residing at
Salvacion, San Agustin, Surigao del Sur, herein called the FOURTH PARTY ;

WITNESSETH:

WHEREAS, the FIRST PARTIES are the owners of a corporation as registered under
Foreign Investments Act of 1991 (R.A. 7042);

WHEREAS, the said the said corporation is represented by JORGE REDON AZNAR,
with place of business at Salvacion, San Agustin, Surigao del Sur ;

WHEREAS, the corporation is named ___________________, which is also duly

registered by the Security and Exchange Commission (SEC) ;

NOW, THEREFORE, for and in consideration of the foregoing, the parties hereby agree
to the following terms and conditions stipulated hereunder :

1. That JORGE REDON AZNAR has an interest or share in the said corporation
amounting to 100% as reflected in the registration amounting to a total amount of
Seventy Eight Thousand Euros (EU 78,000.00) ;

2. That JORGE REDON AZNAR is selling 20.33% to IGNACIO ARRIERO

GARCIA ;

3. That JORGE REDON AZNAR is selling 33.33% to JACINTO OLIVERAS

SERRA ;

4. That JORGE REDON AZNAR is selling 3% to MARC PERALS HURTADO

5. That the remaining 46.33% belongs to JORGE REDON AZNAR ;

 6. That the parties shall observe good faith and fidelity in the performance of their
respective duties and obligation.

7. That this contract takes effect _____ day of ____________ 2020 ;

IN WITNESS WHEREOF, the parties have hereunto affixed their hands this

ACKNOWLEDGMENT

personally appeared the above-named persons represented to me to be the same persons who
executed the foregoing instrument, and they acknowledged to me that the same are their free acts
and deeds.

The parties and their witnesses at the left margin of each and every page have signed this
instrument consisting of 2 pages including this page hereof.
