JOINT VENTURE AGREEMENT
WHEREAS, Shuklagandaki Municipality, Office of Municipal Executive, Gandaki Province, Dulegauda, Tanahun,
Nepal, Nepal Urban Governance and Infrastructure Project (NUGIP), has invited Expression for Interest (EOI) to
provide the consulting services for “Nepal Urban Governance and Infrastructure Project (NUGIP) Design and
Supervision Consultant (DSC), Shuklagandaki (Loan/ Credit No.: IDA-6778-NP) Reference No. (as per
procurement plan): NP-DUDBC-216333- CS-QCBS”.
AND WHEREAS, D.B. Multi Engineering Consultant (P.) Ltd. New Baneshwor, Kathmandu, Nepal (hereinafter
abbreviated as D.B. Multi), Infrastructure Engineering Research and Consult P. Ltd. Raniban, Kathmandu
Nepal (hereinafter abbreviated as IERC), Rural Infrastructure and Management Consultant (P) Ltd., Koteshwor,
Kathmandu, Nepal (hereinafter abbreviated as RIMC), Ganga Consultancy (P.) Ltd. Birtamode, Jhapa, Nepal
(hereinafter abbreviated as Ganga) & Rural Infrastructure Development and Research Consultant Nepal Pvt.
Ltd. Nakkhu, Lalitpur, Nepal (hereinafter abbreviated as RIDARC) jointly wish to submit the Expression of Interest
(EOI) for providing consultancy services for the above-mentioned work.
2. D.B. Multi will be the lead firm of the joint venture and have overall responsibility for submission of the
Proposal and entering into contract. The JV firms have joint responsibility in the performance of the
assignment and delivering qualitative output.
3. It is intended that each company organization will provide expertise services and resources, which will best
represent their capabilities and experience.
4. Decision on modality of sharing among the associated organizations the benefits and liabilities from the
assignment will be 40% for D.B. Multi, 15% for IERC, 15% for RIMC, 15% for Ganga and 15% for
RIDARC.
5. Mr. Deependra Prasad Bhatta, Managing Director of D.B. Multi; is hereby authorized on behalf of the JV
to sign the necessary documents. The JV shall use the in-house resources available with the individual
partners as far as possible.
6. The relationship between the firms shall be limited to this agreement and shall be construed as deemed to a
Joint Venture Agreement for the sole purpose of this project.
The members of the JV certify that this Joint Venture Agreement truly and correctly reflects their agreement with
each other.
IN WITNESS THEREOF, the parties have signed the present JV Agreement on their respective rights on 11 th July
2021.

have any conflict of interest in the proposed assignment. We hereby also declare that we have not been blacklisted and have
not received any punishment while doing consulting business and litigation history since the establishment of this company by
GON and donor agencies (the World Bank, Asian Development Bank, Department for International Development and other
bilateral agencies). We also confirm that invitation to submit proposal was not transferred to another party. Also, the information
and the documents submitted herein are true to the best knowledge of the company.
I certify that neither the Consultant nor JV partner or any Sub- Consultant, or expert nominated by the Consultant in these EOI

Likewise, we are all aware that Nepal is very rich as far as availability of water is concern but
people are not getting drinking water as per the requirement and due to lack of awareness
people are using contaminated water and getting sick. To short out all these problems a mass
level awareness campaign is needed, hence D. B. Multi Engineering Consultant is very much
interested to work in the water supply and sanitation sector.

2.7 ORGANIZATION
The company is operated by board of directors consisting of experienced, qualified, and
energetic individuals. The board of directors defines the overall policies, strategies, priorities
and modus operandi for each project. The day-to-day management is delegated to the
managing director elected by the board and also one of promoters of the company. Works are
divided in to five major sections of which section chiefs are responsible. Most of the section
chiefs are the member of board of directors, and the promoter of the firm. The firm has a
number of full time and Resources staffs and a pool of resource personnel whose service are

The Infrastructure Engineering Research and Consult (IERC) Pvt. Ltd. is a Research and Consultant in the field of civil
engineering. It was founded on August, 2004 AD. Its members have long and wide range of experiences of planning,
designing and management skills in the field of structural, earthquake and water resources engineering.
IERC delivers services in all dimensions of civil engineering such as surveying, valuation, feasibility and detailed study,
planning, designing, supervision, monitoring, preparation of bill of quantities and tender documents of various areas of
roads, water supply and sanitary systems, irrigation systems, hydropower, bridges, electrical and communication systems,
industries etc. of rural and urban infrastructures and development. It also focuses on hazard, damage, and vulnerability and
loss estimation of built environment and strengthening/retrofitting of existing structures. Structural health monitoring using
various non-destructive techniques are also a key area of the IERC.
IERC do research in the areas of engineering aspect of earthquake motions in the Himalayas, seismic resistant low-cost
technology, updating seismic hazard, loss estimation in future earthquakes effect noise and vibration due to vehicular
movement. IERC has been working in the retrofitting and conservation of the building. The firm has not only the technical
and research competency but also the experience of leading and managing more than 80 projects.

Shyam Thapa is a Civil & Structural Engineer with particular expertise in Structural Design & Maintenance of
Buildings (Residential, Commercial, and Tall Buildings) & Bridges (Footbridge, Motorway Bridge & Railway Bridge),
Analysis and Design of Hydraulic Structures (Weir, Settling Basin, Piers, Thrust Blocks, and Powerhouse). He is
currently working as a Project Engineer for Highways Maintenance (Design for carriageway resurfacing,
reconstruction, footway reconstruction and reinstatement, vehicle crossings) and drainage work in a Council of
London, UK. He has work experiences in Nepal, Qatar and UK. He has participated in many Civil, Structural and
Highways Engineering trainings and seminars. He holds B.E. (Civil Engineering) and M. Sc. in Structural
Engineering Degrees from Tribhuvan University in Nepal. He is also a member of the Institution of Engineers in
Nepal, and UK. He is also the Structural Engineer Member in Nepal & UK. Shyam Thapa has confirmed that he is

RIMC has also been involved in completed projects like “Environmental and Social
Mitigation Measure and monitoring works in Kali Gandaki “A” HEP Rehabilitation Project”,
“Supply of Manpower (Environmental Safeguard Officer) for Environment and Social
Management Unit of Marsyangdi- Kathmandu 220kV Transmission Line”
and “Supply of Manpower to Environment and Social Management Unit of Kaligandaki
Corridor (Dana-Kusma) 220kV Transmission Line”
After the devastating earthquake in April 2015, RIMC has been involved in many
reconstruction and rehabilitation works. RIMC has been involved in Technical supervision,
monitoring of more than 250 earthquake-resistant buildings (houses) including 212 houses
in Sindhuli district alone, 25 houses in Nuwakot district and 36 in Dhading district under
different projects of introduction and implementation of earthquake- resistant building
construction in coordination with OXFAM and Helvetas Nepal in different earthquake-
affected districts where more than 2000 local non-skilled and semi-skilled manpower were
trained in the earthquake-resistant construction practices.
RIMC, in fellowship with Helvetas-Nepal and Build Change-Nepal (an INGO working in
reforming the building practices, by creating and implementing designs of disaster-
resistant houses and schools in emerging nations and training builders, homeowners,
engineers, and government officials to build them) has completed retrofitting of houses in
Sindhuli district where we also provided the training to many peoples in the concept of
retrofitting of the damaged and vulnerable houses under the retrofit project funded by DFID.
Among more than 100 full time and part-time technical staff (i.e. engineers and
overseers), more than 25 of our technical staff have been provided special "Retrofitting
Training of Trainers" training by Build Change-Nepal.
All these long years of our allegiance and efforts together with the trust and co-operation

D.B. Multi Engineering Consultant Pvt. Ltd is a consulting firm (Engineer’s and Development Planner’s) established in 2011 under the
company act 1992 of Government of Nepal, with sole aim of providing a complete range of services in the field of Engineering,
Environment and Socio- Economic studies. The firm is registered in office of company registration, Kathmandu and Tax/VAT Office
and received the Permanent Account Number (PAN).
After realizing the lack of professionals with multi-dimensional vision in the environment/energy/infrastructure/socio-economic
development and disaster prevention sector, a group of like-minded young professionals with sound academic qualifications as well as
professional experiences in the field of environment/energy/infrastructure/socio-economic development and disaster prevention sector
and dedicated for the development endeavors initiated D. B. Multi Engineering Consultant. Consultancy Services by providing
specialized expertise and independent viewpoints make significant contribution towards overall development of a country (social,

As we know that more than 50 percent of national population (mostly people under poverty line) are living in disaster vulnerable areas
like river bank, landslide risk zone, earthquake risk areas, lighting risk areas as a result lots of human life as well as property is lost
every year. In one hand, mountain areas are highly affected by landslides whereas in other hand plain areas are affected by flooding.
Similarly, most of buildings are proven to risk of earthquake due to lack of awareness and less compile to building code in addition to
engineering design. Hence, it is our duty as a technical platform to work for such risk vulnerable people and zone by providing them
adequate support through appropriate technology and extension services so that they can get relief from such natural and human
induced disaster. If they get the needed support, disaster induced risk will be minimized to a great extent. So, Ganga Consultancy
work is focus in the field of disaster and environment management in planning and management for the preparation of disaster
management policy and guidelines and environmental management plan.
Likewise, we are all aware that Nepal is very rich as far as availability of water is concern but people are not getting drinking water as
per the requirement and due to lack of awareness people are using contaminated water and getting sick. To short out all these
problems a mass level awareness campaign is needed, hence Ganga Consultancyis very much interested to work in the water supply
and sanitation sector.

The company is operated by board of directors consisting of experienced, qualified, and energetic individuals. The board of directors
defines the overall policies, strategies, priorities and modus operandi for each project. The day-to-day management is delegated to the
managing director elected by the board and also one of promoters of the company. Works are divided in to five major sections of
which section chiefs are responsible. Most of the section chiefs are the member of board of directors, and the promoter of the firm.

9 Consultant’s Organization: The capabilities of RIDARC Nepal Pvt. Ltd. can be attributed

This letter is to certify that Punarjagaran Samaj Nepal (Renaissance Society Nepal - RSN)/Rural
Infrastructure & Management Consultant (P.) Ltd. Bhaktapur/JV had worked with poverty Alleviation
Fund (PAF), as a partner organization (PO) to implement targeted Poverty Alleviation Program in
Pyuthan district from February 2010 to 15 july 2016 and Parsa district from January 2012 to 15 July
2016. The program was launched in 7 VDCs (Bangesal, Damri, Khawang, Lingha, Lung, Phopli &
Syauliwang) of Pyuthan and 4 VDCs (Alau, Birgunj, Sub-Metropolitan City, Likhnpur & Lalparsa of
Parsa. The main objective of PAF is to reduce the level of poverty. PAF as national program has
strategies to reduce the acute from of poverty by implementing four program components (i) Social
Mobilization (ii) Community Infrastructure (INFRA) (iii) Income Generation and (iv) Capacity
Building. RSN/RIMC/JV, as partner organization had facilitated mainly for social mobilization,
capacity building component as well as technical backstopping in IG and INFRA sub projects
(Identifying and developing livestock pocket and farmers groups/co-operatives mobilization /
implementation manuals, agro-processing enterprises and different micro-enterprises.)
Under PAF Program, RSN/RIMC/JV had formed Community Organization (COs) and facilitated the
COs to implement the community sub projects of PAF investment in order to increase their economic
status and proper rehabilitation. The target beneficiaries are the marginalized and socially
disadvantaged people (Dalit, Janjati, Vulnerable groups, Minorities, Disable, Poor Women, marginal
farmers, etc.)
While working in partnership, We found RSN/RIMC/JV's program targeted to the most vulnerable
excluded groups and other minority groups such as Dalit, Janjati, Vulnerable groups, Minorities,
Disable, Poor Women and Deprived for their rights. Furthermore, RSN/RIMC/JV is one of the national
level NGO working in Nepal having its well-managed office, systematic and transparent financial and
reporting system with sufficient capable and trained human resources. It has successfully completed
large community based integrated programs, advocacy and right based programs.
Under PAF Program, the total contract amount is NRs. 35,673,200.00 for both Pyuthan and Parsa
districts.

Coordinated with the community enthusiasm on the execution of the project and
willingness as well as affordability to contribute in cash and labour for construction and
undertake operation and maintenance responsibility upon commissioning;
Identified and recommended the appropriate interventions required to promote sanitation
and hygiene at personal, household and community level.

Narrative description of Project: Manmohan Memorial Polytechnic is a technical educational institute which was
established by the support of Nepal Government with the concept of community participation model.
Manmohan Memorial Polytechnic has provided various middle level manpower in engineering sector since more than past
ten years. This institute has been growing rapidly after its establishment which leads to support province government of
province no 1 to convert the institute to Technical University .The declaration of university makes this university to be the
Nepal’s first provincial university as well as the first ever technical university in the country.
After the declaration of university, this institute needs to develop the infrastructure to develop the faculties and enhance the
technical program of different sector.
Objectives:
The objective of study is to provide detail report of the various buildings that need to be constructed for addition of the
different technical faculty.
The main objective of the report is to
Find the total cost of the project.
Find the area required to construct the additional faculty.
Find detail estimate including the machinery, desk, benches and other equipment’s needed to the faculty.
The task includes preparing the detail engineering design, cost estimate, Drawings (both 2d and 3d), detail estimate of
the tools equipment’s and other various requirement for the faculty, Abstract of Cost, Bill of Quantity and Specification.
Description of actual services provided by your staff within the assignment:
Scope of Work:
The scope of the consulting services includes but not limited to the followings:
a.) Survey and site verification:
Review the secondary data and visit the proposed location of the proposed building before starting the work.
Measure the site and verify the size of building required and area in the field.
Study the soil report, total area required for the building.
b.) Detail Engineering Design:
Detail engineering design and drawing for the construction of different faculty buildings. Classroom, lab and workshop
according to the faculty and office different staff room.
Detail structure drawing with structure analysis of every structure with the analysis any structure analysis software
Architectural drawing of every building in both 3d and 2d including the video of every room of each building.
Detail requirement of the tools, equipment’s, machinery desk benches, chair etc. for the room needed according to the
requirement of the faculty of the building designed.
Based on the detail engineering design, prepare all necessary tender drawings, technical specification, Abstract of Cost
(AOC), bill of quantities (BOQ), detail cost estimate, implementation schedule etc. The technical specification should be
in accordance with the best international /national practices and should be prepared to achieve the highest standards of
quality.
Prepare construction drawings with sufficient detail to permit contractor to carry out construction work effectively and
unambiguously and with highest standards of quality.
Carry out value engineering to generate number of technically feasible design, workout the least cost alternative in order
to ensure the best techno-economic designs.
Any quarry in approved design in case of approval from concerned government office like concerned rural municipality,

Narrative Description of Project:
Nepal Electricity Authority (NEA) has received financial assistance from the ADB with co-financing from Norway and loan from
European Investment Bank (EIB) toward the cost of Safeguards Implementation and Monitoring work of the Dana- Kushma
220kV TL Project (DKTLP) under SASEC-PSEP.
The project is located in Parbat and Myagdi district, western Nepal and Dana substation is located at ward no. 6 of Dana Village
Development Committee (VDC) of Myagdi district. Similarly, Kushma substation is located at Bagaicha, ward no. 4 of Kushma
Municipality (former ward no. 2 of Khurkot VDC) of Parbat district. The length of this TL is 40 km.
The TL crosses 4 VDCs (Nanglibang, Dhairing, Majhphant Mallaj and Banskhark) and Kushma municipality of Parbat district
and 8 VDCs (Rakhu Piple, Rakhu Bhagwati, Begkhola, Histan, Dowa, Ghar, Bhurung Tatopani and Dana) of Myagdi district.
The TL route starts from Dana substation and terminates at Kushma substation.
The main scope of the project is to deploy the manpower (Social safeguard Implementation Officer) required for the ESMU of
NEA based at the project site. The main objective of the assignment is to support the Project Management Directorate in
planning, reviewing, monitoring, and reporting the overall social safeguards of the projected area.
Detailed Description of Actual Services Provided by the Company:
The major scope of work of the consultant shall be updating of environmental and social safeguard documents prepared for the
Transmission Line (TL) projects, implement environmental and social measures proposed in approved document including the
safeguard activities to be implemented in Transmission Line (TL), compliance and impact monitoring, propose additional
measures if required, assist project for grievances handling, preparation of Compensatory Plantation Plan (CPP), Nursery and
Plantation Management Manual, implementation of resettlement plan and other safeguard issues, consolidate field data and
prepare periodic environmental and social safeguard reports. The detail of scope of work to be carried out by the consultant is
given below:
1. Set up and operationalize Safeguards Desk
2. Review and update the environmental and social safeguard documents
3. Implementation of the activities mentioned in Initial Environmental Examination (IEE)/ Environmental Management
Plan (EMP), Social Safeguarding Plan and Resettlement Plan (RP).
4. Develop effective public consultation guidelines and support in implementation for the project to ensure meaningful
public consultation during project preparation and implementation.
5. Review the RP/IPP and IEE/EMP of the project to understand proposed project activities;
6. Update the RP/IPP and IEE in accordance with ADB’s and the government’s safeguard policy, as necessary;
7. Facilitate and conduct, prepare consultation report preferably in matrix form of each meeting.
8. Organize and deliver environmental and social training programs and workshops for the Project officials and
contractors staffs and other implementing agency officials as needed, on safeguard requirements and their
management.
9. Prepared the quarterly, semi-annual monitoring report by timely providing field monitoring report;
10. Carry out field level information discloser activities;
11. Carried out social surveys to assess IR and IP impacts, preparing safeguards planning documents and verification of
IR/IPP implementation;
12. Conduct socioeconomic survey of the project affected households and census the affected persons and their assets
keeping their records;
13. Provide necessary support to cadastral survey technician in informing potential affected persons and facilitate for
demarcation of loss.
14. Provide required information for preparing or updating resettlement plan as required;
15. Assist the Project Manager (PM) and Preliminary Land Acquisition Processing Officer to orient the CDC member about
the provisions made in RP document prepared for the project get compensation fixed by CDC considering the
recommendations of RP;
16. Coordinate with district level line agencies and other stakeholders to disseminate information about the project, social
safeguard activities and support that might be required for the project;
17. Facilitate the PM and (Chief District Officer) CDO on forming Grievance Re-Address of Client Committee (GRC) and
Local Coordination Forum (LCF) as applicable as a part to facilitate land acquisition, compensation distributi on,
grievance resolving etc. activities;
18. Support the CDO, PM, project affected persons, and relevant stakeholders on organizing GRC meeting and solving
grievances,
19. Provide necessary information on preparing and finalizing social safeguard monitoring report; and
20. Coordinate with NGO/consultant/contractor/Users Group assigned for the implementation of mitigation and
enhancement activities as per IEE and social safeguard document prepared for the project.

Mobilization (ii) Community Infrastructure (INFRA) (iii) Income Generation and (iv) Capacity
Building. RSN/RIMC/JV, as partner organization had facilitated mainly for social mobilization,
capacity building component as well as technical backstopping in IG and INFRA sub projects
(Identifying and developing livestock pocket and farmers groups/co-operatives mobilization /
implementation manuals, agro-processing enterprises and different micro-enterprises.)
Under PAF Program, RSN/RIMC/JV had formed Community Organization (COs) and facilitated the
COs to implement the community sub projects of PAF investment in order to increase their economic
status and proper rehabilitation. The target beneficiaries are the marginalized and socially
