4 PACKAGING AND MARKING TERM
- Hòm (case, box): Tất cả những hàng có giá trị tương đối cao, hoặc dễ hỏng đều được đóng vào hòm. Người ta thường dùng các loại
hòm gỗ thường (wooden case), hòm gỗ dán (plywood case), hòm kép (double case), hòm gỗ dát kim khí (metallized case) và hòm gỗ
ghép (fiberboard case).
Bao (bag): Một số sản phẩm nông nghiệp và nguyên liệu hóa chất thường được đóng vào bao bì. Các loại bao bì thường dùng là: bao
tải (gunny bag), bao vải bông (cotton bag), bao giấy (paper bag) và bao cao su (ruber bag).
- Kiện hay bì (bale): Tất cả các loại hàng hóa có thể ép gọn lại mà phẩm chất không bị hỏng thì đều đóng thành kiện hoặc bì, bên
ngoài thường buộc bằng dây thép.
- Thùng (barrel, drum): Các loại hàng lỏng, chất bột và nhiều loại hàng khác nữa phải đóng trong thùng. Thùng có loại bằng gỗ
(wooden barrel), gỗ dán (plywood barrel), thùng tròn bằng thép (steel drum), thùng tròn bằng nhôm (aluminium drum) và thùng tròn
gỗ ghép (fiberboard drum).
Ngoài mấy loại bao bì thường dùng trên đây, còn có sọt (crate), bó (bundle), cuộn (roll), chai lọ (bottle), bình (carboy), chum (jar)...
Các loại bao bì trên đây là bao bì bên ngoài (outer packing). Ngoài ra còn có loại bao bì bên trong (inner packing) và bao bì trực tiếp
(immediate packing).
Vật liệu dùng để bao gói bên trong là giấy bìa bồi (cardboard), vải bông, vải bạt (tarpauline), vải đay (gunny), giấy thiếc (foil), dầu
(oil) và mỡ (grease). Trong bao gói có khi còn phải lót thêm một số vật liệu, thí dụ: phoi bào (excelsior, wood shaving), giấy phế liệu
(paper waste), nhựa xốp (stiropore) v.v... có khi vải bông cũng được dùng để lót trong.
Trong mấy thập kỷ gần đây, người ta dùng chất tổng hợp để chế ra vật liệu bao gói như các màng mỏng PE, PVC, PP hay PS.
- Quy định cụ thể các yêu cầu về bao bì, như:
+ Yêu cầu về vật liệu làm bao bì, ví dụ: bằng gỗ mới bằng màng mỏng polyetylen, bằng tre nứa đan, bìa bồi (cardboard), gỗ ghép
(fiber board).
+ Yêu cầu về hình thức của bao bì, ví dụ: Hòm (case) bao (bale), thùng (drum) cuộn (roll), bao tải (gunny bag) ...
+ Yêu cầu về kích cỡ của bao bì, ví dụ: mỗi bao 50 kg, đay ép 100kg/kiện v.v...
+ Yêu cầu về số lớp bao bì và cách thức cấu tạo mỗi lớp đó, ví dụ: Lớp trong có bôi mỡ và phủ giấy nến, lớp giữa làm bằng nilông,
lớp ngoài là hòm gỗ mới dầy không dưới 2cm.
+ Yêu cầu về đai nẹp của bao bì, ví dụ: hòm phải có 3 lượt nẹp, mà bề rộng từ 2 cm trở lên, mỗi góc hòm phải có sát coóc-ne v.v...

General Packing and marking:

 Packing: All the goods shall be delivered in carton cases in conformity of the manufacturer’s export
standard packing, suitable for transportation by air.
 Marking: Each good shall be marked by manufacturer’s standard marking, suitable to the nature of the
goods and to avoid wrong address delivery.

Rice to be packed in single new jute bags of 50 kgs net each, about 50.6 kgs gross each, hand-sewn at mouth
with jute twine thread suitable for rough, handling and sea transportation. The Seller will supply 0.2% of new

6.1 Rice

6.3.1 Shipment conditions:

c- Demurrage / Despatch money
- If vessel longer detained than the time allowed, the Buyer shall pay the Seller demurrage at the rate below
per running day or pro-rata for time lost.

7.1.4 Irrevocable L/C for exporting groundnut CFR
For each shipment the Buyer must open an irrevocable Letter of Credit, at sight, in us Dollars covering full
value lodged with the Bank for Foreign Trade of Vietnam (Hanoi) by a Bank agreed by both parties. L/C must
reach the Seller no later than 15 days prior expected shipment time and be valid 30 days.
TTR is acceptable.
The such L/C shall be available for payment against presentation of the following documents:
a- Bill of exchange at sight, drawn under the Buyer,
b- Full set(s) of clean on board ocean bill(s) of lading marked "Freight prepaid",

8 FORCE MAJEURE
The force majeure (exemption clause) of the International Chamber of Commerce (ICC publication No.421) is
hereby incorporation in this contract.
Force Majeure circumstances must be notified by each party to other within 7 days and confirmed by writing
within 10 days together. Beyond this time Force Majeure circumstances shall not be taken into consideration.

9 CLAIM TERM
The two parties mutually agree to fulfill at the terms and conditions specified in the contract, party who violates
the specified terms and conditions must be responsible for and compensate the loss caused to the other directly
by his violation.
- The Buyer has the right to refuse the goods if the quality of the goods is not suitable to the stipulations in
Article 1 of this contract.
- Upon receiving the goods the buyer shall have the good inspected. If their quality, and specifications are not in
conformity with those mentioned in the Contract, the buyer shall have the right to make claim to the Seller. All
claim by the Buyer shall be made within 30 days after airmail together with particulars of Survey Report of:
“VINACONTROL” of the Socialist Republic of Vietnam which should be regarded as final.

Vietnam under International Commercial Law. The place of arbitration shall be the capital of seller’s country.
The language of arbitration shall be in English. The parties agree that any award made in accordance with the
provisions of this clause is final and binding on both of them. Arbitration charge and any other charges will be
borne by the losing party.

10.2 Groundnut

Any disputes arising out from this contract, if the two parties cannot reach an amicable arrangement
for them, must be refered to arbitration. Arbitration to be held in the country of the defending party. Awards by
arbitration to be final and binding both parties.
All charges relating to arbitrations to be bom by the losing party.

11 OTHER CONDITIONS
- By signing of this contract, previous correspondence and negotiations connected herewith shall be become
null and avoid
- This contract comes into effect from signing date, any amendment and/or additional clause to these
conditions shall be valid only, if made in writing and duly confirmed by two parties.
- This contract is made by English in 6 originals, 3 of which retained by each party.
