MEMORANDUM OF AGREEMENT

This memorandum of agreement is between RED CLOUD INTERACTIVE MARKETING

SERVICES and RUSSELL JOSHUA B. ARCAYOS, Filipino of legal age and a resident of
POOC ORIENTAL, TUBIGON, BOHOL, referred to as RCG MEMBER.

The following are the details of the agreement:

AS AN RCG MEMBER YOU AGREE AND UNDERSTAND THE FOLLOWING:

1. What is Red Cloud Gaming and Esports

 Red Cloud Gaming and Esports is a brand under Red Cloud Interactive,
www.redcloudinteractive.com.
 It is created to help streamers, e-sports enthusiast and gamers to have a unified
platform.
 It is created to help members create partnership with brands.
 It is created as part of the Digital Marketing services of Red Cloud Interactive.

2. Your Membership

 Your membership indicates a free and voluntary sign-up for a non-compensation

agreement to be part of the brand.
 This agreement is entered into between the person who signed the application form
and the channel/page he represents.
 This agreement and membership form does not constitute Red Cloud Interactive
Marketing Services endorsement of the stream and content of the member.
 The member is fully responsible for the legality of the content he streams on his
channel.
 The member is fully responsible for the legality of his individual actions.
 The member fully withholds Red Cloud Interactive Marketing Services from any legal
obligation arising from his individual action in this agreement.
 By becoming a member, you consent in providing his information to Red Cloud
Interactive Marketing Services and understood that the data can be shared with its
affiliates.

3. Your Commitment

 Dedicate at least 2-3 hours once a week to stream at the designated Streaming Site
of Red Cloud Gaming, if you are one of the chosen streamer partners.
 Use the logo provided in lawful manners and at all times in order to promote our
brand collectively.
 Promote the brand and fellow members in the best possible way.
 Share and promote the brand.
 Be part of current and future entitlements as may be agreed upon.
 Ensure that your streams are legal and free from copyright. Any copyright
infringement or violation can be a major cause for your termination as a member.

4. Our Commitment

 Help you in reaching your goals.

 Provide you with a platform to advertise your streams, get help from other streamers,
connect with fellow streamers and fans.
 Make you regular partners of Red Cloud Interactive events and gather event fans
towards you.
 Highlight you in applicable websites and blogs of Red Cloud Interactive including but
not limited to blog articles, profile and more.
 Provide relevant content support for you.
 Provide means to expand your chosen endeavor by means of giving access to the
same client access we have.

5. Exclusivity Rules
 You commit to a non-disclosure agreement of the projects, plans, meeting contents,
etc. which happens during your membership.
 You commit to include RCG as part of your media partnership proposal whenever
you include it in your portfolio or negotiation.
 You commit not to be a member of any competing group or organization, unless you
had been specifically allowed for your membership or RCG is informed prior to your
membership and express consent is given,

6. SCHEDULED STREAMS

 Basic Rules

a. There will be featured streamers per month which will be assigned specific
schedules on the RCG page.
b. Featured streamer and their scheduled will be reviewed on a monthly basis in
order to give chance to other members.
c. These streamers are encouraged to stream on their designated time directly on
the RCG page. Crossposting is not allowed.
d. You can however crosspost the stream from the RCG page to your own channel.
e. Each featured streamer is required to have a minimum of 2 hours stream per
week.
f. You must always include the logo of RCG in your stream.
g. Always tag the game that you are playing on your stream.
h. Share the stream on related groups and avoid sharing too quickly at a time.
Since you are part of the page admin, this could result to page restriction. What
you can do is also share via your own profile by clicking the icon.

 Advertising Rules. The following will be allowed on your stream:

a. Logo of your stream channel.

b. A link to your stream channel/s.
c. Promotion to your direct channel partners/sponsors (maximum of 2).
d. Mention of your direct channel partners/sponsors (maximum of 2).
e. Link to your direct channel sponsors/partners will be allowed on your stream
description.

7. CROSSPOSTING

 Basic Rules

a. Crossposting is allowed for non-scheduled members.

b. You are responsible for ensuring that the content to be crossposted is original
and not covered by copyright.
c. When there is a direct live ongoing on the RCG page, only 1 crossposted live will
be allowed.
d. The maximum crosspost to be allowed is not longer that 2 hours.
e. You will only be allowed to crosspost a maximum of 2 live videos a week for a
total of 4 hours maximum.
f. You can however crosspost the stream from your page to the RCG page.
g. You must always include the logo of RCG in your stream.
h. Always tag the game that you are playing on your stream.
i. Share the stream on related groups and avoid sharing too quickly at a time.
Since you are part of the page admin, this could result to page restriction. What

b. A link to your stream channel/s.
c. Promotion to your direct channel partners/sponsors (maximum of 2).
d. Mention of your direct channel partners/sponsors (maximum of 2).
e. Link to your direct channel sponsors/partners will not be allowed on your stream
description.

8. SHARING ON THE PAGE

 Basic Rules

a. Only admins and Community Managers of the page can share on the page.
b. The purpose of sharing on the page is to boost engagement as well as promote a
member streamer.
c. A member post, video, or channel can be promoted and highlighted on the page
at least once (1x) a month.
d. Page post and sharing should not exceed 3 times per day.

9. EARNINGS, SPONSORSHIP AND STARS

 Earnings generated by stars and subscriptions from the page will form part as the
fund of Red Cloud Gaming and Esports.
 There will be transparency as to the earnings made through streams from everyone.
 An automatic forty-percent (40%) share shall be given to Red Cloud Interactive as its
marketing share.
 The remaining sixty-percent (60%) will be divided as follows: 60% to be divided to
the streamers according to their activeness and stars/subscription earned; and 40%
as revolving fund for RCG.
 If a sponsorship is generated by a member, he/she will automatically get 20% in
cash or in kind from that specific sponsorship as commission.
 When streaming via RCG or CROSSPOSTING, you are not allowed to include in
your caption any link going to your personal donation page or link. This is to be fair
with everyone and to also secure RCG and fund generation through our platform.
Violation of this might lead to termination of your membership.

10. TERMINATION OF CONTRACT

This contract can be terminated In any of the following cases:

1. Request for MOA cancellation, to be sent at least 30-days prior to the effectivity
of the cancellation. The cancellation request shall include the following:
a. Reason for the cancellation.
b. Status report of the project.
c. Financial status.
d. Process of turn-over and schedule.
2. Red Cloud Interactive can terminate the contract upon evaluation that the
Marketing Manager is not following standards set forth in this contract or based
on grave abuse of authority,
3. This contract will be effective initially one (1) year from the date of signing of this
MOA and is renewable thereafter.

Both parties have read the foregoing agreement and agree to them voluntarily and with full
consent.
