2. Interpret ation
For the pur pos e of the se Term s an d Cond iti ons, unle ss the context other wi se n ecessar ily requ ires; “addit iona l charge s” mean s charge s i n ad dit ion to the price of go ods wh ich may be ma de by the S upp lier pur sua nt clau se 5;
“Contract” means any agr eement for t he sup ply of goo ds by Sup pl ier t o P urchaser;
“Goods” mean s any item availa ble for sale to Purcha ser by Sup pli er;
“Purchaser” mean s a ny per son, f irm, corpo ratio n inclu ding succes sor s, admi nist rator s an d a ssig ns wh o or w hich has reque sted the su pply of g ood s by S upp lier;
“Services” means service s supp lie d by Supp lier to Purcha ser in relat ion to the good s;
“Supplier” means BEST BAR (VIC) Pty Ltd C AN 086 622 273, a nd its as sign s. Supp lie r i s a manufacture r an d s upp lier of stee l re inforceme nt to the bu ild ing and constr uctio n i ndu stry an d t herefore s hall no t be regard ed a s a sub-co ntractor;
“Supplier’s prem ise s” mean s t he p lace from wh ich g ood s are made ava ilab le f or co llecti on by Purcha ser and incl udes any site w here such g ood s are manufactur ed or store d;
“Terms and Co ndit io ns” mean s t hese terms and cond iti ons;
“Variati on of C ontract” mean s any variat ion what soever to an order for the sup ply of go ods incl udi ng amen dment s to w orking docume ntati on, sche dul ing a nd re-sched uli ng, loa ding req uireme nts, delive ry time s a nd del ivery s ites;
“Working Documentat ion” mea ns a rchitectura l draw ing, st ructural dra wing s a nd con struct ion dra wing s, spec ificatio ns and reinf orcement sched ule s or s uch ot her document s which are provi ded by P urchaser toget her wit h any sub seq uent
variatio n amen dment or site i nstr uction.
3. Order s
3.1 Subject t o s ub-clau se 3.2, a contract wi ll be d eemed to have bee n create d up on receipt by Su ppl ier of an ora l o r writte n o rder from t he Purchase r for the su pply of g ood s an d acceptance of that ord er by Supp lie r e ither by:
3.2 Suppl ier may in it s ab sol ute di scretio n refu se to sup ply go ods w here-
(a) Goods are unavai lable for any rea son w hatso ever;
(b) An order has no t bee n rece ived by Sup pli er;
(c) Credit l imit s cann ot be agree d u pon;
(d) Agreed credit l imit s have been exceeded; or
(e) Where Supp lie r ha s n ot agre ed t o exten d cred it t o Pu rchaser and payment for the g ood s ha s n ot been received by Su ppl ier
3.3 Any o rder by P urchaser for the su pply of go ods s hall-
(a) If in w rit ing, be s igned by an auth ori sed repre sentat ive of the Purcha ser;
(b) Identify goo ds orde red;
(c) Be s ubject to thes e Term s an d C ond iti ons and such add iti on Te rms a nd Con dit ion s as Sup pli er may in its ab sol ute discret ion req uire; and
(d) Specify the requ ired date of d elive ry.
3.4 Any var iatio n of contract m ust be in wr iting and s igned by Su ppl ier.
3.5 No cancellat ion of a ny or der f or t he supp ly of good s may be ma de u nle ss agreed to in wr iting by Su ppl ier.
3.6 It is t he r esp ons ibi lity of Purchase r to de liver all W orki ng Documentat io n w itho ut charge to Supp lie r to enab le schedu li ng of rei nforcement, u nle ss rei nforcement sched ule s are prov ided by Purchas er.
3.7 No res pon si bil ity is accepte d by the S upp lier for the co rrectnes s of the W orking Documentat ion.
4. Price / Payment
4.1 Unles s o ther wis e agree d i n writ ing a ll good s a nd services are so ld a t Sup pl ier’s r ul ing price at the time of placement of a n or der f or t he supp ly of goo ds a nd service s.
4.2 The pr ice of good s an d services i s sub ject to change by Sup pli er with out not ice, inclu ding charge t o incorp orate a ny i ncrease in the co st of mater ial s an d/o r la bour and /or freig ht an d cartage.
4.3 Unles s o ther wis e agree d i n writ ing, Pu rchaser sha ll pay Su ppl ier for g ood s an d s ervices in ful l e ither up on placement of a ny or der f or th e s upp ly of good s a nd services or at any time pr ior to del ivery.
4.4 Where Supp lie r agree s t o exten d cred it to Pu rchaser, Su ppl ier sha ll su bmit to P urchase r an inv oice fo r goo ds and serv ices o r any part there of de livere d t o Pu rchaser and the ful l amo unt of each invo ice toget her wit h any
addit iona l charge s (if any) w il l b e pa id by Pu rchaser to Supp lier no late r tha n th e date for payment as specif ied by th e agree d cred it te rms.
4.5 Where Supp lie r agree s t o exten d cred it to Pu rchaser, P urchase r s hal l make payments w hen so requ ired to ens ure t otal amou nt o utsta ndi ng from time to time remai ns wit hin the credit l imit determ ine d by the S upp lier.
4.6 Purchaser sha ll pay Su ppl ier on deman d i ntere st at the com pani es overdraft rate +4% per annum or such oth er rat e as may be no tifie d in writ ing by Sup pl ier on a ll overd ue amo unts o wed by Pu rchaser to Supp lier w hich
intere st shal l b e calculat ed daily and sha ll be payable toget her wit h th e over due am ount. Al l P urchase r payme nt s hal l be fir st a ppl ied to t he accrued in teres t.
4.7 Purchaser sha ll not at a ny time be ent itle d to reta in a ny money ow ing to S upp lier not wit hstan ding any default or al leged defaul t by S upp lier of t he Te rms a nd Con dit ion s i nclud ing the sup ply of al leged faulty or defective
goods.
5. Addit ion al Charg es
5.1 In addit ion to the price, Su ppl ier may charge P urchase r w ith any o ne or mo re of the fol low ing:
(a) Taxes, stamp duty or other stat utory charg es or levie s payab le in relat ion to the sup ply of go ods;
(b) Storage charges w here g ood s are no t col lected immed iately on del ivery at Supp lier s premi ses;
(c) Demurrage cos ts or charge s incurre d by Supp lier for atten dance at a s ite f or d elive ry oth er t han Su ppl ier’s prem ise s after the expirat ion of t he f irst thre e q uarter s of an hour, such charge s a re to be
calculated upon mast er carr ier ra tes;
(d) Legal costs (so lici tor a nd own clie nt co sts) a nd di sbur sement s incurre d by Supp lier i n re lati on t o b reach of contract by Purcha ser;
(e) All cost s, charges, exp ense s or any othe r o utgoi ngs incurr ed by Sup pli er with re spect to any var iati on of contract by P urchaser;
(f) All cost s or charge s includ ing admi nis trative costs or charges i ncurred by Su ppl ier or its agent wi th r espect to t he recove ry or retu rn of goo ds from Purchase r whethe r or no t s uch ret urn of go ods occurs in
relati on t o any breach of cont ract;
5.2 Where any var iatio n of contract is req ueste d by Purcha ser, Sup pli er shal l b e ent itle d t o charge Purcha ser f or a ll co sts and expen ses incur red by Sup pl ier in relat ion to t he var iati on a nd Su ppl ier sha ll be gra nted an a utomatic
extensio n of the time for del ivery of goo ds equa l to the delay caused by the var iati on.
6. Tests
6.1 Any te sts or in specti ons of the g ood s, or ( where app licab le) p roduct s or mater ial s u sed in relat ion to the manufacture of g ood s re qui red by Pu rchaser pr ior t o d elive ry, sha ll be con ducted at th e cost of Purchas er.
6.2 Suppl ier shal l have no re spo nsi bi lity what soever for qual ity o r accuracy of te sts cond ucted u nder the su pervi sio n of Purcha ser.
7. Delivery
7.1 Unles s o ther wis e expre ss ly agree d, Purcha ser shal l g ive Sup pl ier te n (10) wo rking days not ice of the date fo r de livery of go od s by S upp lier.
7.2 Delivery of goo ds sha ll be at Sup plie r’s p remi ses dur ing normal bu si nes s h our s u nles s other wi se re que sted by P urchaser and agreed by Su ppl ier
7.3 Where Purcha ser requ ires de livery of th e go ods to be at a site othe r tha n at Supp lier’s prem ise s, Pu rchaser sha ll give notice of t he a lternat ive site for del ivery (Job Site) to Supp lier tw o (2) work ing days prio r to Sup pli er’s
intend ed del ivery date.
7.4 Delivery of goo ds a t job sit e s hal l be on vehicl e o n pr oper ly con structed roa dway a long side job site or as clos e as cond iti ons al low.
7.5 Unles s o ther wis e agree d pr ior to del ivery of goo ds, u nloa ding of g ood s at the job s ite sha ll be t he re spo ns ibi lity of P urchaser and s hall be und ertaken at P urchaser’s cost and in the event then Purcha ser or its agent is no t i n
attendance at the jo b site wh en t he go ods are del ivered Supp lie r re serves the rig ht to un load the goo ds a nd wi ll not be resp ons ib le fo r any c laims, damages, expe nse s o r cost s r esu lti ng or ari si ng the re from.
7.6 Where Purcha ser requ ires Sup pli er o r i ts age nt t o en ter into Purcha ser’s pro perty fo r the pu rpo se of un load ing g ood s, Supp lie r s hal l n ot be l iabl e for any damage to the pro perty t hereo n.
7.7 Where del ivery is at Su ppl ier’s premi ses, del iver shal l b e deem ed t o occur upo n th e ear lier of eithe r th e actual col lection s of goo ds or the provi si on of no tice of de livery to P urchase r.
7.8 Where del ivery is othe r tha n at Supp lier’s prem ise s, de livery sha ll be d eemed to occur up on t he ar rival of t he go ods at t he job s ite.
7.9 A Q uality, descri ptio n, date, t ime, and place of del ivery of g ood s a s i ndicate d o n Sup pl ier’s invo ice or del ivery docket or copi es thereof )”the con sig nment note”) shal l b e concl usive evid ence of qua lity, de script ion, date,
time an d p lace of del ivery of goo ds.
7.10 Where a de livery of g ood s canno t be effected a de livery a nd return fee base d o n mast er carr ier ra tes wi ll be charged t o P urchase r.
8. Inspection
8.1 Purchaser sha ll in spect the g ood s imm ediate ly u pon de livery.
8.2 No claim for sho rtages or damages or defective good s may be ma de agai nst Supp lie r un les s wri tten not ice of such cla im is received w ithi n for ty-eight (48) h our s after de livery. Upo n such a dvice the Sup pli er re serve s the
right t o rect ify sh ortage s or damage s of defective good s at it’s ow n expe nse w ithi n a reaso nabl e tim e after not ificati on by the Purcha ser.
8.3 If Purchaser fail s t o adv ise Supp lier of a ny fau lts or fa il ure of the goo ds to accord w ith t he order of Purchas er with in forty-eigh t (48) of d elive ry, Purchase r shal l be deem ed t o have accepted t hat th e go ods are not fa ulty a nd
accord wit h t he o rder and sha ll hol d Su ppl ier ind emnif ied f rom a ny claim s, damages, expense s or co sts res ult ing fr om ar isi ng o ut of the us e of the g ood s by Purcha ser whet her or not such g ood s are damaged or defective.
8.4 Goods sha ll not be deemed damaged or defective by r easo n o nly of pre sence of ru st, mi ll scale, or ro ll ing seams except as pr ovided i n ( AS3600).

11. Risk / P rope rty
11.1 Risk in good s shal l pas s to Purcha ser immed iately upo n d elive ry.

(a) Hold t he go ods on tru st f or Su ppl ier a nd unt il a ll amou nt o wed by P urchaser to Supp lie r have been pa id in f ull;
(b) Irrevocably app oint or sha ll be deemed to have been irrevocab ly ap poi nted Supp lier it s att orney to do a ll acts an d t hing s nece ssary to e nsu re t he ret enti on of ti tle to g ood s i nclud ing the regis trati on of a
charge or cha rges in favour of Su ppl ier wit h re spect t he g ood s u nder the Compa nie s C ode a ppl icable to the Stat e i n which regi strat ion is s ought; a nd
(c) Separate go ods de livered by S upp lier he ld in storage for resa le, d istr ibut ion, incor porat ion or m ixing of go ods to make ne w g ood s.
11.4 Where
(a) Purchaser makes a ne w object from t he go od s w hether fin is hed or not;
(b) Purchaser mixes the goo ds wit h o ther good s; or
(c) The goo ds become part of ot her g ood s (the ne w go ods de scribe d i n (a), (b) a nd (c) b eing called “the new goo ds”). That t he o wne rsh ip of the ne w go ods imme diate ly pa sse s to Sup pli er; and
(d) Until payment of a ll sum s o wi ng to Supp lie r whethe r u nder thi s or any othe r cont ract to hol d t he ne w g ood s o n tr ust for Su pplier and, if req uire d by Supp lie r to st ore t he new g ood s in a manne r that
clearly s ho ws t he owne rsh ip of th e Sup pl ier.
11.5 For the Pur pose s of rem oving dou bt, the ow ners hip of t he new good s pa sse s t o Su ppl ier a t the beg inn ing of the ope ratio n o r event by wh ich the goo ds a re conve rted int o, are m ixed with or become part of o ther new
goods.
11.6 Where Supp lie r ha s n ot b een paid in the manne r specifie d clau se 4 he reof, Pu rchaser agrees w ith Supp lier to keep t he new good s on tr ust for Supp lier and, if re qui red by Sup pli er t o s tore the new goo ds in a mann er t hat
clearly s ho ws t he owne rsh ip of Su ppl ier.
11.7 Notwit hsta ndi ng s ub-clau se 1.3, P urchaser may tra nsfer, sel l or d isp ose good s inclu ding ne w go ods, t o a thir d pa rty i n th e or dina ry cour se of bu si nes s pr ovide d tha t:
(a) Where Purcha ser is pai d by thi rd party in r espect of go ods i nclud ing new good s P urchase r s hal l h old the wh ole of t he p roceeds of sale on tru st f or Su pplier unt il a ll amou nts owe d by Purcha ser t o Su ppl ier
have been pa id; or
(b) Where Purcha ser is not pa id by th ird party, Purcha ser agrees to ass ign a ll Purcha ser’s claims agai nst such thi rd party to Sup pli er u pon Supp lie r giv ing P urchase r n otice in wri ting to that affect a nd f or t he
purpo se of giv ing effect t o such a ss ignment, P urchase r i rrevocably appo int s Su ppl ier its attor ney.
11.8 Sub-clause s 11.1 to 11.7 i nclus ive ap ply not with stan ding any agreem ent by Sup pli er t o exten d cred it to Pu rchaser.
12. Warra ntie s a nd Exclu sio ns
12.1 All expre ss or imp lied term s, cond itio ns, warrant ies, statement s, as sura nces an d re pres entati ons i n re lati on t o any good s ordere d from Sup pli er are her eby expre ss ly negat ived save fo r:
(a) These T erms and Con dit ion s;
(b) The cond iti ons and war rantie s necessa rily imp lie d u nder the law of a ny State of Aus tral ia or the pr ovis ion s of Divi sio n 3 of part V of the Trade Practice s Act 1974 and any statut ory mo dificat ion or re-
enactment th ereof; an d
(c) Any te rms a nd co ndit ion s t o which Supp lier agree s in writ ing to be b ound.
12.2 If Purchaser claim s that the re ha s b een a breach in the cond iti ons or warra ntie s impl ied unde r th e la w of any Stat e of Austra lia of by the prov isi on of Div isi on 2 of Part V of t he Tra de Pract ice Act 1974 (or a ny sta tutory
modificat ion or re-enactment there of) w hich is not expre ss ly exclude d from the se Te rms a nd Con dit ion s, Supp lier’s Liab il ity s hall be l imited to:
(a) With re spect to the su pply of g ood s, such one or more of t he fo ll owi ng as det ermin ed by Supp lie r:
(i) The rep lacement of th e go ods or the sup ply of eq uival ent g ood s;
(ii) The repa ir of th e goo ds; or
(iii) The payment of the co st of rep lacing the g ood s o r of acquir ing equ ivalent goo ds, o r
(iv) The payment of the co st of havi ng th e goo ds repa ired;
(b) With re spect to the su pply of service s any one or m ore of th e fo llo wi ng as dete rmine d by Supp lier;
(i) The re supp ly of serv ices; or
(ii) The payment of the co st of havi ng th e s ervices res upp lied.
12.3 Suppl ier shal l not in any circum stances be lia ble for a ny claim, liab il ity, expen se o r cost emanat ing direct ly or in direct ly from the non- del ivery of good s or d elay in t he del ivery of g ood s cau sed by the weat her, i ndu stria l
action, unava ilab il ity of raw materia l fo r any reas on, or from a ny u nexpected cau se b eyond the Supp lier’s contr ol dir ectly or i ndir ectly affecting the availa bil ity of goo ds.
12.4 Purchaser acknow ledge s an d decla res that Purcha ser has read t he Te rms a nd Con dit ion s pr ior to the del ivery of goo ds a nd unde rsto od t he same, and that othe rwi se than here in co ntaine d, no war ranty a ssura nce, prom ise
or rep rese ntatio n ha s been made regardi ng th e q uali ty, fitne ss f or use, s uita bil ity or mercha ntabi lity of go ods for any p urp ose what soever, a nd t hat P urchaser ha s re lie d ent ire ly on Pu rchaser’s ow n kno wl edge, sk ill and
judgeme nt.
12.5 Purchaser expre ssly acknow ledge s an d agree s t hat any advice a nd a ll such advice is accepted by Purcha ser at Pu rchaser’s ri sk.
12.6 No contract wit h P urchaser s hall be a sa le samp le u nle ss other wi se exp res sively state d by Supp lie r.
12.7 Suppl ier shal l not in any circum stances be lia ble for a ny claim, liab il ity, expen se o r cost ar isi ng d irectly or ind irectly f rom a ny fault or weakn ess i n o r of the g ood s whethe r i nhere nt or n ot in respect of fau lty o r dece ptive
work p ractices of P urchaser and Purcha ser sha ll ho ld harmle ss and keep Su ppl ier in demnif ied therefr om.
13. Default by the Purcha ser
13.1 In the even t that:
(a) Purchaser breache s or is a llege d t o have breached any co ntract by reas on of fai lure to pay any am ount o wing to S upp lier or any o ther act or omi ss ion;
(b) Purchaser cease s or threa tens to become or is in je opardy of becoming su bject to a ny in so lvency admi ni strati on or
(c) Purchaser cease s or threa tens to cease co nduct of it s bus ine ss in the norma l man ner, Sup pli er may wit hout pre jud ice to any other of its rig ht;
(d) Save where payment in fu ll has been received by Su ppl ier, ref use del ivery of goo ds;
(e) Repo sse ss a ny goo ds del ivered to Purcha ser, the payment for wh ich ha s not been received; or
(f) Retain (whe re ap pl icable) a ll mon ies pai d o n account of g ood s or ot herw ise.
13.2 Where Purcha ser breaches any t erm of a con tract, Supp lier res erves the right of resa le i n re lati on to t hose goo ds.
14. General
14.1 Any n otice, i nvoice or document for Purcha ser shal l be de emed t o b e s ufficien tly served by o rdi nary pr e-paid po st a ddre sse d to Purcha ser on the second bu si nes s day fol low ing the date on which it wa s p oste d and s hall al so
be deeme d to be suff icient ly se rved by facsim ile tran smis si on a nd if tra nsm itted by facsim ile du ring norma l bus ine ss hour s on a bu sin ess day sha ll be d eemed to have bee n give n o n th e b usi nes s day wh ich n ext fol lo ws the
day of tra nsm iss ion.
14.2 Any Term and Co ndi tio n he rein be ing a wh ole claus e or part of c lause w hich is inva lid, unla wful, vo id or unenf orceable s hall be capable of severance wit hout affecting any o ther term or C ond iti on.
14.3 Headings s hall not affect the con structi on of the Term s an d C ond itio ns.
15. Jurisd ictio n
15.1 The Term s an d C ond itio ns sha ll be co nst ituted by the law s of the State in which the contract is made a nd the Purchase r subm its to t he n on-exclu sive jur isd ictio n of the court s of that state.
16. Supp lier’ s Ce rtif icate
A certif icate signe d by the relevant bra nch manager for the time bei ng of Supp lie r sta ting any matte r o r th ing a ris ing dir ectly or i ndir ectly o ut of a cont ract such as:
16.1 The amou nt of any m oney due a nd ow ing o r recovera ble by Su ppl ier f rom P urchase r he reun der inclu ding the add itio nal charges;
16.2 The date of recovery of the g ood s, and
16.3 The date of a ny payment by Purchas er t o Sup pl ier shal l be p rima facie evi dence of the matter co ntain ed in such and Purcha ser hereby ag rees it wi ll not ob ject t o the adm iss ib ili ty of such a certif icate i n any lega l
proceedi ngs.
