THIS AGREEMENT is made as of the date below by and between

Dell Alimov Design (Designer Manager) and Denis (Client).

WHEREAS:

The Designer provides full design and construction management.

The Client confirms his intention to use the services of the Design
Manager within the time specified in the Agreement.

The Design Manager is responsible for all the services provided by

the Design Manager and the construction company, including
before the construction and full constriction delivery.

Client confirms their intention to use Design Manager’s services by

the date set in the Agreement.

Design Manager will act as designer & project manager and

work with Client to develop a design concept for the specified
interior and/or exterior areas of the Client’s property at PROJECT
ADDRESS IDENTIFIED ON DESIGN PROPOSAL.

WHEREAS:
1.1. Design Manager shall prepare and deliver to the Client:

1.1.1. Options, concept

1.1.2. Brief in one option
1.1.3. Draft + project exterior drawing
1.1.4. Interior design and landscape
1.1.5. Exterior design
1.1.6. Visualization of the entire complex from a height
1.1.7. Exterior visualization including the landscape
1.1.8. Draft of the interior and selection of materials
1.1.9. Interior design including the exterior
1.1.10. Complete project visualization

1.2 Deliverables.

Designer shall provide Client with:

1.2.1. Architectural CAD Drawing
1.2.2. Civil Engineering Documentation
1.2.3. Interior & Exterior Design Visualizations (renders)
1.2.4. Project Animation
1.2.5. All the above is called Architectural Design
Documentations.

ARTICLE 2. FEES

2.1. Client agrees to pay Designer USD 10.000 as the booking

fee (within 5 working days upon signing of this Agreement).

ARTICLE 3: MISCELLANEOUS

APPLICABLE LAW; VENUE. THE CONSTRUCTION,

ENFORCEMENT, INTERPRETATION AND VALIDITY OF THIS
AGREEMENT SHALL BE GOVERNED BY THE LAWS OF THE REPUBLIC
OF INDONESIA WITHOUT GIVING EFFECT TO ITS CHOICE OF LAW
PROVISIONS. THE OBLIGATIONS OF THE PARTIES ARE PERFORMABLE
IN THE REPUBLIC OF INDONESIA AND THE PARTIES HEREBY
IRREVOCABLY SUBMIT TO THE EXCLUSIVE JURISDICTION AND VENUE
OF ALL COURTS LOCATED IN THE REPUBLIC OF INDONESIA WITH
RESPECT TO ANY LEGAL ACTION ARISING OUT OF THIS
AGREEMENT.

Counterpart Execution. This Agreement may be executed

in one or more counterparts, each of which shall be fully
executed as an original and all of which together shall constitute
one and the same instrument.

Litigation. In the event of litigation between the parties with

respect to this Agreement, the performance of the obligations
hereunder or the effect of a termination under this Agreement,
the losing party shall pay all costs and expenses incurred by the
prevailing party in connection with such litigation, including
reasonable attorneys’ fees and costs.

Benefit. This Agreement is for the benefit only of the parties

hereto or their respective heirs, personal representatives,
successors and assigns, and no other person or entity shall be
entitled to rely hereon, receive any benefit here from or enforce
against any party hereto any provision hereof.

Assignment. Neither Designer nor Client shall assign or otherwise

transfer this Agreement or its rights hereunder without the prior
written consent of the other party.

Termination. Both parties understand that Client or Design

Manager may terminate the service at any time if, for any reason,
the relationship is deemed unsatisfactory by either party.
Upon written or verbal cancellation, Client is responsible for
payment for all expenses incurred and any work done towards
the completion of the project based on the percentage of the
project completed that is determined by Designer.
The Сlient has the right at any time to stop the project and
change the contractor or the Designer himself. In this case, a re-
calculation of the amount spent and the work done is carried
out.
If the Designer performed the work less than the amount spent,
the Designer returns the difference to the Client.
If the Designer has completed work worth more than the amount
spent by the Client, then the Client pays the difference by the
specified period.
Should Client cancel the project following its completion, Client is
responsible for full payment as per the agreed upon estimate plus
all expenses incurred. In the event of cancellation, Designer
retains ownership of all copyrights and original work created.

Banking Details

The payment is possible both in cash and by bank transfer. In

case of payments made by bank transfer, the Client will receive
an invoice confirming the fact of payment for the service.
