4. Registered office and agent

5. Company Secretarial service

Jordans provides a company secretarial service to deal with the essential organisational aspects of the company, appointment
of our secretarial company as company secretary, maintenance of statutory registers and collection and payment of the annual

10. Location of registers of members and directors

A BVI business company must keep at the office of its registered agent a register of members and a register of directors or a
copy of them. The register of directors must also be filed with the Registry, but is not publicly available. Where a company keeps
a copy of the registers at the office of its registered agent, it shall: (i) within 15 days of any change in either register, notify the
registered agent in writing of the change; and (ii) provide the registered agent with a written record of the physical address
where the original registers are kept.

We will prepare the registers upon incorporation. Unless you subscribe to the company secretarial services in the Optional
Services below, you will, unless otherwise agreed, be responsible for providing us with updated registers whenever changes are
made to them.

11. Location of minutes and resolutions, and financial records

A BVI business company must keep minutes and resolutions of its members and directors, it must also keep records and related
underlying documentation that is sufficient to show and explain the company’s transactions; and will, at any time, enable the
financial position of the company to be determined with reasonable accuracy.

We will assume that you will hold the minutes, resolutions and financial records. Please specify the location of the originals below
and notify us within 14 days of any change to their location.

12. Company seal

It is a statutory requirement in the BVI for each company to have a company seal. Please tick here if you would like Jordans to
produce a hand plier seal for the company.

13. Accounting services

A BVI company is required to keep such accounts as the directors consider necessary or desirable to reflect the financial position
of the company. Any accounts that are prepared are not filed in a public register.

Please note that where we provide director services we require the appointment of a suitably qualified accountant.

14. Bank account services

Jordans can assist in the opening of a bank account for the company. Where we provide director services we expect that the
bank account will be operated by our signatory panel.

15. First board minutes

Where we are not providing a secretarial service we can prepare the first board minutes and share certificates ready for
execution. See price list.

17. Invoicing policy

It is our practice to issue our invoice for the formation and for the first year of any annual services to the person named in
Section 19.

For subsequent years it is our policy to contract with the company and to invoice the company for the annual service fee.

Due diligence Requirements

The BVI has anti-money laundering legislation in place which requires us to collect due diligence before we are able to release
the company documentation to you after incorporation or to deal with the company’s statutory affairs (including applying for
the opening of a bank account).

IMPORTANT
Failure to supply the following information will delay the incorporation of your
company.

Due diligence

1. The following information must be provided in relation to each beneficial owner, shareholder, director, officer
(including the holder of a Power-of-Attorney) and instructing party of the proposed Company (altogether referred to as ‘relevant
party’).

Please note that the instructing party is required to provide us with full due diligence unless it is regulated by a Financial Services
Commission or Financial Services Agency or equivalent, or is a legal practitioner or accountant who belongs to a
professional body whose rules incorporate provisions consistent with the FATF recommendations, provided that it is supervised
by its professional body for compliance with those rules.

A. If the relevant party is an individual please provide the following (tick if enclosed):

(i) 1 certified copy document evidencing identity (see note A on page 12). This document must contain a photograph
which must be certified as a true likeness of the individual; AND

(ii) 1 separate document evidencing residential address, separate to the evidence taken for name
(see note B on page 12)

Important notes – please read carefully

Certifying documents

Any copy documents supplied must be certified, preferably in English, as being a true copy of the original. Where the
document contains a photograph, the photograph must be certified as a true likeness of the individual.

An acceptable certifier is one who is independent of the person whose documents are being certified; and is subject to
professional rules of conduct of statutorycompliance measures. Acceptable certifiers include an independent lawyer, accountant,
notary, bank manager or embassy official who should provide their name, address, status or capacity on or with the certified
document. The certifier should clearly sign and date the certificate/documents.

Certificates should appear on the copy document. If they appear on a separate document the copy document which is being
certified must be clearly identified. If certificates are not provided in English we reserve the right to require that an appropriate
notarised translation is provided.

Note A: Acceptable evidence of identity

The following are acceptable as evidence of identity. Certified copies (not originals) should be provided.

• Current signed passport (this is the preferred form of evidence). The copy should show the unique reference number, the is-
suing office, expiry date, full name, signature and photograph.

• Current provisional or full driving licence bearing photograph and signature.

• Government issued National Identity Card bearing photograph and signature.

• Self-Employed in the Construction Industry – tax exemption certificate with photograph of holder 9Forms C155, C156 or
CS4

• A certified copy of tax notification from a revenue authority

Note B: Acceptable evidence of residential address (separate to evidence of identity)

The following are acceptable as evidence of address. The original or a certified copy may be provided.

• Recent utility bill (not more than 3 months old and not a mobile phone bill) or local authority tax bill (this is the preferred
form of evidence).

• Current provisional or full driving licence bearing photograph and signature (if not used for evidence of identity).

• Most recent bank or credit card statement

• Building society account or mortgage statement (not more than 3 months old).

• Local authority tax bill (for current year)

The individual must also provide his or her former name, other current name or aliases used, his or her gender, date of birth, oc-
cupation, employer’s name and address details.

Where an assessment is made that the individual or the service that is being provided presents a higher than normal level of risk
additional information would be requested as is considered necessary. This may, for example, consist of a bank or
professional reference.
