‘{CLIENT NAME}’ WEBSITE PROPOSAL

Summary of services request:

Consultant services provided by IM Graphics to {CLIENT NAME} (‘Client’) will include but may not be limited
to the following specific tasks/deliverables:
Website:
Build a new, customized website in WordPress:
- Featuring approximately XX pages which will include information about chamber, programs, news, events,
photo gallery, membership directory, membership form, and contact form page.
- Integration of ADA accessibility plug-in, galleries, member logIn, Stripe, and/or other platforms.
- Sharing features for social media.
- Basic training on using WordPress and adding/editing content.
- Once the website is completed/launched, the website as a whole will be submitted to search engines
allowing it to be indexed.

Terms of above (if agreed)

1. ‘Client’ agrees to pay IM Graphics for completion of Specific Tasks/Deliverables mentioned above:
a total of $X,XXX.

2. IM Graphics will provide to ‘Client’ an invoice at the start of the project ($X,XXX) and a final invoice
at the completion of the project ($X,XXX).

3. ‘Client’ shall pay IM Graphics the amount due within 30 days of receipt of each invoice.

4. Either party may terminate this agreement with 30 days of written notice.

Independent Contractor; Nothing herein shall be construed to create an employer-employee relationship between ‘Client’
and IM Graphics. IM Graphics is an independent contractor and not an employee of ‘Client’.

Confidentiality: In the course of performing services, the parties recognize that IM Graphics may come in contact with or
become familiar with data and information that is considered proprietary or confidential to ‘Client’. IM Graphics agrees to
keep all ‘Client’ data confidential and not discuss or divulge it to anyone other than appropriate ‘Client’ personnel or their
designees.

Ownership and Return of ‘Client’ Property, Information & Data: IM Graphics understands and agrees that all data,
information and other content developed in conjunction with the project and any and all reports, analyses, digests,
presentations or related materials of any description remain the sole property of the ‘Client’. All files are the property of
the ‘Client’ and will remain accessible and unimpaired.

Miscellaneous:

Entire Agreement. This Agreement constitutes the entire agreement of the parties with regard to the subject engagement,
and replaces and supersedes all other agreements and understandings, whether written or oral. No amendment or
extension of the Agreement shall be binding unless in writing and signed by both parties.

Governing Law. This Agreement shall be governed by the laws of the State of Florida. The invalidity or unenforceability of
any provision of the Agreement shall not affect the validity or enforceability of any other provision.

WEBSITE MAINTENANCE PROPOSAL
IM Graphics provides a complete array of creative and web services after the design and development
of your site. Along with routine maintenance and updates with hosting included.
What you can expect from IM Graphics:
- Edit, revise, update or create new textual/minor graphical content.
Not to exceed four (4) billing hours each month (non-accrual), after which is billed hourly.
- Regular monitoring/updating to ensure performance across major browsers due to the
fact that not all browsers render sites in the same way.
- AutoSSL (https) hosting on a Virtual Private Server (VPS)
- Submission to Google, Yahoo and Bing search engines and includes access to
Google Analytics page.
- Installation and setup of plug-ins for donations*, ADA accessibility,
submission and payment forms*, and photo galleries*:
*pro versions of these plug-ins are necessary and require annual commitments to be included
in the initial invoice at start of the maintenance agreement, as outlined below.

The base monthly charge for these services is $180/month

Donations plug-in (GiveWP) $40/month
Submission/payment forms (Gravity) $30/month
Photo gallery (Supsystic/Flickr) $5/month

IM Graphics current hourly/on-demand rate is $72

Invoiced in quarter hour increments after the first hour.

In addition to the website hosting and maintenance updates, IM Graphics offers on-demand creative
services for print and digital. This includes social media graphics, email campaigns for ongoing events,
newsletters, etc.
 WEBSITE MAINTENANCE AGREEMENT

This agreement is between IM Graphics and {CLIENT NAME}, the ‘Client’.

Client is contracting IM Graphics as a provider of web site maintenance, updates and hosting services.
The minimum monthly charge for these services is $180. IM Graphics current hourly rate is $72.
Either party may terminate this agreement with 30 days of written notice.
What IS included in this agreement:
1. Edit, revise, update or create new textual/minor graphical content.
Not to exceed (3) billing hours each month (non-accrual), after which is invoiced hourly in 1/4 hr. increments.
2. Regular monitoring/updating to ensure performance across major browsers due to the
fact that not all browsers render sites in the same way.
3. AutoSSL (https) hosting on a Virtual Private Server (VPS)
4. Upon site launch/publish it will be submitted to Google, allowing it to be indexed by search engines.
This includes installing a Google Analytics code.
5. Paid (pro version) plug-ins that require annual commitments (i.e.: donations, photo galleries, etc) are at
additional cost and will be included in the initial invoice at start of the maintenance agreement.
6. Full interval backups, at least once per month and/or at each major update point.
7. Proactively monitoring website functionality to ensure that everything is working as it should and
upgrade where necessary. Some plugins may become outdated and no longer function with the
version of your website and may require upgrading to accommodate changes for improvement.

What is NOT included in this agreement:

1. Web site re-design or re-development.
2. Urgent changes/additions/postings requiring immediate action. Most changes are completed within a 1-3
business day turnaround depending upon current scheduling from when the request is made. Anything “urgent”
needing completion immediately will be assessed at our hourly rate above the monthly agreement.
Revisions, additions or redesign requests not specified in this document shall be considered "additional" and may require
separate agreement and/or payment. IM Graphics will advise Client on any requested work that falls within these bounds.
Client will be provided with full access passwords to the site. During the duration of this contract, the Client agrees
that IM Graphics will be the sole provider of maintenance services for the web site, and no other party will have access to
or rights to change the web site. If a party other than IM Graphics makes changes to the web site, any errors resulting will
be charged for at the hourly rate to repair the site.
Client is fully responsible for the existing access to their DNS (domain name) and emails accounts, which are
unrelated to the website hosting or maintenance package. IM Graphics will provide your IT person(s) the necessary
IP address (A record(s)) to point the DNS to our host server for the website only.
IM Graphics will respond to all maintenance requests from Client within 1 business day, via email or phone, with confirmation that
the request is received with an estimated completion date(s) for each action item in the request. In the event that IM Graphics
encounters unforeseen issues with requested changes, Client will be notified via email or telephone as immediate as possible.
All digital files pertaining to the creation of the final website are the property of Families First and will made
accessible and available upon request.

Authorizations/Confidentiality: Client grants IM Graphics access third party accounts (ie: DNS, Constant Contact, Stripe,
etc) for the purpose of integration with the website, providing active user name / password combinations. In the course of
performing services, the parties recognize that IM Graphics may come in contact with or become familiar with data and
information that is considered proprietary or confidential to the client. IM Graphics agrees to keep all data confidential and
to not discuss or divulge it to anyone other than appropriate personnel.
