MARKETING AGREEMENT

This Marketing Agreement is made and entered into this ___ day of _____ 2021, at
________________________, Philippines, by and between:

The KASAMMAVA FISCO, an existing Irrigator’s Association IAS) registered with the
Cooperative Development Authority (CDA), with its principal office at Barangay Maticaa Ormoc,
City, represented by ELISEO CABONILAS, in his capacity as Chairman and hereinafter
referred to as the “IAS-Seller”;

-and-

The DEPARTMENT OF HEALTH-TREATMENT AND REHABILITATION


CENTER DULAG (DOH-TRC DULAG) , a government unit under the Department of Health
(DOH) with office address at Brgy. Highway, Dulag, Leyte, represented by PORTIA B.
GRAVOSO-ALIPOSA, M.D., DPAFP, in her capacity as Chief of Hospital II and hereinafter
referred to as the “AGENCY”.

WITNESSETH THAT:

WHEREAS, the Enhanced Partnership Against Hunger and Poverty (EPAHP) program
was launched by the government to address critical concerns in hunger mitigation, food and
nutrition security and poverty reduction;

WHEREAS, the Government Procurement Policy Board (GPPB) has issued a directive
allowing government entities to procure food items produced by farmer cooperatives through
negotiated procurement;

WHEREAS, the DOH-TRC DULAG is mandated to provide adequate nutritious and


palatable food for their inpatient Persons Who Use Drugs (PWUDs);

WHEREAS, in consonance with the EPAPH program, the DOH-TRC DULAG may
contribute to the economic advancement of KASAMMAVA FISCO through strategic partnership
as direct buyer of its farm products/services;

WHEREAS, the KASAMMAVA FISCO is in the business trading of palay and rice,
poultry, root crops, fruits and vegetable production and trading business where its supply of farm
commodities come from its members and other Irrigators Associations (IAs) in the city of Ormoc;

WHEREAS, the KASAMMAVA FISCO possesses the capability to procure and market
farm products to both individual consumers and institutional buyers;

WHEREAS, the KASAMMAVA FISCO has sufficient supply of farm commodities all
year round and can provide the necessary volume and quality of products as may be required by
the customers/buyers;

NOW THEREFORE, for and in consideration of the mutual covenants, agreements,


obligations, and benefits made and contained in this Agreement, and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereby
agree as follows:
OBLIGATIONS OF THE PARTIES

Section 1. Obligations of KASAMMAVA FISCO

a) Ensure that the required volume of rice, poultry products, banana, vegetables, fruits, among
others, as ordered by DO H-TRC DULAG are timely delivered on expected date and at a
price mutually agreed upon by both parties inclusive of transportation cost;

b) Submit for random inspection and necessary evaluation of goods, in a designated area,
to ensure that the required quantity and quality of items are in accordance with the
specifications set by DOH-TRC DULAG;

c) In case all or any item/s is/are found to be not in accordance with the specifications
required by the AGENCY duly validated by both parties, the IAS-Seller shall be
obliged to make the necessary adjustments/replacements to the satisfaction of and
without cost to the AGENCY; and;

d) Submit billing statement with complete documents and issue Official Receipt for every
payment made by DOH-TRC DULAG.

Section 2. Obligations of DOH-TREATMENT AND REHAB CENTER - DULAG

a) Accommodate the IAS-Seller, KASAMMAVA FISCO, as Partner-Supplier under the


Enhanced Partnership Against Hunger and Poverty Program (EPAHP);

b) Regularly procure rice, poultry products, banana, vegetables, fruits, among others, at
the price agreed upon by both parties;

c) Notify the IAS -Seller on the list of required farm products / goods 1-week before
date of delivery;

d) Issue Purchase Order/s in favor of the IAS- Seller (KASAMMAVSA FISCO) at least
one (1) week before date of delivery and inform the IAS-Seller once the Purchase
Order is approved;

e) Conduct inspection and evaluation of delivered commodities, in a designated area,


prior to its acceptance;

f) Provide the IAS-Seller with the list of supporting documents to be submitted together
with their billing statement in order to readily facilitate payment due to IAS- Seller;

g) Shall pay in a manner agreed upon by both parties but shall not exceed sixty (60) days
upon delivery; and

h) Provide timely feedback to the IAS- Seller for any concern or issues regarding the
purchased farm products.

TERMS AND CONDITIONS

That, the term of this marketing agreement shall be in force within one (1) year, and
commence on the date of signing hereof, subject to renewal at the pleasure and mutual agreement
of both parties.
That, both parties also reserve the right to terminate the foregoing agreement on grounds
just and equitable, for the protection of its interest, provided that the party who decides to
terminate the agreement shall give notice to the other party of its intention and reason thirty (30)
days prior to the effective date of termination.

EFFECTIVITY

This AGREEMENT shall be effective immediately upon signing of the Parties.

CENTER DULAG (DOH-TRC DULAG), a government unit under the Department of Health
(DOH) with office address at Brgy. Highway, Dulag, Leyte, represented by PORTIA B.
GRAVOSO-ALIPOSA, M.D., DPAFP, in her capacity as Chief of Hospital II and hereinafter
referred to as the “AGENCY”.

WITNESSETH THAT:

round and can provide the necessary volume and quality of products as may be required by the
customers/buyers;

NOW THEREFORE, for and in consideration of the mutual covenants, agreements,


obligations, and benefits made and contained in this Agreement, and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereby
agree as follows:
OBLIGATIONS OF THE PARTIES

Section 1. Obligations of KASANAG FISCO

a) Ensure that the required volume of rice, poultry products, banana, vegetables, fruits,
among others, as ordered by DOH-TRC DULAG are timely delivered on expected date

payment made by DOH-TRC DULAG.

Section 2. Obligations of DOH-TREATMENT AND REHAB CENTER - DULAG
