BINDING TERM SHEET BY AND BETWEEN

DNR CORPORATION
AND
MGM BOSCO LOGISTIC

This term sheet (“Binding Term Sheet”) is intended to be binding and form the basis of
agreement between the Parties. It is construed to be legally binding on either Party in order for
the Parties to proceed with such a transaction. All payments are in Indonesia IDR.

Parties PT Dos Ni Roha (“DNR Corporation”) and PT Mulia Gunung Mas (“MGM
Bosco Logistics”) (collectively, the “Parties”).

Transaction The Parties wishes to secure rights and access to logistic/distribution

Overview transactions of certain vaccines (“Projects”) that will or already
imported and ordered by several state-owned companies (“Principal”)
under Joint Operating Agreement (“JOA”).
DNR Corporation commits to facilitating business discussions and
bidding process as projects leader, submitting and obtaining Principal
appointment and contract of such vaccine distributions and/or
logistics within Indonesia Region. MGM Bosco Logistic hereby commits
to secure and reserve its logistic facility, to be fully exclusively bound
under such appointment and Contract, jointly with DNR Corporation.

Projects Vaccines distribution and logistics

MGM Services MGM Bosco is required to:

- Provide min 850 refrigerated trucks/vehicles (calibrated by
required temperature) that attached with GPS, proper seal and
temperature indicator and 6 distribution centers (cool room) ±
30.000 m3 (calibrated by required temperature).
- Vaccines Delivery as per request (order request H-1) and SLA
applied
- Insurance
Such services must be available when the appointment is obtained by
DNR or before the contract is issued by Principal

MGM services are exlude from:

- Loading and unloading
- Helper
- Retribution
Pricing and The parties agree to pay the MGM services price, as determined and

Payment detailed in the Annex to this term sheet.

All payments are made through bank transfer, TOP 30 days from the
invoice acceptance, where the funds will be paid subject to the terms
of payment and requirement that are made and approved by DNR and
Principals.
Delivery Subject to Distribution and/or Logistic Agreement of DNR and
Schedule Principals

Confidentiality The Parties and its affiliates shall keep confidential this Binding Term
Sheet and any confidential information furnished to it by the other
party for five (5) years, subject to any exceptions as may be agreed by
the Parties. Each Party may make disclosures as required to comply
with applicable laws and regulations (including requirements of any
applicable securities exchange).

Long Form The parties will negotiate and execute a joint operating agreement
Agreement (JOA) and other documentation within 30 days of the date of this
Binding Term Sheet that includes the terms of this Binding Term
Sheet.
The services shall only be effective when the appointment and/or
Distribution and/or Logistic Agreement issued by Principal.
However, until such time as this Binding Term Sheet is replaced by any
such further documentation, this Binding Term Sheet remains binding
on, and memorializes the legal and enforceable rights and obligations
of, the parties.

Further Each party hereto shall use commercially reasonable efforts to take, or
Assurances cause to be taken, all appropriate action and all things reasonably
necessary to consummate and make effective the transactions
contemplated by this Agreement.
Each party will conduct its activities in a manner consistent with
applicable laws.
Each Party will not engage in any activities that violate any anti-
corruption laws, anti-money laundering laws or any laws relating to
the prevention of fraud, corruption, money laundering or racketeering.

Governing Law; This Binding Term Sheet shall be governed by the laws of the Republic
Enforcement Indonesia. Any controversy arising under or related in any way to this
Binding Term Sheet shall be adjudicated by a court of competent
jurisdiction located in South Jakarta.
