107 Bid Security The Bidder to provide duly signed and stamped Bid Security
Declaration Declaration in format provided as Annexure C on letter head.
The Bidder shall be suspended from being eligible for bidding
if the bidder prematurely withdraws his bid or the successful
Tenderer fails to take up the Work or fails to deposit the
performance guarantee.
108 Performance Security Successful bidder has to submit Performance security deposit
Deposit (PSD): (PSD) @ 03% of the contract value within two weeks from
the date of award of contract in the form of bank
guarantee/DD/FD from a scheduled commercial bank in
favour of "Indian Institute of Management Ahmedabad".
Validity of PSD must be up to contract duration. If any
amount remains liable to be recovered by IIMA from the
bidder or in the event of termination of contract by IIMA on
account of breach of any terms and conditions of the contract
by the bidder, the bank guarantee shall be invoked by IIMA.
PSD will be released on completion of contract period or
completion of scope of work to the satisfaction of IIMA
official whichever is later. IF THE CONTRACTOR FAILS
TO SUBMIT PSD, IT WILL BE DEDUCTED FROM THE
FIRST RUNNING ACCOUNT BILL OF THE
CONTRACTOR. INTEREST WILL NOT BE
APPLICABLE ON PSD AMOUNT.
109 Running Security Running Security @ 5% of the bill value to be deducted from
Deposit each running bill AND shall be released on completion of the
defects liability period.
If any amount remains liable to be recovered by IIMA from
the bidder due to fail to make good of defective work/item,
during DLP period money shall be deducted from the
Running Security Deposit by IIMA.
110 Contract Period 180 days from the date of issue of work order OR date of
issue of site clearance letter, whichever is issued later
111 Liquidated Damage In case of failure of the contractor to complete the work in
scheduled time period Liquidated damage will be applicable
@ 0.5% per week delay maximum up to 5% of contract
amount. The amount shall be either deducted from the bills of
the contractor or from Retention Money or Performance Bank
Guarantee shall be invoked. In case of
unanticipated/unforeseen delay because of Institute’s action,
the Institute and the Vendor may mutually agree to the period
of delayed for the said period, liquidity damage clause will
not apply.

112 Defect Liability Period 24 Months from date of completion of the work duly certified
by Architect and/or IIMA Official.
113 Essential Technical It is desired that, the bidder must have all statutory
Requirement registrations like PAN, GST, PF, ESIC etc. as applicable from
time to time with respect to this contract.
114 Conditional Bids Conditional bids or Bids based on the process / basic schemes
other than mentioned and / or not conforming to the technical
specifications / requirements of the Bidding documents will
not be considered.
115 Contract Agreement IF REQUIRED BY IIMA, the successful bidder has to
execute a contract Agreement with IIMA on the non-judicial
stamp paper of Rs. 300/- (Rupees three hundred only). The
cost of stamp paper shall be borne by successful bidder. IIMA
reserves the right to amend the terms & conditions of contract
after Mutual discussions and shall only be in writing.
116 Insurance Successful bidder needs to submit the below mentioned
policies with in the TWO weeks of award of contract. In case,
the successful bidder failed to do so, the institute reserves
right to cancel the Work Order and can call upon next
bidder/s (L2, L3, etc.) for negotiation
116.01.01 i) The contractor has to take WC policy of sufficient
amount valid till the end of Defect Liability period. OR If the
contractor has existing WC policy, it will also suffice.
116.01.02 ii) The contractor has to take CAR Policy of Equal to
Contract amount valid till completion of Contract period in
the joint name of IIM Ahmedabad & Contractor.
116.02.04 In case of any mishap, the liability for the same will be borne
by the Contractor & not Involve IIMA.
117 Work and Risk Cost The Institute reserves the right to get the whole or part of the
work executed by some other agency at the risk and cost of
the contractor if it is found that the quality and/or the progress
in respect of whole or part of the work is not satisfactory.
118 Indemnity The Contractor shall indemnify and keep indemnified the
Institute against all losses and claims for injuries and or
damages to any person or property. The contractor shall abide
by and observe all statutory laws and regulations in matters of
Labour Law, Factory Act, Explosive Act, Workmen
Compensation Act, GST, Royalty, Excise Duty, Octroi,
Works Contract etc. and shall keep the Institute indemnified
against all penalties and liabilities of every kind for breach of
any such statute ordinance or law/regulations or By-laws. The
Contractor shall not employ child labour. Payment to workers
must be according to Minimum wages act.

119 Compliance with The Contractor shall comply with all norms stipulated by the
owners rules and Owner such as Gate Passes, Security, Maintenance of
regulations Housekeeping, Discipline & Decency at and Around the work
site, Safety Precautions and Safety Regulations.
120 Arbitration If any dispute, difference, controversies or claims of any kind
whatsoever shall arise between IIMA and the successful
bidder, they shall seek to resolve any such dispute or
difference by amicable mutual consultation and deliberation
in good faith within 21 days from the date of intimation of
such dispute, difference, controversies, or claims by referring
it to the Director of IIMA and the successful bidder.
If IIMA and successful bidder fail to resolve such dispute or
difference, controversy, or claim by mutual consultation, then
either Party may give the other, a formal notice in writing that
the dispute, difference, controversy or claim exist specifying
its nature, the point(s) in issue and its intention to refer such
disputes, differences, controversies, or claims to arbitration
under the Arbitration and Conciliation Act, 1996. The sole
arbitrator shall be appointed by Director IIMA having
requisite technical expertise to adjudicate such nature of
disputes. The decision of sole arbitrator shall be binding on
both the parties.
Arbitration shall be held in Ahmedabad, India and the
arbitration proceedings shall be conducted in the English
language. The arbitrator will be requested to give their award
in 60 days' time. The award shall be a reasoned award and the
same shall be final and binding on the Parties. The award
shall be entered in the courts at Ahmedabad and such courts
may order enforcement of the award against the Parties and
their respective successors and permitted assignees. The costs
and expenses of the arbitration shall be borne by equally by
both the parties. The courts in Ahmedabad shall have the
exclusive jurisdiction.
121 Authorization The Contractor shall submit to the Institute the names and
reason and specimen signatures of the persons authorized by
him to draw materials, sign joint measurements, bills,
receive payments, receive instructions/notices etc. on behalf
of the Contractor.
122 Safety and Security Contractor shall abide by the safety code provisions as per
safety code framed from time to time by the government.
No labour/ worker shall be allowed to stay in the campus after
end of the day work.

123 Prices, Taxes & Duties The Bidder should quote firm prices/ rates inclusive of all
Taxes like Duties, Levies, Personal Tax, Corporate Tax,
worker welfare cess, labour cess etc. and all other expenditure
required to be incurred by him/her for providing required
WORK etc. during the contract period as indicated under his
contract and after wards no variation on any account unless
otherwise specifically mentioned will be allowed. (The
contractor will indemnify IIMA against all statutory liabilities
present and future, arising out this contract.) ONLY GST
SHALL BE QUOTED EXTRA AS APPLICABLE.
124 Bid Validity Bid submitted by bidder shall remain valid for a period of
SIX Months from the date of opening of offer. Bidder shall
not be entitled during this period to revoke or vary the content
of Bid or any term thereof. In such case of making any
variation subsequent to submission of bid at their own, the
offer shall be treated as “REJECTED” and EMD (IF
APPLICBALE) shall be forfeited without any reference to the
Bidder and bidder shall be debarked from bidding in future
IIMA tenders.
125 Award of similar type Upon mutual consent, the client may award another similar
of work on same rates type of WORK in campus based on this rates to the
contractor, for which the rates may be valid up to TWO years
from the date of issue of the WORK ORDER.
126 Access to site The Contractor shall allow unhindered access to the Institute
and/or any other party or person, engaged by the Institute to
work at the same site and/or to check/ regulate / watch /guard/
measure/inspect, solely or jointly with the Contractor.
127 Rejection of bid(s) IIMA reserves the right to, at any time and in its absolute
discretion, accept or reject proposals (or to permit any bidder
to resubmit its proposal, such that proposal fails to meet any
or all of the criteria and/or the requirements), to pursue
negotiation with any number of bidders to withdraw from
negotiation with any bidder at any time and to suspend,
discontinue, modify and/or terminate the Tender process at
any time.
128 Quantum of work This contract is basically an item rate contract. The quantities
given in the “BILL OF QUANTITIES” (Part-2, Price Bid) are
approximate only and may vary in actual course of execution.
The Contractor is therefore, advised to quote very carefully.
No claim for compensation from the Contractor shall be
entertained due to any variation in quantities (irrespective of
the quantum of variation) OR deletion of any item. Actual
executed quantities shall be measured and paid.

129 Assignment and sub- The Contractor shall not assign, sub-contract or sub-let the
contracting whole or any part of the contract in any manner. In case of on
unavoidable circumstances, the contractor shall be able to do
it with approval of the owner of premises. However, the
WORK shall be sublet only to the party approved by the
owner.
130 Misconduct The Contractor shall keep the Owner indemnified from and
against all personal and third party claims whatsoever arising
out of any commission or omission by Contractor or his
employees, or representatives as the case may be.
131 Inspection, testing, and The Owner shall be entitled to inspect and / or test by itself
approval of product/s or through any of its representative or an independent agency
by IIMA any premises of the Contractor and materials stored therein
for use pursuant to the Contract and/or any ingredient to be
used. If any material, item or component intended to be used
for the WORK is found to be unsatisfactory (in which matter
the decision of the Owner or his authorised representative
shall be final) the Contractor shall not use such material, and
shall keep the Owner indemnified from and against any
claim.
Note: The contractor shall prepare a sample of the item/s, get
it approved from the Architect and IIMA Officials; before
commencing the final production.
132 Interpretation The Special conditions of Contract shall be read in
conjunction all other documents forming of this contract.
Notwithstanding the sub-divisions of the documents into
these separate sections, every part of each shall be deemed to
be supplementary to and complimentary of every part and
shall be read with and into the contract.
133 Vacation of the The Contractor shall give vacant possession of the
premises facilities/premises made available to the Contractor by IIMA
and return all furniture, fixture, equipment and other items
made available by IIMA in good condition after the
contractual period is over or if the contract is earlier
terminated. Handing over of the vacant possession of the
premises and equipment etc. shall be effected within 15 days
of the completion of the period of contract or termination of
the contract. If the Contractor fails to do so, the Owner shall
be free to take possession of the premises by opening lock(s),
if necessary, and make out an inventory of all furniture
material and equipment and shall be free to deduct from the
Contractor’s bill(s) or security deposit, any item found to be
missing at the replacement cost of the material/equipment,
furniture etc. given to the Contractor by IIMA.

135 Payment of Bills Payments will be made by crossed account payee cheques
only OR e - payment.
135.01 Advance against Not Applicable

135.02 Running Account Bills Payments will be made within 30 days of submission of bills
provided the bills are complete and duly authenticated by the
specified Officer(s) of Architect &IIMA.

135.03 Final Bill Payments will be made within 50 days of submission of bills
provided the bills are complete and duly authenticated by the
specified Officer(s) of the Architect &IIMA.
136 Escalation / De- Prices/Rates quoted will be firm during the entire duration of
escalation of rates contract.
137 Basic Rates Basic rates mentioned (if any) in the tender are F O R site.
Difference will be paid OR deducted for the payment to the
contractor upon submission of documentary proof.
138 Non tender items/ Extra In case of items which the contractor has to execute which are
Items not covered in the tender, the rates shall be paid based on rate
analysis duly certified by engineer in charge and the profit
margin would be 10 % inclusive of all taxes EXCEPT GST
which will be paid extra. Contractor needs to submit the
documentary proof (e.g. material invoice) as supporting
document along with the rate analysis.

140 Termination

140.01 Termination due to If the Contractor is in default under any of the provisions of
Contractor’s Default this Contract, including but not limited to:
i) failure to proceed with all or any part of the Contract
or Contract Work with due diligence.
ii) failure to execute all or any part of the Contract or to
perform any other obligations in accordance with the
Contract.
iii) refusal or neglect to make good defective Work or
replacement of defective material/equipment after being
instructed to do so by Owner.
iv) going into liquidation (other than a voluntary
liquidation for the purpose of reconstruction) or having a
receiver appointed for all or part of its undertaking.
v) delay in executing the Contract such that Liquidated
Damages are due under the terms of the Contract.
vi) abandoning the Contract
vii) assigning or subletting any part of the Contract Scope
of Work without the prior written approval of Owner;
viii) failure to comply with any Applicable Law; then, and
in any such event and without prejudice to any other rights
or remedies that Owner may have, Owner may issue
Contractor written notice describing the default. If
Contractor does not commence remedy of the default within
Ten days after receipt of the notice, Owner may terminate all
or any part of the Contract Work under this Contract and
may then complete or have others complete all such
terminated Work at the Contractor’s sole risk and cost.
In case of such termination, Contractor shall not be entitled to
receive further payment, until the terminated Work is
completed and accepted by Owner. If the costs incurred by
Owner, including costs incurred in performing additional
services to complete the Contract Scope of Work and
Owner’s overheads in this regard, exceed the unpaid balance
of the Contract Price, the Contractor shall reimburse Owner
such excess within ten days after receipt of an invoice thereof.
The rights and remedies provided in this Article are in
addition to the rights and remedies provided to Owner by law,
equity, or under any other Article in this Contract.
Such termination will not relieve the Contractor of its
responsibility to its labourers, suppliers or any other creditors,
including Owner.

140.02 In the event of a termination under Article 140.01, Owner


may use all or part of Contractor’s drawings, documents, and
facilities at Site, in the performance of the Contract Scope of
Work, without payment to Contractor otherwise than by the
extent such use of Contractor’s items causes a reduction of
cost of completing the Contract Scope of Work. If
Contractor’s compensation is on a cost reimbursable basis for
such equipment and/or facilities, Contractor will be
reimbursed for use of such equipment/facilities at the lowest
applicable rate provided for herein or at prevailing market
rates if no rate is specified, and the cost of Contractor’s
Goods used.

140.03 Termination for Owner may, at its opinion, terminate for convenience the
Convenience Contract Scope of Work in whole or in part, at any time by
written notice to Contractor. Such notice shall specify the
extent to which the performance of Work is terminated and
the effective date of such termination. Upon receipt of such
notice, Contractor shall:
i) immediately discontinue the Contract Scope of Work
on the effective date or date of receipt of notice from Owner,
whichever is the latest and to the extent specified in the notice
and place no further orders or sub-Contracts for Goods,
services, or facilities, other than as may be required for
completion of such portion of the Contract Scope of Work
that is not terminated;
ii) promptly obtain cancellation upon terms satisfactory
to Owner of all purchase orders, sub-Contracts, rentals, or any
other agreements existing for the performance of the
terminated Work or assign those agreements to Owner as
instructed;
i) assist Owner in the maintenance, protection, and
disposition of Work in progress, plant, tools, equipment,
property, and Goods acquired by Contractor or furnished by
Contractor under this Contract;
ii) Complete performance of the Contract Scope of Work
that is not terminated.

140.04 Upon any such termination for convenience, Owner shall


have no liability towards Contractor for any damages,
including loss of anticipated profits. As its sole right and
remedy, Contractor shall be paid for
i) the Work, which has been satisfactorily performed till
date of such termination. Contractor shall have the
responsibility to submit the Scope of Work that had carried
out prior to the termination date with sufficient
documentation within 3 days from date of the receipt of the
termination notice. All such Scope of Work shall be properly
protected and handed over to Owner and
ii) all amounts due and not previously paid to Contractor
for Contract Scope of Work completed in accordance with the
Contract prior to such notice of termination, and for Work
thereafter completed as specified in such notice.

140.05 The termination of the Contract shall not relieve the


Contractor of any continuing rights, obligations and liabilities
under the Contract.

141 Force Majeure If the whole of any part of the performance by the Parties of
any part of their respective obligations hereunder is prevented
or delayed by causes, circumstances or events beyond the
control of the Parties including delays due to but not limited
to floods, fires, accidents, earthquakes, riots, explosions,
wars, hostilities, acts of government, custom barriers, or other
causes of beyond the control of the Parties, then to the extent
the Parties shall be prevented or delayed from performing all
or any part of its obligations hereunder by reason thereof
despite due diligence and reasonable efforts to do so
notwithstanding such causes, circumstances or events, the
Parties shall be excused from performance hereunder for so
long as such causes, circumstances or events shall continue
to prevent or delay such performance. However, there will not
be any additional cost implications towards IIMA for such
delay in performance, and the successful bidder agrees to
complete scope of service & meet his obligations under
contract for the cost agreed in LOI/ service order.
142 Taxes, Labour laws and
142.01 Other regulations The Contractor will be exclusively responsible to meet and
comply with all legal requirements related to the work.

142.02 The Contractor shall accept and bear full and exclusive
liability for the payment of any and all existing taxes of the
Central or State Government or of any other authority with
respect to the contract or any item sold or supplied pursuant
thereto or anything done or service rendered pursuant thereto.
142.03 Any legal matter or issues arise and all court matters if arise
for this contract are subjected in Ahmadabad courts
jurisdictions only.

144 Stage-2: Technical The bidders are requested to prepare their own technical
Evaluation proposal. The technical bid shall contain all the relevant
information which forms part of the technical bid. All the
above information should be organized in logically structured
form and submitted as technical bid with an index. Bidder is
free to add any information that can help in assessing
technical quality of the solutions proposed and which touches
upon the parameters/attributes for technical assessment. The
information provided in the technical bid will be used for
understanding and assessing/evaluating the quality of product
being proposed by the bidder.

144.01 Maximum marks: 100 Technical evaluation will depend on the information provided
herein. Technical bid score, out of 100, will be arrived based
on the following Parameters/Attributes/Dimensions:
144.02 20 Financial strength of the firm:
(i) Turnover figures for last three years
(ii) Profit (PBT) figures for any three years
144.03 30 Past experience of the firm with similar requirement
144.04 20 Local setup (workshop, factory, office, Manpower Strength
etc.)
144.05 30 Overall assessment of the firm based such as Technology
leadership, technical capabilities, soundness, quality and
expertise of team, vision, commitment, international
exposure, client service and responsiveness to client's issue,
experience in undertaking similar assignments, feedback from
clients, recognition, awards and standing, etc.
144.06 NOTE: Bidders getting less than 70 marks in Stage-2- Technical bid
will not be considered for opening of Stage-3-Price bid. The
decision of Architect / IIMA Officials will be final and
binding to all for interpretation of any ambiguity.
145 Stage-3: Price Bid: Price Bid of only technically qualified bidders shall be
opened at later date in presence of Institute’s Officials.
Technically qualified bidders shall be intimated by web
notification or auto generated email through e-procurement.
The date and time of opening the price bid shall be
communicated to the eligible bidders through web-
notification at e-procurement website
https://eprocure.gov.in/eprocure/app
The bidders have to e-submit the price bid only as per the
price schedule format/template available on CPP portal. Any
other format for e-submission of price bid shall be out rightly
rejected without any further reference to the bidders.
In case if the price bid is found to be tempered/modified in
any manner, tender will be completely rejected and EMD (if
any) would be forfeited and bidder is liable to be banned from
doing business with IIMA.
The prices must include all the applicable taxes and duties,
fees and any other charges except GST. GST component if

149.07 vii) Item mentioned in BOQ are tentative and arrangement
for payment purpose only, the bidder is responsible to
understand the whole scope of work and quote accordingly.
149.08 viii) Actual area of work done will measured and
considered for the payment.
149.09 ix) Rates shall be inclusive of erection, dismantling &
shifting of necessary scaffolding work & any other temporary
work (if required).
149.10 x) Contractor must take proper safety measures while
working on height (Safety belt, fall arrester, safety shoes,
helmet, safety goggles, Sign boards).

149.11 xi) All work shall be carried out under technical


supervision of IIMA official. Worker/technician employed
should be Skilled & Experienced worker to execute Work.
149.12 xii) The contractors are advised to visit and fully satisfy
themselves with the existing site conditions and requirements
for smooth working, quantity assessment, etc. before quoting
the rates.
149.13 xiii) Contractor may or may not have the continuous front
available due to the ongoing classroom and exams in campus.
So accordingly he has to execute the soft & hard work
(Chiselling, Breaking, chipping)
149.14 i) Bidder to take Architect / IIMA approval before
making any procurement of supply items. IIMA shall not be
responsible for items procured without approval.
149.15 ii) Whenever required, the client can ask the contractor to
temporarily stop the work; if there is/are issue/s of
disturbance to the occupants/students/participants.

iii) There shall not be any provision for night stay/ labour
colony in the campus.

150 The decision of IIMA Officials (for make etc.) will be final
and binding to all.
i) Contractors are requested to read the tender details
carefully and if the brand or make of the material/s is/are not
specified, they may kindly raise the issue through email on or
before pre-bid meeting.
