END USER LICENSE AGREEMENT AND LIMITED WARRANTY

By installing or copying the software you agree to accept all the terms and
conditions of this agreement. If you do not agree with the terms and
conditions of this license agreement, return the unused software, along with
the rest of the package, to the place of purchase for a full refund.

DEFINITIONS. The following definitions are applicable to this agreement. This

package contains software ("SOFTWARE") and related explanatory written
materials ("DOCUMENTATION"). The term "SOFTWARE" shall include any upgrades,
modified versions, updates, additions and copies of the Software licensed to
you by New Wave Concepts. "USE" consists of either loading the software into
computer memory or running it in a CPU; "INSTALL" means to copy the software
to a hard disk drive or similar storage device.

1. LICENSE GRANT. The customer does not receive title to the SOFTWARE. The
customer is granted a non-exclusive license to USE the SOFTWARE at the Postal
Address of the licensee, subject to the restrictions and terms set forth in
this Agreement. You may INSTALL the SOFTWARE in a single location on a hard
disk or other storage device of up to the number of computers indicated by
the license. You may make one backup copy of the SOFTWARE, provided you do
not INSTALL or USE the backup copy.

2. COPYRIGHT. The SOFTWARE is the intellectual property of New Wave Concepts

Limited and is protected by copyright law, international treaty provisions,
and applicable laws of the country in which it is being used.

3. RESTRICTIONS. You may not COPY, DECOMPILE, DISASSEMBLE, REVERSE ENGINEER,

MODIFY, RENT, LEASE or HIRE the SOFTWARE or any part thereof. This SOFTWARE
is strictly licensed for educational, non-commercial use only. You may not
use this SOFTWARE to design, program, test, support, manufacture, or
otherwise develop products for retail or commercial gain.

4. TERMINATION. Any failure to comply with the terms and conditions of the
Agreement will result in automatic termination of this license. Upon
termination of this license for any reason, the customer must destroy all
copies of the SOFTWARE and accompanying DOCUMENTATION.

5. UNAUTHORISED USE AND COMPLIANCE. The customer will use all reasonable
efforts to see that employees, agents, assigns, or other persons under the
direction or control of the customer abide by the terms and conditions of
this License Agreement. The customer agrees to notify New Wave Concepts
Limited in writing of any unauthorised use.

6. TRANSFER. You may not sublicense or lend the SOFTWARE or DOCUMENTATION.

You may, however, transfer all your rights to use the SOFTWARE to another
person or legal entity provided that you transfer this Agreement and transfer
(or destroy), the SOFTWARE, including all copies, updates and prior versions,
and all documentation to such person or entity and provided that you retain
no copies, including copies stored on your computer. Documentary proof of
ownership transfer will be required.

7 NEW WAVE CONCEPTS DISCLAIM ANY IMPLIED WARRANTY INCLUDING, BUT NOT LIMITED
TO, ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE OR
MERCHANTABILITY. NEW WAVE CONCEPTS DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT
LIMITED TO, WARRANTIES PROVIDED BY DISTRIBUTORS, DEALERS AND RETAILERS OF THE
SOFTWARE.
IN NO CIRCUMSTANCES WILL NEW WAVE CONCEPTS BE LIABLE FOR ANY DAMAGE, LOSS OF
PROFITS, GOOD-WILL OR FOR ANY INDIRECT OF CONSEQUENTIAL LOSS ARISING OUT OF
YOUR USE OF THE SOFTWARE, OR INABILITY TO USE THE SOFTWARE, EVEN IF NEW WAVE
CONCEPTS LIMITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS.

Nothing contained in this Agreement shall prejudice the statutory rights of

any party dealing as a consumer.

8. SEVERABILITY. If any provision of this License and Limited Warranty

Agreement is declared by a court of competent jurisdiction to be invalid for
any reason, such invalidity shall not affect the remaining provisions.
