About

CSR activities by Adani Enterprises Limited


According to The Companies Act, 2013 Section 135, Companies (Corporate Social responsibility) Rules,
mandates provisions for companies to fulfil their CSR. The Company has framed Corporate Social
Responsibility (CSR) Policy which encompasses its philosophy and guides its sustained efforts for
undertaking and supporting socially useful programmes for the welfare & sustainable development of the
society. The Company has been pursuing and promoting the societal mission of equitable development
and inclusive growth through Adani Foundation, the CSR and sustainability arm of the Adani Group of
Companies. Adani Foundation, since its formation in year 1996, has been working in numerous strategic
human development areas, benefitting the most deserving members of the society.

Provisions for Applicability of CSR


As per Section 135 of the Companies Act, 2013, a Corporate Social Responsibility (CSR) committee has
been formed by the Company. The CSR Committee confirms that the implementation and monitoring of
CSR Policy, is in compliance with CSR objectives and policy of the company. Hence, the Organization tries
to define a vigorous CSR Policy which incorporates its reasoning and aides its continued endeavours for
undertaking and supporting socially valuable projects for the government assistance and supportable
improvement of the society.

CSR Committee
Every Public Company on which CSR is applicable is required to constitute a CSR Committee of the Board:
Consisting of 3 or more directors, out of which at least one director shall be an independent director.

Responsibility of the Board Of Directors


The Board of Directors of the Organization will shape a Corporate Social Responsibility Committee (herein
after alluded to as the 'CSR Committee') to bury alia, do the accompanying
Capacities:
1. To define and prescribe to the Board, a Corporate Social Duty Policy which will show the exercises to be
attempted by the Company in zones or subject, indicated in Schedule VII of the Organizations Act, 2013
and rules made there under.
2. To prescribe the measure of use to be brought about on the CSR exercises.
3. To screen the usage of system of CSR Policy.
4. To do some other capacity as ordered by the Board from time to time and/or authorized by any legal
warning, alteration or alteration as might be material or as might be essential or suitable for execution of
its obligations.

CSR activities by Adani Enterprises Limited


As a responsible business, Adani Group is committed to conduct its CSR activities in line with the central
goal of Nation Building. All our CSR projects are directed through Adani Foundation and aligned with the
UN Sustainable Development Goals. The Foundation has dedicated itself to the communities in which it
operates. People’s aspirations have far-reaching consequences at societal and national level. The Adani
Foundation relentlessly works towards empowering communities, enhancing quality of their lives and
inspiring the hope of a better future. The Foundation perceives its role as an ‘enabler’ and ‘facilitator’,
bridging the gaps between existing opportunities and potential beneficiaries, while investing in new
facilities and infrastructure. This approach has optimised community and individual growth in a
sustainable manner.

Adani Foundation focuses its activities around four core areas:


• Education
• Community Health
• Sustainable Livelihood
• Community Infrastructure Development

Education-
Adani Foundation accepts that instruction is the venturing stone to lead an existence of poise and quality,
particularly for the underserved and the powerless. The fundamental way of thinking behind its instructive
activities is to make 'quality' training available and reasonable to the youthful personalities Adani Vidya
Mandir, schools are giving totally without cost quality instruction to 2,100 praiseworthy understudies from
monetarily more fragile segment of the general public and are operational in Ahmedabad (Gujarat),
Bhadreshwar (Gujarat) and Sarguja (Chhattisgarh).

Community Health-
Bringing healthcare to remotest of regions, Adani Foundation’s key focus is improving access to quality
healthcare services for people belonging to the weaker sections of the society. In this pursuit, it runs
Mobile Health Care Units (MHCUs) across the nation, hospitals and clinics, and organises general as well as
specialised health camps. In Riagarh, our Mobile Healthcare Unit (MHCU) has been providing free primary
healthcare to 18 villages at their doorsteps, benefitting mostly the poor and vulnerable, especially women,
elders, disabled and children.

Sustainable Livelihood Development-


Adani Foundation's mediation to help practical work age is driven by the conviction that a general public
made of enabled people with a nice way of life prompts by and large thriving and advancement of the
country. The Foundation assembles social capital by supporting activities towards safeguarding of
customary workmanship and explicit projects are intended for anglers networks, ranchers, ancestral
populace and cows proprietors, youth and ladies. So as to help gain current cultivating abilities and
collecting strategies, 25 ranchers from Khamharia, Dholnara, Karwahi, Milupara and Mudagaon towns
were taken for a two-day preparing and presentation visit to PNB Farmers government assistance Trust
Raipur.
Community Infrastructure Development-
At time, lack of toilet facilities can deter students, especially girls, from attending school. Three toilet
blocks in Baksara Middle School, Motia High School, and Basantpur Middle School were built and handed
over, benefitting 1200 students. Promoting and facilitating a culture of cleanliness was also the other
objective. Further, 25 water recharge pits have been dug near the hand pumps and wells in 12 villages.
Quality infrastructure bears a direct influence on living standards and economic development in the rural
areas. Access to resources, increase in the avenues for developing livelihoods, safe and clean sources of
drinking water, and access to qualitative primary health care systems lead to better productivity,
reduction in morbidity and adequate employment. A significant step in this direction is setting up of two
skill development centres in Siktia and Sunderpahari area. This will beneficial to 515 people directly and
around 5000 people indirectly.

CSR Expenditure for Financial Year 2017-18


The CSR activities of the Group is taken by Adani Foundation, a Charitable Trust set up by the Adani Group,
where by the funds are allocated from the Subsidiary Companies of the Group. The Charitable Trust
carries out the CSR activities as specified in Schedule VII of the Companies Act, 2013 on behalf of the
Group.

During the year the Group has contributed ` 8.62 Crores (Previous Year ` 2.56 Crores) as donations to such
trust as a part of CSR expenditure and has spent ` 0.55 Crores (Previous Year ` 0.04 Crores) on other
charitable activities.

The Company is required to spend ` 6.03 Crores towards CSR.

CSR Expenditure for Financial Year 2018-19


CSR amount required to be spent as per Section 135 of the Companies Act, 2013 by the Group during the
year is 6.49 Crores. Expenditure incurred towards Corporate Social Responsibility for the year is H 6.58
Crores. The CSR activities of the Group are taken care by Adani Foundation, a Charitable Trust set up by
the Adani Group, where by the funds are allocated from the Group.

Average net profit: H 299.85 Crore.

The Company was required to spend H 6 Crores towards CSR.

CSR Expenditure for Financial Year 2019-20


According to Section 135 of the Companies Act, 2013, a Corporate Social Responsibility (CSR) advisory
group has been framed by the Company. During the year, the Company was needed to spend H 8.68 crore
according to the arrangements of Section 135 of the Companies Act, 2013.
The CSR exercises of the Company are commonly brought out through beneficent associations set up by
the Group, where assets are designated from the Company. These associations complete the CSR
exercises as indicated in Schedule VII of the Companies Act, 2013 for the Company. During the year, the
Company has contributed H 8.21 crore to these associations (allude note 45) and has spent H 0.80 crore
on other magnanimous exercises

Conclusion 
The Adani Group contributes about 2% of its complete benefit in different social activities through its CSR
arm, Adani Foundation. It displays the others conscious, merciful and generous side of the organization.
Adani Foundation has contacted more than 3.2 million lives in 2250 towns across 15 states through its
work in Education, Community Health, Community Infrastructure Development and Sustainable Livelihood
Development. Adani Enterprises Limited has complied with all the provisions of the Companies Act,2013,
in carrying out CSR activities.
