LETTER OF INDEMNITY

This Letter of Indemnity is executed on this _______ day of________2022 by:

Card No. ________________(hereinafter referred to as “the Lessor 1”) which expression shall unless it
be repugnant to the context or meaning thereof be deemed to mean and include its successors and
assigns)

Mr. Narender Kumar, S/o. ____________, R/o. ____________________________, having Aadhar Card
No. ________________(hereinafter referred to as “the Lessor 2”) which expression shall unless it be
repugnant to the context or meaning thereof be deemed to mean and include its successors and
assigns)

Mr. Ishwar Singh, S/o. ____________, R/o. ____________________________, having Aadhar Card No.
________________(hereinafter referred to as “the Lessor 3”) which expression shall unless it be
repugnant to the context or meaning thereof be deemed to mean and include its successors and
assigns)

Ms. Veermati Singh, D/o. ____________, R/o. ____________________________, having Aadhar Card
No. ________________(hereinafter referred to as “the Lessor 4”) which expression shall unless it be
repugnant to the context or meaning thereof be deemed to mean and include its successors and
assigns)

Mr. Anuj Kumar, S/o. ____________, R/o. ____________________________, having Aadhar Card No.
________________(hereinafter referred to as “the Lessor 5”) which expression shall unless it be
repugnant to the context or meaning thereof be deemed to mean and include its successors and
assigns)

Lessor 1, Lessor 2, Lessor 3, Lessor 4 and Lessor 5 are collectively referred to as “the Lessors”.

We, the Lessors, state/declare as under:

1. We are the owners of the property admeasuring around 3500 sq. ft. located on First Floor (“Said
Premises”) of the building constructed on piece and parcel of land bearing Plot No. 01,
admeasuring 500 sq. yards (approx.) in Khasra No. 478/ 396/ 87/ 1 (07 – 06 – 03), 68 (0 – 16 – 12),
85 (01 – 08 – 01), in agricultural land out of total measuring 18 Bigha 08 Biswa in Khasra No. 478/
396/ 87/ 1 (11 – 03), 68 (12 – 08), 85 (8 – 5) 1/4 th undivided share situated in the Revenue Estate of
Village Masoodpur, New Delhi (“Said Land”);
2. We, the Lessors, intend to convey the Said Premises on lease and for that purposes, we have
agreed to execute a Lease Deed in favor of M/s. Scootsy Logistics Private Limited, a company
incorporated under the Indian Companies Act, 2013, having its registered office at No. 55, Survey
No. 8-14, Ground Floor, I & J Block, Embassy Tech Village, Outer Ring Road, Devarbisanahalli,
Bengaluru, Karnataka- 560103, India (hereinafter referred to as “Lessee”), for an initial period of
05 years on mutually agreed rentals as detailed in the Lease Deed;

3. Plot No. 01 (comprised in the Said Land) was previously owned by Mr. Balkishan Rathi
(comprised in the Said Land) and the same was transferred in favor of Mr. Sanjeev Chaudhary
through an unregistered Agreement to Sell and Purchase and he had further transferred 80% of
his right, title and interest in the Said Land in favor of Shri. Narender Kumar, Shri. Ishwar Singh,
Ms. Veermati Singh and Shri. Anuj Kumar through an unregistered Gift Deed dated 18.11.2021.

4. The Said Premises has been in our possession and under no circumstances the Lessee’s right to
use and occupy the Said Premises under the purview of the aforementioned Lease Deed shall be
hampered/obstructed due to any action by us/our legal heirs/previous owners or any third
party. In the event, the Lessee is obstructed from using the Said Premises during the term of the
aforementioned Lease Deed, we undertake to indemnify the Lessee upto the amount of Rs.
7,00,000/- (Rupees Seven Lakhs Only) for the losses that might be caused to it due to such reason.

5. In the event, due to any reason whatsoever of our fault including but not limited to the Said
Premises, the Lessee is not able to carry out its business from the Said Premises and the Lessee is
forced to terminate the aforementioned Lease Deed, then loss faced by Lessee in terms of
investment in the Said Premises in the form of fit-outs shall be borne by us, as well as upon such
termination the Security Deposit as mentioned in the aforementioned Lease Deed shall be
refunded by us to the Lessee within 3 days of the termination of the Lease Deed by the Lessee.

6. We, the Lessors, shall abide by all the terms and conditions and shall be responsible for any
breach/failure on our part in fulfillment of any of the terms and conditions stated herein above
failing which the Lessee shall be entitled to claim the aforementioned amounts and terminate the
Lease Deed with immediate effect.

AND the Lessors hereby agree with the Lessee that this Indemnity shall remain valid and irrevocable
until the settlement of all claims of the Lessee arising hereunder.

The said Indemnity Letter shall become null and void after the registration of the aforementioned
Lease Deed dated _______.
