Basic Terms and A. LEASE TERM: _______ (____) years commencing on the first day of implementation,

Monthly rent includes any and all costs for succeeding and additional installations and upgrading of
telecommunications equipment and appurtenances.

Payment of monthly rent shall be made through bank deposit or Gcash as submitted in the Lessors
Information Sheet.

E. LESSEE’S INSTALLATIONS: LESSEE’s installations shall be for its account and expense and
shall be done in accordance with the Installation/Layout Plans approved by the LESSOR.
Installations shall be done in such a way that the strength and general structure of the Building is
not thereby or otherwise be adversely affected, and LESSEE shall observe and comply with the
Building’s rules and regulations. Moreover, in the installation, LESSEE shall further comply with
the requirements of the local or national government authorities. Likewise, in the installation of its
telecommunications equipment requiring electrical expertise, LESSEE shall employ only the
services of a Licensed Electrician so that any resulting additional load or electrical current required
shall be within the electrical load capacity of the Building, thereby minimizing fire hazards.

F. ACCESS TO LEASED PREMISES: LESSOR shall allow LESSEE, its authorized

representatives and sub-contractors 24/7 access on the Leased Premises upon prior notice to the
LESSOR as well as access to other telecommunications equipment, in connection with LESSEE’s
installation, operation, or maintenance thereof.

G. COSTS FOR UTILITY: LESSEE shall bear costs for utility in connection with the use of the
Leased Premises.

H. Subject to acquisition of all clearances, licenses and permits necessary for construction.

I. Demolition of existing structure, if any, shall be shouldered by the LESSOR.

J. Installation of Genset at no additional cost to LESSEE.

K. The LESSEE may assign, sub-lease, share, allow co-location, transfer, or convey its right of
possession and lease over the Leased Premises.

L. This Memorandum of Conformity on Commercial Terms (MOC) shall be subject to finalization

and execution of a Contract of Lease between the LESSOR and the LESSEE, or its authorized third
party assignee/transferee. The execution of the said Contract of Lease shall supersede this MOC.
