LEASE OF CONFIRMATION LETTER / AUTHORITY TO CONSTRUCT


FOR COMMON TOWER

Dear Madam:

This letter summarizes our understanding, subject to the terms and conditions outlined below, and such other
terms as maybe agreed upon by the parties, for EDGEPOINT TOWERS INC. to lease a portion of your property
located at __________________________________.

1. Lease Area – a portion of your property, approximately ________ sqm., with a dimension of _______m x
______m for our Antenna Tower installation and radio communication equipment shelter, plus other site
development requirements.

2. Lease Period – Fifteen (15) years commencing on the day of mobilization, ________________ 2023 until
_______________2038, which shall be renewable upon agreement of both parties.

3. Monthly Rental – The monthly rental shall be _____________________(Php) inclusive of all other charges
and fees and assessments on the leased property. The withholding tax shall be withheld by EDGEPOINT
TOWERS INC. at the rate prescribe by law and shall be for your account. EDGEPOINT TOWERS INC. shall
provide you the corresponding Tax Withheld Certificate at intervals mandated by the Bureau of Internal
Revenue Regulations. On the other hand, VAT, if applicable, shall be for EDGEPOINT TOWERS INC. account.

The Documentary Stamp Tax (DST) arising from the Contract of Lease shall be for lessor’s account.

4. Use of the Premises – EDGEPOINT TOWERS INC. shall have the right to install antennas and other
telecommunication, electronic and computer equipment devices, together with other necessary
equipment, fixtures, and appurtenances at suitable places within the Leased Premises.

5. Temporary Power Connection - Where necessary/applicable, the lessor agrees to allow EDGEPOINT
TOWERS INC. to tap a temporary power connection to the nearest grid connection point on the lessor
premises. The consumption of power from this temporary connection will be at the sole cost of EDGEPOINT
TOWERS INC.

6. Contract of Lease – Following the execution of this letter of intent to lease, the parties will enter a Contract
of Lease embodying the terms hereof containing, among other things, appropriate representation and
warranties including provisions for indemnification of parties for breach of warranty and
misrepresentation. Notwithstanding, however, the pendency of the execution of the Contract of Lease,
EDGEPOINT TOWERS INC. is hereby authorized to mobilize its manpower and equipment and commence
work as it sees fit on the Leased Premises for the purpose for which it shall be devoted.

7. Other Conditions – To be specified in the Contract of Lease

a. That the financial terms and conditions in this Confirmation Letter is fixed and final and that no other terms
and conditions could result in additional cost to EDGEPOINT TOWERS INC. shall be introduced;

b. That upon signing this Confirmation Letter, we (EDGEPOINT TOWERS INC.) shall be allowed to mobilize our
equipment and prepare the site for construction;

c. That EDGEPOINT TOWERS INC. shall be allowed 24-hour access to the site for maintenance and inspection
purposes;

d. That you shall assist EDGEPOINT TOWERS INC. in securing the necessary permits/clearances so as not to
delay our project;

e. That you shall allow EDGEPOINT TOWERS INC. access to the site with a road right-of-way from the main
road leading to the Premises free from any charges whatsoever. EDGEPOINT TOWERS INC. shall guarantee
that the contractor shall repair all damage to the access road.

f. That this Confirmation of Lease will automatically be nullified if any of the following permits have been
disapproved by the authorizing agencies of the government – Barangay Clearance/Resolution, Air
Transportation Office Height Clearance, Neighborhood or Homeowners’ Consent, and DENR Environment
Compliance Certificate;

g. That this Confirmation of Lease shall be nullified if the proposed lease area has failed the requirements of
our soil investigation test and/or the building fails the structural investigation.

h. That this Confirmation of Lease shall be automatically nullified if found beyond doubt that a willful
misrepresentation has been made in any or all documents during the finalization and actual signing of the
Contract of Lease.

i. You are willing to wait for at least sixty (60) working days from the completion of the required Property
Documents for the payment and signing of the Contract of Lease. It is hereby understood that during the
sixty (60) working days waiting period, you shall not hamper or hold the construction of COMWORKS
INFRATECH CORP. cell site at the Leased Premises.

That the lease rate, escalation rate, lease period and other terms in this Confirmation of Lease are not subject to
change and cannot be renegotiated.
