of Bagfilter from the latest AceJet series of Bagfilters.

The AceJet series of Bagfilters have been specially designed for providing several
operating advantages & features to its users. These include the following:

1. Specially pre-engineered standard design with over a thousand combinations

2. Specially designed configurator to allow users to configure their Filters!
3. Snap type bags are used as standard for ensuring lower emissions
4. Improved pulsing system for easy alignment & removal of pulsing pipes
5. Aesthetically superior design using a standard Grid type stiffener design
6. Optimumised design developed using Finite Element Analysis Method (FEAM)
7. Special smaller top covers for ease of handling & better sealing
8. RAV with adjustable tips to maintain optimum sealing efficiency
9. High degree of flexibility with 3 ground clearances to chose from
10. Collapsible bolted ladder to reduce transport volume & cost

COMMERCIAL TERMS &

CONDITIONS: -
1) PRICE: The prices quoted are Ex works Solapur / Chakan stores / Our sub vendors works and are
exclusive of packing and forwarding, excise duty, education cess, sales tax,
freight, transit insurance, octroi, etc. and any other statutory levies which
may be applicable extra at actual at the time of dispatch.

2) PACKING AND FORWARDING

CHARGES: Extra 3% of Price.

3) EXCISE DUTY & EDUCATION CESS: Extra as applicable. At present, the

ED rate is 12.36% (Inclusive of Education cess)

4) SALES TAX: Extra as applicable. At present, the

same is 2% against form C or 12.5% V.A.T. whichever
is applicable

5) TERMS OF
PAYMENT:
40% of basic order value as an
advance against LOI/PO.
Balance 60% of basic order value with full amount of taxes, duties etc, on
submission of Proforma Invoice, prior to dispatch, on pro-rata basis.

6) DELIVERY: - Supply of equipment shall be completed within period as indicated above from
the date of receipt of your techno - commercially clear purchase
order along with advance. Equipment will be dispatched in lots / parts to facilitate transportation and
delivery period. Considering size of the equipment, the same will
be dispatched in Pre-assembled /Complete Knocked Down Condition. Welding, Welding Material and
assembly at site (as may be required) will be carried out by the
Purchaser at
his own
expenses.

7) VALIDITY: Our offer shall be valid for 30

days from the date of issue of this offer.

9) INSPECTION: - The equipment offered will be manufactured under strictest quality surveillance by
Thermax Quality assurance program & is not offered for any stage or
final inspection by clients. On special request, we can offer the equipment for dispatch/packing
inspection only. The Delivery Period mentioned above is exclusive
of Inspection
period (if
applicable).

10) SUPERVISION OF ERECTION&COMMISSIONING: Extra at Rs.6500.00 per manday with To & Fro Air fare /
First class Train Charges. Lodging & Boarding should be in Client's account.
11)
DRAWING
APPROVAL: -
The Filters offered are from completely pre-engineered AceJet range. Hence, any drawings submitted
to client are for information purpose & not for comments/approval.
We can furnish the GA Drawings immediately on receipt
of techno - commercially clear purchase order and
advance.

12) WARRANTY: - We undertake to make good by repair / replacement defects arising out of faulty design,
materials, workmanship within 12 months from the date of
commissioning or 18 months from the date of
supply, whichever is earlier subject to :-
- The plant is designed, erected and commissioned by us and no alterations
are made in our plant without specific consent in writing from us.
- The plant is not subject to accident, alterations
or mal-functioning by the purchaser's staff.
- The plant is operated and maintained by competent technical personnel of
purchaser as per our operation and maintenance manual.
- Electrical components like heaters, motors, contactors, solenoid valves etc. & instruments like PGs,
TGs, timers, thermostats, etc. & filter bags are excluded from warranty.

13) FORCE MAJEURE CLAUSE: - Our delivery will be subject to Force

Majeure Condition, which is beyond our / your control.
