Dear Manoharan ,

As per our discussions, you are being transferred to the Infosys Technologies Ltd. (“Infosys” or “the
Company”) office in the USA. Your assignment is with Texas Instruments Inc.,,Dallas(TX).

While in the USA, you will report to Anand Venugopal ,Group Project Manager .

1. Duration

Your deputation will be for a period of about 13 months commencing from 10-Feb-2008. The exact
duration, however, will depend on the specific requirements of the project.

2. Allowance and Salary payable while on deputation

For the period of your deputation, you would be entitled to a fixed allowance. This fixed allowance
would be based on your applicable Maintenance Allowance and India Salary (as defined in clause 3
of this letter) payable to you while on deputation.

3. Allowance in the USA

During your deputation, you will be paid the applicable allowances / wages / salary as per Company
Policy after duly complying with the local regulations and as outlined in your work authorization
documents by the Company in the USA, to defray your living expenses.

Your overseas compensation might undergo a change in case there is a change in your work location.
The revised overseas compensation will be based on Company policy and local regulations. The
official exchange rate used by the Company will continue to be reviewed and revised on a periodic
basis.

You will have the option to draw the Basket of Allowances of your Indian Salary either in Indian
rupees or in equivalent foreign currency. On your return to India, you would be paid your applicable
India salary in INR.

The above allowance is inclusive of all taxes and levies that you would be liable to pay while in the
US as per the prescribed local laws.

4. Working Hours, Holidays & Leave

During the period of your deputation you agree to observe the policies of Infosys and the work
schedule and standard of discipline expected of our employees and act in a manner befitting the
Company and the Country. You agree to abide by the policies of a client of the Company when on
deputation. The Overseas Leave Policy of the Company will be applicable during the period of your
assignment in the USA.

5. Insurance

While in the USA, you will be covered by a Health Insurance Plan. The details of this plan will be
briefed to you by the Travel Department.

6. Process of Deputation

A. We expect you to contribute your best efforts towards the success of your deputation. We
further expect you to carry out all jobs given to you with the greatest of care and to avoid
everything that could adversely affect the reputation of Infosys. You are required to observe
the local laws. You hereby agree and acknowledge that the Company disclaims any liability
in respect of any of your acts or omissions in a personal capacity and you hereby agree to
indemnify the Company against any liabilities incurred by it due to any illegal act or omission
by you, in your personal capacity.
B. You are to return to India immediately after your deputation in the USA on intimation of the
date of termination of your deputation.
C. You will be required to sign the necessary agreements as required by the Company.

7. You will be eligible for an initial settlement advance of USD 3000, which will be deducted from
your
compensation in equal instalments depending on the period of stay in the USA, maximum being six.

8. You will be required to pay tax in US. Tax rate varies from state to state, but is approximately 30 %
for a single person.

9. In token of agreement with the above, please sign the duplicate copy of this letter and return it to us.

10. The company shall not be responsible for or liable in respect of any act or omission by you which is
in violation of any law, rule, regulation or guideline. You agree to hereby indemnify the company
against any legal claims arising out of such acts or omissions.

You agree that, during your term of your assignment with the Company in the USA, it will be your
responsibility to give complete & accurate information with regards to any change in your original location of
deputation to the Company, failing to which you shall provide the Company with authorization to deduct any
additional/ excess/ erroneous payments made to you during your deputation. You also understand and agree
that your failure to timely and accurately provide or update information concerning your deputation and the
failure to do so could result in disciplinary action as deemed appropriate.

The Company reserves the right to change the mode of payment (Gross or Net) based on the various
regulations applicable in the USA. Any changes in the mode of payment (Gross or Net) will be
communicated to you appropriately.

The terms and conditions of the deputation are subject to applicable laws and hence may be altered or
modified without notice in order to facilitate compliance with the same.

The terms and conditions of your deputation continue to be governed by the terms and conditions of your
offer of employment except to the extent modified herein. You acknowledge that any temporary benefits
made available while on deputation may be withdrawn or altered at the discretion of the Company.
