MEMORANDUM OF AGREEMENT

Made this 1st day of September 2021 in Clark Freeport Philippines, Clarkfield, Pampanga, by
and between:

CRISTINE S. HENSON, of legal age, Filipino, and residing at Lot 12, Block 41,
Phase 2, Laurel St., Savannah Green Plains, Brgy. Cuayan, Angeles City, referred
as the “FIRST PARTY”

and

EVELYN S. CARLOTO, of legal age, Filipino, and residing at Unit 302 Elim 3a,
The Villages, Clark Freeport Zone, Pampanga, referred as the “SECOND
PARTY”

WHEREAS, The FIRST PARTY has an existing Contract of Lease with Clark
Development Corporation (CDC) by leasing CDC-Bayanihan Stall No. 68 located at Bayanihan
Commercial Building Brgy. Balibago, Angeles City.

WHEREAS, The SECOND PARTY is expressed her desire to sublease CDC-Bayanihan

Stall No. 68.

NOW, THEREFORE, for and in consideration of the foregoing premises, the FIRST
PARTY and SECOND PARTY hereby agree on and stipulate the following, to wit:

1. The FIRST PARTY hereby sublease, for a period of six (6) months, CDC-Bayanihan
Stall No. 68 to SECOND PARTY starting from 21 July 2021 up to 20 January 2022
subject to renewal upon agreement of the parties.

2. The FIRST PARTY subleases CDC-Bayanihan Stall No. 68 to SECOND PARTY in

consideration of Thirty Thousand Pesos (Php30,000.00) monthly rental.

3. The SECOND PARTY shall give to FIRST PARTY four (4) months advance rental.

3.1. A down payment of Fifty Thousand Pesos (Php50,000.00) has been given by the
SECOND PARTY on 23 July 2021.

3.2. The remaining Seventy Thousand Pesos (Php70,000.00) shall be given upon the
execution of this Memorandum of Agreement.

4. Upon the expiration of the period as stated in item No. 1 and that the required
business permit of the SECOND PARTY can be registered under her name, the rent
shall be Thirty-Five Thousand Pesos (Php35,000.00) per month. In addition, the
SECOND PARTY shall pay two (2) months advance and two (2) months deposit to
the FIRST PARTY.
 IN WITNESS WHEREOF, the Parties have hereunto signed this Agreement this 01
September 2021 in Angeles City.
