MEMORANDUM OF AGREEMENT

Made this 20th day of December 2019 in Clark Freeport Philippines, Clarkfield, Pampanga, by
and between:

BRI-MAJ TRADING AND MANPOWER SERVICES, a EMB-DENR Accredited

Scrap and Recycling Facility duly organized and existing under the laws of the
Republic of the Philippines, with CNC Certificate No. CNC-RO3-1309-0025 and
Business Permit No. S4-01-2013011374, with principal office address at 2574
Mabini St., San Nicolas, Angeles City, Pampanga, represented herein by its
Proprietor, MARINO GARCIA BITUIN, referred as the “FIRST PARTY”

and

ULYSSIS S. LUMANLAN, of legal age, Filipino, and residing at Purok 6, Brgy.

Cuayan, Angeles City, Pampanga, referred as the “SECOND PARTY”

WHEREAS, The FIRST PARTY is engaged in the business of hauling and recycling
industrial waste which intends to join biddings of waste generates for disposal of their
industrial wastes.

WHEREAS, The SECOND PARTY is also engaged in the business of hauling and
recycling industrial waste which intends to join biddings of waste generates for disposal of their
industrial wastes.

WHEREAS, The FIRST PARTY has an existing agreement with METRO CLARK
WASTE MANAGEMENT CORPORATION (MCWM), a Corporation duly organized and
existing under the laws of the Republic of the Philippines, with principal office address at
Subzone D. Clark Special Economic Zone, represented by its President, RUFO COLAYCO.

WHEREAS, MCWM owns and operates and Engineered Sanitary Landfill (hereinafter
referred to as the “Landfill”), built and operated in accordance with RA 9003, at the Clark
Integrated Waste Management Center located at Subzone D. Clark Special Economic Zone, as
permitted with ECC No. 0012-704-213 and HWID Waste Generator Certificate No. GR R3 69-
00011.

NOW, THEREFORE, for and in consideration of the foregoing premises, the FIRST
PARTY and SECOND PARTY hereby agree on and stipulate the following, to wit:

1. The FIRST PARTY allows the SECOND PARTY to use his business name and
permit to dump waste materials, collected by the latter within Angeles City, in the
facility of MCWM.

2. The FIRST PARTY allows the SECOND PARTY to dump waste materials, collected
by the latter within Angeles City, in the facility of MCWM.
 3. The SECOND PARTY guarantees that no waste classified as toxic and hazardous
under Republic Act 6969 shall be delivered to the MCWM facility.

IN WITNESS WHEREOF, the Parties have hereunto signed this Agreement this 16 th day
of July 2021 at Angeles City.
