We are writing in response to the Notice with an attached Order dated

_________________ (“Order”) sent by the Honorable Energy Regulatory Commission
(ERC) to ________________________ on ___________________ via electronic mail
relative to a case entitled “In Re: Violations of Resolution No. 16, Series of 2014
(Revised COC Rules) and Resolution No. 26, Series of 2005 (MSL Guidelines),
______________________________, Respondent,” docketed as ERC Case No.
__________________.

In the said Order, _________ is directed to submit, within fifteen (15) days from
receipt of the same, an explanation under oath why no administrative penalty
should be imposed upon it for failure to submit its ___________________. Hence,
_________ has until _________________ to file its explanation. The instant
explanation is thus being filed within the required period.

At the outset, ____________ respectfully informs the Honorable Commission that it

has already submitted its _______________ on ______________. The circumstances
surrounding the aforesaid submission are hereunder presented in detail:

As shown above, ______________ filed its __________ before the Order of the
Honorable Commission was promulgated on _____________. _________ had no
intention to deliberately violate the rules of the Honorable Commission.
Unfortunately, the one in-charge of ______________________ reports and
documentations had left the Company without completing any turn-over of the
documents being processed then. The new in-charge had to be reoriented and
needed to re-organize the records. Moreover, with _________________ being new,
some technical and operational adjustments had to be dealt with by its personnel on
a daily basis. 
As a sign of good faith, __________________ immediately submitted the
___________________ after it requested for an email registration and even if the same
was still pending approval by the ERC.

_____________ undertakes to faithfully comply with all the pertinent laws, rules,
regulations and other issuances of this Honorable Commission.

____________ respectfully prays for the indulgence of the Honorable Commission,

and humbly requests that it considers __________ as having substantially complied
with the rules since ___________ filed already its ____________ on _____________. It
is also respectfully requested that in view of the foregoing, __________ be not
deemed as having intentionally violated Section 10 (a), Art IV of the 2014 Revised
COC Rules and Section 1, Article III of the MSL Guidelines and that no
administrative penalty be imposed against it.

This explanation under oath is being submitted to the Honorable Commission to

attest to the truth of the foregoing facts and circumstances, and in compliance with
the Order dated _________________.
