LEASE CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE is made and executed at the City of Cebu, this day of ________________,
by and between:

Claudeline A. Macabinlar, of legal age, Filipino and with residence and postal address at Miñoza St.,
Talamban Cebu City, hereinafter referred to as the LESSOR.

-AND-

Elmer P. Parba, Filipino, and with residence and postal address at 160 Naya Rd., Sitio Mangga, Tisa
Cebu City, hereinafter referred to as LESSEE.

WITNESSETH; That

WHEREAS, the LESSOR is the owner of THE LEASED PREMISES, a commercial property situated at
Miñoza St., Talamban Cebu City;

WHEREAS, the LESSOR agrees to lease-out the property to the LESSEE and the LESSEE is willing to
lease the same;

NOW THEREFORE, for and in consideration of the foregoing premises, the LESSOR leases unto the
LESSEE and the LESSEE hereby accepts from the LESSOR the LEASED premises, subject to the
following:

TERMS AND CONDITIONS

1. PURPOSES: That premises hereby leased shall be used exclusively by the LESSEE for Mr.
Hoocha Foodcart only and shall not be diverted to other uses. It is hereby expressly agreed that
if at any time the premises are used for other purposes, the LESSOR shall have the right to
rescind this contract without prejudice to its other rights under the law.

2. TERM: This lease shall be for a period of THREE (3) years effective _____________ and will
expire on ___________ and renewable therefore upon terms and conditions mutually agreed by
both parties.

3. AMOUNT AND MANNER OF PAYMENT OF RENT: The monthly rent for the leased
premises shall be in the amount of EIGHT THOUSAND FIVE HUNDRED PESOS
(P8,500.00) per month until contract expires.

4. WITHOLDING TAX FOR RENTAL WILL BE FOR THE ACCOUNT OF THE LESSOR:
Monthly rental shall be paid by the LESSEE to the LESSOR within the FIFTH (5th) calendar
days of the month for which it corresponds the entire terms of the contract.

5. SECURITY DEPOSIT AND ADVANCE RENTAL: That the LESSEE upon execution of this
contract, deposit to the LESSOR a down payment equivalent to TWO (2) months rental
amounting to SEVENTEEN THOUSAND PESOS (P17,000.00) as security payment, and for
faithful compliance of the terms and conditions of this contract; and ONE (1) month advance
rental in the amount of EIGHT THOUSAND FIVE HUNDRED PESOS (P8,500.00). The said
deposit will be refunded to the LESSEE without interest upon termination of the contract, less
any and all unpaid account of the former.

6. WATER, LIGHT AND OTHER UTILITIES: Water, light and other utilities shall be for the
account of the LESSEE.
7. IMPROVEMENT, RENOVATIONS, ALTERATIONS, ADDITIONS: The LESSEE may
make any alterations, additions or improvements on the leased premises. All such alterations,
additions or improvements made by the LESSEE on or upon the leased premises, except the
movable and fixtures put at the expenses of the LESSEE and removable without defacing the
building of the leased premises including its partition shall become the property of the LESSOR
and shall remain upon and be surrendered with the leased premises as part of thereof at the
termination of this lease, without compensation of the LESSEE.

8. RULES AND REGULATIONS, etc.: The LESSEE shall comply with any and all reasonable
rules and safety regulations which may be promulgated from time to time; comply with all rules
and regulations, ordinances and laws made by health or other duly constructed local or national
authorities arising from or regarding the use, occupancy and sanitation of the leased premises.
