OFFER SHEET
We highly appreciate your offer to lease our property in Fiesta Communities, Castillejos, Zambales. In line
‘with this, allow us to make @ counteroffer with the following terms:
LOT AREA
Property located at Fiesta Communities, Castillejos, Zambales, with an area of
‘Two Thousand One Hundred Thirteen (2,113) Square Meters, Comer Lot, more
or less.
LEASE TERM
Twenty-Five (25) years
RENT FREE
CONSTRUCTION
PERIOD
Twelve (12) months from the tumover of the LESSOR and acceptance of the
LESSEE, Free of rent.
TURNOVER DATE
‘On or before October 31, 2022
Condition/s — Prior to Actual and Physical Turnover of the leased premises by
the LESSOR to the LESSEE, the latter shalll accept in writing the Leased
Premises only if LESSOR shall have met the following basic conditions
1. LESSOR shall physically tun over the Leased Premises to the LESSEE
free from occupants, structures, trees, debris not later than the Turnover
Date. Backfill cost shall be shouldered by the LESSEE
2. Ajoint inspection shall be done to determine the boundaries of the
leased premises. The LESSEE shall acknowledge the correctness of
the agreed boundaries on or before the turnover date. Failure of the
LESSEE to act on it shall be deemed a waiver and admission of the
correctness of the boundaries of the leased premises.
3. LESSOR shall extend such assistance as the LESSEE may reasonably
require to apply for and obtain all permits required to construct any and
all improvements related to its operations and to allow the LESSEE to
operate its business on the Leased Premises (no fault and on best
efforts basis).
4. The Leased Premises shall be classified and shall be authorized for use
for commercial purposes.
MONTHLY RENT
Fixed Rent of Two Hundred Twenty One Thousand Eight Hundred Sixty
Five Pesos (Php 221,865.00), per month, exclusive of Value Added Tax (VAT)
bbut subject to withholding taxes and escalation.
ESCALATION
The Monthly Rent shall annually escalate by Five Percent (6%) starting on the
6th Year

ADVANCE RENTAL
To be shouldered and processed by the LESSEE,
Upon the execution of the Contract of Lease, the LESSEE shall pay the
LESSOR, twelve (12) months of the Monthly Rent, equivalent to Three Million
Forty Two Thousand Seven Hundred Twenty Pesos (Php 2,662,380.00),
exclusive of VAT but subject to withholding taxes, to be applied for the first
‘Twelve (12) months of the Lease Term
BINDING EFFECT
The terms and conditions set forth represent the general terms of the Contract,
of Lease between the LESSOR and LESSEE (the Parties”) which shall be
binding upon execution thereof, although the Parties recognize that additional
provisions to their lease will be stipulated in a formal Contract of Lease. Upon
Signing of this Offer Sheet, the Leased Premises shail not De offered to any

leasehold rights to the LESSEE and executing a formal Contract of Lease. This
Offer Sheet shall only be superseded by the duly executed notarized Contract of |
Lease, which shall govern in case of any variance or inconsistencies between
this Offer Sheet and the formal Contract of Lease.
