EVENT MANAGEMENT AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:
This Event Management Agreement is entered into by and between:
The SAN FRANCISCO NATIONAL HIGH SCHOOL, a public secondary school
with office address in Brgy. San Francisco, Bulan, Sorsogon, represented by MS. GRACIA V.
PESIMO, School Principal, and hereinafter referred to as “Client”;
-and-
The MOD EVENTS, an event management company with office address on Rizal St.,
Legazpi Port District, Legazpi City, Albay, represented by JAYE DEELYNE M.
GOSGOLAN, Event Coordinator, and hereinafter referred to as “Company”:
WITNESSETH:
WHEREAS, San Francisco national High School needs the services of MOD Events for
the conduct of training on teaching strategy of its teachers, as independent event management
contractor;
WHEREAS, MOD Events has the capabilities and resources to provide the needs and
requirements of San Francisco National High School for the management of the training:
NOW THEREFORE, in view of the foregoing premises and the mutual covenant herein
contained, the parties have agreed as follows:
TERMS AND CONDITIONS
The following are the terms and conditions agreed upon by the Client and Company:
I. SERVICES
The following are the services that will be provided by the Company to the Client:
a. Ibutang mo didi an services niyo
II. PAYMENT
The total amount of the services to be paid by the Client to the Company is
PhP____. An initial payment of 70% or PhP _____ is required to be paid at least fifteen
(15) working days before the event. The remaining amount (30%) shall be paid by the
Client within five (5) working days after the event. The payment shall be made through
the event coordinator. An official receipt shall be issued by the Company upon initial and
final payment.
III. CANCELLATION TERMS
Cancellation of the services may be made by the Client and the Company at any
given time prior to the delivery of services. The following are the conditions:
a. The client is entitled to a 100% refund of the initial payment if he/she cancels
not less than ten (10) days before the event.
b. The client is entitled to 50% refund of the initial payment if he/she cancels 5-
10 days before the event.
c. The client shall be not be entitled to any refund of the initial payment is he/she
cancels less than five days before the event.
d. The Company may opt to cancel the services due to health emergency, or
unexpected unavailability of resources and manpower. The Company,
however, is required to provide the Client another third-party event
management company, and grant the Client a 100% refund of the initial
payment.
IV. TERMINATION
This agreement may be terminated for reasons of unforeseeable events that are
beyond the control of both parties such as unfavorable weather phenomenon and other
natural disasters. In this situation, the Client is entitled to 100% refund of the initial
payment but shall pay the Company all the expenses incurred in preparing for the event.
The Company shall present all official receipts of the expenses made.
This agreement is also automatically terminated if the Client fails to pay the initial
payment on the identified period.
V. INDEMNIFICATION
The Client agrees to indemnify and hold the Company harmless from and against
any and all costs, losses or expenses, including reasonable attorneys’ fees, that the
Company may incur by reason of any third-party claim or suit arising out of or in
connection with the Client’s negligence, gross negligence, intentional misconduct or
failure to perform pursuant to this Agreement.
The Company likewise agrees to indemnify and hold the Client harmless from
and against any and all costs, losses or expenses, including reasonable attorneys’ fees,
that the Client may incur by reason of any third-party claim or suit arising out of or in
connection with Company’s failure to perform pursuant to this Agreement, as well as the
negligence, gross negligence, or intentional misconduct of the Company, its employees,
agents and representatives, contractors or subcontractors, including the employees and
representatives of said contractors or subcontractors.
This Section shall survive the termination or expiration of this Agreement.
EFFECTIVITY
This Agreement shall take effect upon signing by both parties, and shall remain in effect
unless revoked/terminated by mutual agreement of the parties.
