MEMORANDUM OF UNDERSTANDING

1.PREAMBLE
This memorandum of understanding seeks to establish a mutual
partnership between ALPHA BITES, ............................. and....................

The objective of this partnership is to bring together three people with

a passion for food.

The mission of ALPHA BITES is to sell food popular to youths but have
no access to and to provide its customers with healthy fast food.

2.OBLIGATIONS OF ALPHA BITES

a.to provide a safe and clean working enviroment for its shareholders.

b.to pay attention to suggestions made by other shareholders which will

benefit the business given the shareholder has a right.

c.to assist the day to day financing of the business.

3.OBLIGATIONS OF .................................AND..................................

a.to help ALPHA BITES financially.

b.to play their roles in the business according to their contracts.

c.to attend meetings regarding the business if any.

4.VALIDITY

This memorandum of understanding shall exist for a period of 6 months

and thereafter renewed upon satisfaction of all parties after an
evaluation and review process has been undertaken.

6.BREACH OF TERMS OF MEMORANDUM OF UNDERSTANDING.

a}The parties shall take reasonable steps to ensure transparency and

accountability in the implementation of the MOU and all parties shall
exercise good faith,professional practise and social responsibility in the
execution of the terms agreed in this MOU.

7.WHOLE AGREEMENT

The contents of this MOU constitue the entire agreement between the
parties.Any amendments hereto shall be agreed between the parties in
writting.

8.EFFECTIVE DATE OF AGREEMENT

The MOU shall come into operation on the date of signing by all three
3parties.That is from....................2022 to..........................202

9.OWNERSHIP OF MATERIAL

The work material eg machinery bought for alpha by Barbra Nlovu

and ............................... is joint property but incase of a split both
shareholders get to walk away with their property.

10.SILENT PARTNER

......................................... agrees not to partake in the daily activities of

the business but has right to voice out concerns if any.Is required for
the monthly meetings and sharing of profits according to percentages if
any.

10.EXIT STRATEGY

The parties commit themselves to officially communicate to the others

if they want to terminate or extend the MOU,atleast 3months before
this contract expires.

11.GOVERNING LAW AND DISPUTE SETTLEMENT

i.This agreement shall be governed by the laws of ZIMBABWE.

ii.Disputes in connection with the interpretation or other matters

pertaining to the implemantation of this agreement shall be resolved by
the parties through amicable negotiation and discussion,failure of
which such disputes shall be reffered for Arbitration in the terms of the
Arbitration Act {Chapter 7;02}.

12CONFIDENTIALITY

All three parties agree that the contents of this memorandum and
anything done to further the business shall be kept confidential.The
parties shall not transfer or divulge any confidential information to any
other person or organisation not connected to ALPHA BITES, unless:

.the information is already in the public domain

.disclosure is required by law
