LEAVE AND LICENSE AGREEMENT

This Deed of License (hereinafter referred to as the `Deed') executed on this the 14 th

Day of July 2022 by and between

Hereinafter referred to as “Licensor” (which expression shall, unless repugnant to

the context thereof, mean and include his legal heirs and assigns) of the First Part.

Hereinafter referred to as the “Licensee ” (which expression shall, unless ,

repugnant to the context thereof, mean and include his legal heirs and assigns) of

the Second Part

A. WHEREAS the Licensor has represented that he is the lawful owner and also in

possession of Flat No.702 on the 7 th floor admeasuring area .833 sq.ft. in the wing

No. A in the project known as “FORTUNE SHRUSHTI” (more fully described in the

Schedule written hereunder) and which is hereinafter referred to as the Schedule

Premises.

C. WHEREAS the Licensor has assured and guaranteed that the said premises

could be used by the Licensee for conducting its Residency Primicias and that such

use of the premises by Licensee is fully permissible. The Licensee believes the said

representation as correct and in good faith has accepted the same.

D. WHEREAS the Licensor is desirous of letting and the Licensee is desirous of

taking the above said premises on License, on terms and conditions contained

herein which have been mutually agreed upon.

NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED AND

CONFIRMED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

1. Details of Schedule Premises:

In consideration of payment of monthly License Fee hereinafter reserved, Licensor

hereby agrees in principle to grant on License the premises together with the rights

to use the entrance, elevators, passages, staircases, landings, lobbies, lifts and

other common areas etc. pertaining to Schedule Premises.

2. Period of License:
This License shall be for a period of 24 months commencing from 4-07-2022 i.e the

date the Licensee is liable to start payment of License Fee to the Licensor,

(hereinafter referred to as the Effective Date). This License shall be for a period of 24

months commencing from 14-07-2022 to 14-07-2024.

3.Lock-in-Period:

a. It is agreed by both the Parties i.e the Licensor and the Licensee, that the

Licensee shall not terminate this agreement during the initial period of 24 months

from the effective date.

b. It is agreed that the aforesaid period as mentioned at clause (a) above shall be

called as “Lock-in Period”. In case any of the Parties terminating the License of the

Schedule Premises prior to the expiry of their respective Lock-in Period, then the

terminating party shall be liable to pay the agreed License Fee for the remaining

unexpired portion of the agreed lock in period to the other party. However, the

Licensee can terminate this agreement without paying any license fee for the

remaining unexpired period of the lock in period in case of any unforeseen action

that may be proposed to be initiated by any statutory authority including but not

limited to the Municipal Corporation of Pune with regard to the schedule premises.

Similarly, the Licensor can terminate this agreement in the event of default of in

payment of License fee consecutively for three months by the Licensee and fails to

rectify such default within thirty days from the date of receipt of the notice thereof

from the Licensor.

4. License Fee:

a. The payment of the License Fee by the Licensee shall commence from 14-07-

2022. The License fee shall be payable by the Licensee in the following manner: For

Rs.100/-(Rs. One Hundred Only) per month

b. It is agreed that the above License Fee shall be payable by the Licensee to the

Licensor on the abovementioned area of the Schedule Premises payable on or before


10th day of every succeeding month for the License Fee that has become payable for

the previous month subject to tax deduction at source as applicable.

c. No other consideration, remuneration, charges or the like, by whatsoever name

called, shall be payable by the Licensee other than the aforesaid License Fee. It is

however understood that the Licensor shall be solely responsible for all current and

future building municipal taxes and such other local levies on the Schedule

Premises, if any.

d. It is further agreed that after completion of the initial License period of 24

months, the Agreement may be renewed for further term at mutual consent.

5.Refundable Security Deposit:

a. Refundable Security deposit of Rs.5,00,000/-(Rupees Five Lacs only) shall be

payable Licensee by 1) Rs. 2,00,000/- cheque no.466831, dated as on 14/07/2022

drawn on Yes Bank, Mumbai to Licensor. 2) Rs. 2,00,000/-cheque no.000003,

dated as on 14/07/2022 drawn on Bank Of Baroda Bank, Pune to Licensor. 3)

Rs.95,000/- cheque no.000005, dated as on 14/07/2022 drawn on Bank Of Baroda

,Pune to Licensorand Rs.5000/- Cash as on today .

b. Such Security Deposit shall be refunded by Licensor to Licensee upon expiry or

termination of the License as per terms of License. In case the Licensor fails to pay

the security deposit to the Licensee, the Licensee shall be entitled to retain the

possession of the schedule premises without payment of any License Fee till such

time the Licensor refunds the security deposit. The refund of the security Deposit by

the Licensor and handing over the vacant possession of the Schedule premises by

the Licensee shall be simultaneous and reciprocal.


c. The said Security Deposit shall also be refunded forthwith by the Licensor to the

Licensee in case of any such unforeseen action that may proposed to be initiated by

any Statutory authority including but not limited to the Municipal corporation of i.e

from 14-07-2022 to 14-07-2024 Pune with regard to the schedule premises.

The said action by any authority maybe including but not limited due to any defect

in the Title to the property or with respect to the unauthorized construction and/or

with regard to the misuse of either the entire portion of the schedule premises by

the Licensor.

6.Fit Out Period:

The Licensor has undertaken that he shall hand over the premises in a good and

tenantable condition on or before the 14/7/2024 to the Licensee for the Licensee

to carry out its interior decorations and if the Licensor fails to handover the said

premises in a good and tenantable condition on or before the specified date, then

the fit out period shall extend upto the date on which the Licensee recieves the said

premises in a good and tenantable condition along with the speceific interiors as

agreed by and between the Parties.

7. Usage:

Licensee shall not sublet, underlet or part with possession of the Schedule

Premises.

8. Electricity and Water Charges:

The Licensor have already provided a separate meter for electricity, electricity

Charges, consumed by the Licensee shall be paid directly to the Licensor promptly

without any default or delay by the Licensee. The society charges shall be borne by

the Licensee.

9. Taxes:
The Licensor shall pay the property taxes, society maimtances charges, or any

other taxes / Levies imposed by any other authority with respect to the Schedule

Premises to the respective authorities.

10. Building Maintenance:

The Licensor shall maintain the shop/building and all the amenities in good and

tenantable condition to the satisfaction of the Licensee. The costs of any repairs

including structural repairs that may be incurred in keeping the building in a good

condition shall be borne by the Licensee or himself.

11. Insurance:

It is specifically understood that the Licensor shall insure the said schedule

Premises against the risk of fire, lightening and any earthquakes. Similarly the

Licensee shall insure all the materials and whatever merchandise that may be in

the premises in a similar way.

12. Display of Signboard:

The Licensor shall not permit the Licensee to display its name or signboard, Brand

or product names at any part of the shop and also at the exterior thereof as well as

upon entrances, passages, gateways and upon boundary walls. The Licensor has

agreed that he shall not object to any such display by the Licensee.

13. Additions and Alterations:

The Licensee shall not be entitled to make any or additions to the schedule

Premises without the written consent of the Licensor. The Licensee shall however be

entitled to erect wooden, aluminum, brick or other light weight partitions and other
modifications within the allowable structural load limits, in the Schedule property

and to make alterations to light points, wiring plumbing, ventilation, generator and

electrical installations and sanitary fixtures. It shall also be entitled to remove the

same or leave it to the Licensor at the time of vacating the Schedule premises. Such

decision of the Licensee is it’s sole discretion.

14. Inspection:

The Licensee shall permit the Licensor or his authorised person during working

hours in the day time and upon making prior appointment with the Licensee, to

inspect the Schedule Premises at regular intervals and satisfy himself that the

Licensees are using the Schedule premises according to the terms of this

agreement.

15. Representation:

The provisions of this agreement shall bind the heirs, executors, legal

representatives, successors of the Licensor and/or such assignees of the Licensor as

are expressly permitted in writing by the Licensee. During the continuance of this

Agreement, the Licensor shall not except with the prior written permission of the

Licensee, be entitled too transfer or dispose of or alienate the premises/building or

any part thereof in any manner or enter into any such arrangement as a result of

which the use or possession or facility of the premises or the carrying on of the

business envisaged herein is in any manner jeopardized or effected. In the unlikely

event of the Licensor selling, disposing of or alienating the said premises in any

manner, the Licensor shall ensure that the all rights of Licensee under this License

Deed are protected and that all the terms of this License are binding on such

transferee of the Schedule Premises as if this License was originally entered into
with such transferee and such sale, transfer or disposal as aforesaid had not

happened at all.

16. Statutory Clearances and Permissions:

That Licensor shall ensure that all the statutory clearances and permissions from

all statutory authorities in respect of the Schedule Premises including compliance

with all building Bye laws, local laws, Legislation of the Government and/or any

local bodies and/or any other authority and also to provide electricity and water

connection and also to ensure that the said clearances and permissions are

available at all times during the subsistence of this License.

17. Indemnity:

The Licensee shall indemnify and keep the Licensor indemnified against any and all

claims, demands, losses, costs damages, suits, judgments, penalties, expenses, and

liabilities of any kind or nature whatsoever imposed by or payable to any statutory

authority or by any third party to the extent that they are attributable to any

express or implied act, default or omission of Licensee or to any breach or non

compliance by Licensee of any of the terms of this License. The Licensee shall

further indemnify and keep the Licensor indemnified against any adverse

consequences arising out of non compliance with the conditions under this

Agreement and has undertaken that he shall alone bear any costs, damages,

penalties or any other loss by whatsoever name, to the exclusion of the Licensor.

Any loss or penalty imposed on account of the failure to adhere to any of the

conditions stipulated in this Agreement shall be borne by the Licensee and the

Licensor shall not be liable for any damages or payments in this regard.

The Licensor declares that the Schedule premises is not subject to any reservation

or any intended acquisition or requisition and there are no restrictions on the usage

of premises by any statutory authorities including Municipal Corporation

Authorities. The Licensor undertake to indemnify the Licensee against any such

defect including the title of the Schedule premises. The Licensor further undertakes

to indemnify and make good any loss or damage that the Licensee might suffer on
account of any action by any statutory authority including but not limited to the

Municipal Corporation of Pune with regard to the Schedule premises.

And such action may be including but not limited due to any defect in the Title to

the Schedule premises or with respect to the unauthorized construction and/or

with regard to the misuse of either the entire and/or portion of the Schedule

premises by the Licensor.

18. Stamp and Registration Charges:

It is agreed that any charges with regard to Stamp and Registration Charges, if any,

in registering this document shall be borne by the Licensee alone.

19. Notice:

All approvals, consents and notices required to be given or served hereunder shall

be delivered, sent, by registered post or by telex or telefax or couriered to the

following addresses:

20. Force Majeure:

The parties hereto shall not be responsible for failure to perform hereunder due to

force majeure, which shall include to an act of God, fire, flood, explosion, war, riot,

terrorist acts, sabotage, strike, lock-outs, not within the reasonable control of

Licensor. If force majeure shall occur the affected party shall promptly give notice

thereof to the other party, and use best efforts to cure and correct the effects of

such events of Force Majeure.

21. Termination:

It is expressly understood that subject to the terms and conditions contained

herein, this agreement may be terminated for whatsoever reason by the Licensee

after expiry of lock-in-period by written notice to the Licensor at the address

mentioned at Clause 19 supra. Similarly the Licensor may also terminate the
Agreement, only, if the Licensee commits default in payment of the License fee

consecutively for three months and fails to rectify such default within thirty days

from the date of receipt of notice thereof from the Licensor. The Licensor & Licensee

shall have the right to terminate this agreement by giving One months written notice to the

either party.

22. Entire Agreement:

This Agreement constitutes the entire understanding of the parties and prevails over

all other representations whether oral or in writing made prior to the date of the

agreement.

23. Applicable Law and Jurisdiction:

The applicable Indian Law shall govern this License and all the terms and

provisions and contentions of this License and both parties hereby submit to the

jurisdiction of the Court with in Pune City as per applicable law.

SCHEDULE

All that piece and parcel of the Flat No.702 on the 7 th floor admeasuring area 833

in the wing No.A in the Society known as “FORTUNE SRUSHTI” bearing

S.No.4/18/2(P) situated at village Yewlewadi , Pune and within the limits of the

Pune Municipal Corporation,Pune and situate within the jurisdiction of Sub-

Registrar Haveli, Pune.

IN WITNESS WHEREOF the parties have set their hand to this Leave and License

deed on the day as mentioned above.
